3. Permohonan Delisting & Suspensi Efek diajukan 3.

oleh Perseroan dengan tujuan untuk melakukan
perubahan status Perseroan dari perusahaan
terbuka yang tercatat menjadi perusahaan
tertutup (“Go Private”) dan pembatalan
pencatatan (Delisting) dari BEI.

Alasan dan tujuan Go Private dan Delisting
adalah sebagai berikut:

a. Kinerja keuangan Perseroan merugi yang
berpengaruh pada kinerja harga saham:

b. Perseroan tidak memberikan dividen kepada
pemegang saham setelah tahun buku 2005
dikarenakan posisi saldo laba yang negatif,

c. Setelah terakhir kali melakukan penanaman
modal baru pada tahun 2001, Perseroan
tidak melakukan penggalangan dana dari
pasar modal dan tidak memiliki rencana
untuk melakukan penggalangan dana dari
pasar modal di masa depan,

d. Saham Perseroan tidak dapat memenuhi
ketentuan free float di BEI,

e. Saham Perseroan tidak aktif
diperdagangkan di BEI.

Sejalan dengan butir (e) di atas, oleh karena
relatif tidak likuidnya perdagangan saham
Perseroan, tidak mudah bagi pemegang saham
publik untuk melakukan transaksi atas saham
mereka melalui BEI. Dengan Go Private dan
Delisting, pemegang saham publik akan memiliki
kesempatan untuk menjual saham mereka
dengan harga yang wajar dengan tetap mengacu
pada ketentuan hukum yang berlaku.

Dalam melaksanakan tindakan-tindakan
korporasi sebagaimana disebutkan dalam butir
(3) di atas, Perseroan akan mematuhi dan
memenuhi ketentuan-ketentuan yang
dipersyaratkan peraturan-peraturan BEI dan
OJK yang berlaku.

The Reguest of Delisting & Suspension of
Securities is submitted by the Company with the
aim of changing the Company's status from a
public listed company to a private company ("Go
Private") and Delisting from the IDX.

The reasons and objectives of the Go Private and
Delisting are as follows:

a. The Company financial performance is
suffering losses which affect the stock price
performance,

b. The Company did not pay dividends to its
shareholders after the financial year of 2005
due to a negative profit balance,

c. After the last new investment made in 2001,
the Company did not raise funds from the
capital market and has no plans to raise
funds from the capital market in the future,

d. The Company Shares cannot fulfilled the free
float reguirements on the IDX,

e. The Company Shares are not actively traded
on the IDX.

In line with letter (e) above, as the trading of the
Company's shares is relatively not liguid, it is not
easy for public shareholders to conduct
transactions of their shares through IDX. With
the Go Private and Delisting, public
shareholders will have the opportunity to sell
their shares at a reasonable price while still in
line with the prevailing regulations.

In carrying out the corporate actions as
mentioned in point (3) above, the Company will
comply with and fulfill the reguired provisions
under the prevailing IDX and OJK regulations.
