ketentuan Anggaran Dasar Perseroan dan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas;

Laporan realisasi penggunaan dana Hasil Penawaran Umum Perdana dan Waran Seri I per 31 Desember
2025 telah disampaikan oleh Perseroan kepada Otoritas Jasa Keuangan melalui Surat Nomor
77/ADMKEU/ITSECASIA/I/2026 tanggal 14 Januari 2026.
The report on the realization of the use of funds from the Initial Public Offering and Series I Warrants as of December 31,
2025 has been submitted by the Company to the Financial Services Authority through Letter Number
77/ADMKEU/ITSECASIA/I/2026 dated January 14, 2026.
Jumlah dana bersih yang dihasilkan pada Penawaran Umum Perdana pada 8 Agustus 2023 adalah sebesar
Rp.92.189.930.696,- (sembilan puluh dua miliar seratus delapan puluh sembilan juta sembilan ratus tiga puluh
ribu enam ratus sembilan puluh enam Rupiah). Sesuai dengan Rapat Umum Pemegang Saham Tahunan yang
dilaksanakan pada 23 Mei 2025, dana hasil Penawaran Umum Perdana Perseroan telah habis direalisasikan
seluruhnya pada Tahun Buku 2025.
The amount of net funds generated in the Initial Public Offering on August 8, 2023 was IDR92,189,930,696 (ninety-two
billion one hundred and eighty-nine million nine hundred and thirty thousand six hundred ninety-six Rupiah). In accordance
with the Annual General Meeting of Shareholders held on May 23, 2025, the proceeds from the Company’s Initial Public
Offering were fully utilized during the 2025 fiscal year.

Sedangkan jumlah Waran Seri I yang diterbitkan pada tanggal 8 Agustus 2023 adalah sebanyak
504.353.234 (lima ratus empat juta tiga ratus lima puluh tiga ribu dua ratus tiga puluh empat) lembar.
Jumlah Waran Seri I yang telah dikonversi menjadi saham per 31 Desember 2025 adalah sebanyak
226.882.922 lembar atau sebesar Rp90.753.168.800,- (sembilan puluh miliar tujuh ratus lima puluh tiga
juta serratus enam puluh delapan ribu delapan ratus Rupiah) Dari jumlah dana hasil konversi Waran Seri I
tersebut, per 31 Desember 2025 dana yang digunakan adalah sejumlah Rp75.917.619.552 (tujuh puluh lima
miliar sembilan ratus tujuh belas juta enam ratus sembilan belas ribu lima ratus lima puluh dua Rupiah) dan
dana yang belum digunakan pada Tahun Buku 2026 adalah sejumlah Rp14.835.549.248 (empat belas
miliar delapan ratus tiga puluh lima juta lima ratus empat puluh Sembilan ribu dua ratus empat puluh
delapan Rupiah). Total Waran Seri I yang belum dikonversikan adalah sejumlah 277.484.478 lembar.
Meanwhile, the number of Series I Warrants issued on August 8, 2023 is 504,353,234 (five hundred four million three
hundred fifty-three thousand two hundred and thirty-four) sheets. The number of Series I Warrants that have been
converted into shares as of December 31, 2025 is 226,882,922 (two hundred twenty six million eight hundred eighty
two thousand nine hundred and twenty-two) shares or IDR90,753,168,800 (ninety billion seven hundred fifty three million
one hundred sixty-eight thousand eight hundred Rupiah) and the unused funds for the 2026 fiscal year amount to
IDR14,835,549,248 (fourteen billion eight hundred thirty-five million five hundred forty-nine thousand two hundred
forty-eight Rupiah). The total number of Series I warrants that have not been converted is 277,484,478.

1. Menerima dan menyetujui pengunduran diri dari Tuan Bambang Susilo dari jabatannya selaku Direktur Perseroan. Rapat
memberikan pembebasan dan pelunasan tanggung jawab sepenuhnya (acquit et de charge) atas tindakan pengurusan
yang telah dilakukan, sepanjang tindakan tersebut tercermin dalam Laporan Tahunan dan Laporan Keuangan Perseroan.
Rapat mencatat bahwa Tuan Bambang Susilo setelah tanggal pengunduran dirinya tetap akan memberikan kontribusi
kepada Perseroan dengan mengemban jabatan profesional sebagai Pimpinan Unit Bisnis GRC (Governance, Risk, and
Compliance) yang kedudukannya berada di luar susunan Direksi sesuai dengan ketentuan internal Perseroan;
Accepted and approved the resignation of Mr. Bambang Susilo from his position as Director of the Company. The meeting granted full
discharge and release from liability (acquit et de charge) for management actions taken, to the extent that such actions are reflected in the
Company’s Annual Report and Financial Statements. The meeting noted that Mr. Bambang Susilo, following the date of his resignation, will
continue to contribute to the Company by assuming a professional role as Business Unit Leader for GRC (Governance, Risk, and
Compliance), a position outside the Board of Directors in accordance with the Company’s internal regulations;
2. Menyetujui mengangkat Tuan Yulius C. Rusli dan Tuan Viko Setiyawan sebagai Direktur. Pengangkatan ini berlaku
terhitung sejak ditutupnya Rapat ini untuk masa jabatan yang mengikuti sisa masa jabatan anggota Direksi lainnya yang
masih menjabat, tanpa mengurangi hak RUPS untuk memberhentikan sewaktu-waktu;
To approve the appointment of Mr. Yulius C. Rusli and Mr. Viko Setiyawan as Directors. This appointment shall take effect upon the
adjournment of this Meeting for a term corresponding to the remaining term of the other members of the Board of Directors currently in
office, without prejudice to the right of the General Meeting of Shareholders to remove them at any time;

1. Menyetujui memberikan wewenang dan kuasa kepada Dewan Komisaris Perseroan dalam menetapkan gaji dan/atau
honorarium dan/atau remunerasi dan/atau tunjangan lainnya bagi masing-masing anggota Direksi Perseroan dan
Dewan Komisaris untuk tahun buku 2026 dengan tetap mempertimbangkan rekomendasi dari Komite Nominasi dan
Remunerasi serta peraturan dan perundangan yang berlaku, dan pembagiannya ditetapkan oleh Dewan Komisaris
Perseroan melalui Rapat Dewan Komisaris.
Approved to grant authority and power to the Company’s Board of Commissioners to determine the salary and/or honorarium and/or
remuneration and/or other allowances for each member of the Board of Directors and the Board of Commissioners for the 2026 fiscal
year, taking into account recommendations from the Nomination and Remuneration Committee as well as applicable laws and
regulations, with the allocation to be decided by the Board of Commissioners through a Board of Commissioners Meeting.
1. Memberi kuasa kepada Direksi Perseroan untuk menyatakan keputusan ini dalam suatu Akta Notaris, dan untuk itu
dikuasakan menghadap Notaris, menandatangani akta, dokumen atau surat-surat, serta melakukan segala sesuatu
yang diperlukan untuk tercapainya maksud tersebut di atas tanpa ada yang dikecualikan sekaligus memberitahukan
perubahan ini kepada instansi yang berwenang.
To authorize one of the Company’s Directors to record this resolution in a notarial deed, and for that purpose, to appear before a notary,
sign the deed, documents, or letters, and take all necessary actions to achieve the aforementioned purpose without exception, as well as
to notify the competent authorities of this change.
