The Company hereby announce information regarding Material Transaction without RUPS Agreement as follows:

A brief description of the Material Transaction With the proposed Transaction Value of
US$32,500,000 (thirty-two million five hundred

carry out a materiality test, namely comparing the
Proposed Transaction Value with the Company's
Equity based on the Company's Financial Report
on March 31 2024 which has been audited by
KAP, namely US$98,934,031 obtained 32.85%,
then the materiality percentage of the Proposed
Transaction Value to the Company's equity
exceeds 20%. In accordance with the Republic of
Indonesia Financial Services Authority Regulation
No.17/POJK.04/2020, the planned transaction is a
material transaction. With a Transaction Plan
Value of less than 50% of the Company's equity,
the Transaction Plan does not require shareholder
approval at the General Meeting of Shareholders
(GMS), as defined in the Republic of Indonesia
Financial Services Authority Regulation
No.17/POJK.04/2020 , Article 6, paragraph 1, point
number 1.
