/ Type of Material Information or pada tanggal 11 Juli 2024 antara Protelindo, Iforte, KIN,
Facts SUPR, EFIN dan BIT masing-masing sebagai para
debitur (“Para Debitur”) dengan Mizuho sebagai kreditur
(“Perjanjian Fasilitas Mizuho”)/ Execution of
Amendment to the Facility Agreement on July 11, 2024
between Protelindo, Iforte, KIN, SUPR, EFIN and BIT as
the borrowers (“Borrowers”) with Mizuho as the creditor
(“Mizuho Facility Agreement”)
Untuk menjamin pelaksanaan seluruh kewajiban Para
Debitur berdasarkan Perjanjian Fasilitas Mizuho, (i) Para
Debitur telah telah setuju untuk bertanggung jawab
secara tanggung renteng terhadap pelaksanaan seluruh
kewajiban berdasarkan Perjanjian Fasilitas Mizuho dan
(ii) Protelindo dan SUPR masing-masing telah
menandatangani Perjanjian Penanggungan Perusahaan
(“Perjanjian Penanggungan”) / To guarantee the
performance of the Borrowers under the Mizuho Facility
Agreement, (i) Borrowers have agreed to be jointly and
severally liable for the performance of all obligations
under the Facility Agreement and (ii) Protelindo and
SUPR respectively have signed the Corporate Guarantee
Agreement (“Guarantee Agreement”).
Perjanjian Fasilitas Mizuho dan Perjanjian
Penanggungan secara bersama-sama disebut sebagai
"Transaksi“./ Mizuho Facility Agreement and Guarantee
Agreement together will be referred as to "Transaction".
4. Uraian Informasi atau Fakta Material Berikut adalah syarat dan ketentuan penting yang diubah
/ Description of Material Information berdasarkan Transaksi: / The following are the amended
or Facts key terms and conditions under the Transaction:
(a) Penambahan IFEN dan BIT sebagai Para Debitur
dalam Perjanjian Fasilitas Mizuho; / Adding IFEN and
BIT as Co-Borrowers in the Mizuho Facility
Agreement.
(b) Peningkatan nilai fasilitas menjadi maksimal
Rp1.500.000.000.000 atau nilai setaranya dalam
mata uang Dolar Amerika Serikat tersedia untuk Para
Debitur, dengan rincian sebagai berikut: / Increase
the facility limit to become maximal of
IDR1,500,000,000,000 or its equivalent to the United
States Dollar currency available for the Borrowers,
with the following details:
- Sejumlah maksimal Rp1.500.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk Protelindo, Iforte and
SUPR; / maximal of IDR1,500,000,000,000 or its

equivalent to the United States Dollar currency
available for Protelindo, Iforte and SUPR;
- Sejumlah maksimal Rp50.000.000.000 atau nilai
setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk KIN; / maximal of
IDR50,000,000,000, - or its equivalent to the
United States Dollar currency available for KIN;
- Sejumlah maksimal Rp200.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk IFEN; / maximal of
IDR200,000,000,000, - or its equivalent to the
United States Dollar currency available for IFEN;
- Sejumlah maksimal Rp250.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk BIT; / maximal of
IDR250,000,000,000, - or its equivalent to the
United States Dollar currency available for BIT;
5. Dampak kejadian, informasi atau Pelaksanaan atas Transaksi tersebut tidak memiliki
fakta material tersebut terhadap dampak negatif yang material yang merugikan terhadap
kegiatan operasional, hukum, kegiatan operasional, hukum, kondisi keuangan, atau
kondisi keuangan, atau kelangsungan usaha Perseroan / The performance of

6. Keterangan lain-lain/ Other 1. Penandatanganan Transaksi merupakan transaksi
information afiliasi sebagaimana dimaksud dalam / The execution
of the Transaction is an affiliated transaction as
referred to:
(i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK
No. 42 Tahun 2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (“POJK
42”), yaitu transaksi sesama Perusahaan
Terkendali yang sahamnya dimiliki paling
sedikit 99% (sembilan puluh sembilan persen)
oleh Perusahaan Terbuka; dan / in Clause 6
section (1) letter b point (2) of OJK Regulation
No. 42 of 2022 regarding the Affiliated
Transaction and Conflict of Interest Transaction
(“OJK Rule 42”), i.e. a transaction between the
subsidiaries whose at least 99% of their shares
are owned by the Public Company;

(ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu
transaksi pinjaman yang diterima secara
langsung dari bank; / Clause 6 section (1) letter
(d) of POJK 42, i.e. a loan received directly from
bank; and/or
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu
transaksi pemberian jaminan kepada bank atas
pinjaman yang diterima secara langsung oleh
Perusahaan Terbuka atau Perusahaan
Terkendali / Clause 6 section (1) letter (e) OJK
Rule 42, i.e. a security provided to bank in
relation to the loan agreement granted to a
public company or subsidiaries.
2. Penandatanganan Transaksi di atas bukan
merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42 dan bukan
merupakan transaksi material sebagaimana
dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha / The Transaction is not
a conflict-of-interest transaction of the Company as
referred to OJK Rule 42 and not a material
transaction as referred to the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and
Change of Business Activities.
