Untuk memenuhi ketentuan (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015
tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK
31”), (ii) Keputusan Direksi BEI No. Kep-00066/BEI/09-2022, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iii) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (iv) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”), dengan ini kami, PT Solusi
Tunas Pratama Tbk (“Perseroan”), menyampaikan Keterbukaan Informasi atas Transaksi Material
sebagai berikut:
To comply with the (i) OJK Regulation No. 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00066/BEI/09-2022, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), we, PT
Solusi Tunas Pratama Tbk (the “Company”), hereby submit a Disclosure on Material Transaction as

merupakan suatu lembaga perbankan dan bukan
merupakan pihak terafiliasi dari Perseroan / PT
Bank Mizuho Indonesia (“Mizuho”) a banking
institution and not an affiliated party of the Company.

Penandatangan Perubahan atas Perjanjian
Fasilitas pada tanggal 11 Juli 2024 antara
Perseroan, Protelindo, Iforte, KIN, EFIN dan BIT
masing-masing sebagai para debitur (“Para
Debitur”) dengan Mizuho sebagai kreditur
(“Perjanjian Fasilitas Mizuho”)/ Execution of
Amendment to the Facility Agreement dated July
11, 2024 between the Company, Protelindo, Iforte,
KIN, EFIN and BIT as the borrowers (“Borrowers”)
with Mizuho as the creditor (“Mizuho Facility
Agreement”)
Untuk menjamin pelaksanaan seluruh kewajiban
Para Debitur berdasarkan Perjanjian Fasilitas
Mizuho, (i) Para Debitur telah telah setuju untuk
bertanggung jawab secara tanggung renteng
terhadap pelaksanaan seluruh kewajiban
berdasarkan Perjanjian Fasilitas Mizuho dan (ii)
Perseroan dan Protelindo masing-masing telah
menandatangani Perjanjian Penanggungan
Perusahaan (“Perjanjian Penanggungan”) / To
guarantee the performance of the Borrowers under
the Mizuho Facility Agreement, (i) Borrowers have
agreed to be jointly and severally liable for the
performance of all obligations under the Facility
Agreement and (ii) the Company and Protelindo

respectively have signed the Corporate Guarantee
Agreement (“Guarantee Agreement”).
Berikut adalah syarat dan ketentuan penting yang
diubah berdasarkan Transaksi: / The following are the
amended key terms and conditions under the
Transaction:
1. Penambahan IFEN dan BIT sebagai Para Debitur
dalam Perjanjian Fasilitas Mizuho; / Adding IFEN
and BIT as co-Borrowers in the Mizuho Facility
Agreement.
2. Peningkatan nilai fasilitas menjadi maksimal
Rp1.500.000.000.000 atau nilai setaranya dalam
mata uang Dolar Amerika Serikat tersedia untuk
Para Debitur, dengan rincian sebagai berikut: /
Increase the facility limit to become maximal of
IDR1,500,000,000,000 or its equivalent to the
United States Dollar currency available for the
Borrowers, with the following details:
- Sejumlah maksimal Rp1.500.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk Perseroan, Protelindo
dan Iforte; / maximal of IDR1,500,000,000,000
or its equivalent to the United States Dollar
currency available for the Company, Protelindo
and Iforte;
- Sejumlah maksimal Rp50.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk KIN; / maximal of
IDR50,000,000,000, - or its equivalent to the
United States Dollar currency available for KIN;
- Sejumlah maksimal Rp200.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk IFEN; / maximal of
IDR200,000,000,000, - or its equivalent to the
United States Dollar currency available for
IFEN;
- Sejumlah maksimal Rp250.000.000.000 atau
nilai setaranya dalam mata uang Dolar Amerika
Serikat tersedia untuk BIT; / maximal of
IDR250,000,000,000, - or its equivalent to the
United States Dollar currency available for BIT;

4 Penjelasan, Pertimbangan dan Struktur Perjanjian Fasilitas dengan yang dilakukan
Alasan dilakukannya Transaksi secara bersama-sama dan pemberian jaminan
Material/ perusahaan oleh Perseroan akan memungkinkan Para

by the Protelindo;
e. BIT yang secara tidak langsung merupakan anak
perusahaan Protelindo yang 100% sahamnya
dimiliki secara tidak langsung oleh Protelindo
melalui KIN dan Iforte;/ BIT which is indirectly a
subsidiary company of Protelindo whose 100%
shares are indirectly owned by Protelindo through
KIN and Iforte
f. IFEN, yang merupakan anak perusahaan yang
99,89% sahamnya dimiliki Iforte/ IFEN a subsidiary
company whose 99,89% shares are owned by Iforte;
dan/and
g. Mizuho, merupakan lembaga perbankan pemberi
pinjaman yang tidak mempunya hubungan afiliasi
dengan Perseroan, Protelindo, Iforte dan KIN, IFEN
dan BIT / Mizuho is a bank which is non-affiliated
party of each the Company, Protelindo, Iforte, KIN,
IFEN and BIT.

7. Keterangan lain-lain/ 1. Penandatanganan Perjanjian Fasilitas dan
Other information Perjanjian Penanggungan merupakan transaksi
material sebagaimana dimaksud dalam POJK 17,
dengan mengingat bahwa nilai Transaksi yaitu
mencapai lebih dari 20% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Perseroan yang
diaudit per tanggal 31 Desember 2023. Transaksi
merupakan transaksi material yang dikecualikan
sebagaimana dimaksud dalam Pasal 11 huruf (a),
(b) dan (c) POJK 17/ The execution of Facility
Agreement and Guarantee Agreement is a material
transaction as referred to in POJK 17, i.e., the value
of the Transaction is more than 20% of the
Company's equity, based on the Company's audited
Financial Statement as of December 31, 2023. The
Transaction is a material transaction that is
exempted as referred to in Article 11 letter (a), (b)
and (c) of POJK 17.
2. Transaksi tersebut merupakan transaksi afiliasi
sebagaimana dimaksud dalam: / The Transaction is
an affiliated transaction as referred to:
(i) Pasal 6 ayat (1) huruf b angka 2 POJK 42, yaitu
transaksi sesama Perusahaan Terkendali yang
sahamnya dimiliki paling sedikit 99% (sembilan
puluh sembilan persen) oleh Perusahaan
Terbuka/ in Clause 6 section (1) letter b point (2)
of POJK 42, i.e. a transaction between the
subsidiaries whose at least 99% of their shares
are owned by the Public Company;

(ii) Pasal 6 ayat (1) huruf (d) POJK 42 yaitu
transaksi pinjaman yang diterima secara
langsung dari bank; dan / Clause 6 section (1)
letter (d) POJK 42 i.e., a loan transaction
received directly from bank; and
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu
transaksi pemberian jaminan kepada bank atas
pinjaman yang diterima secara langsung oleh
Perusahaan Terbuka atau Perusahaan
Terkendali / Clause 6 section (1) letter (e) OJK
Rule 42, i.e. a corporate guarantee provided to
bank in relation to the loan agreement granted
by the Issuer or subsidiaries.
3. Transaksi tersebut di atas bukan merupakan
transaksi benturan kepentingan bagi Perseroan
sebagaimana diatur dalam POJK 42 / The
Transaction is not a conflict-of-interest transaction of
the Company as referred to OJK Rule 42
Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa / The Board of Commissioners
and Directors of the Company hereby declares that:
1. Transaksi bukan merupakan transaksi benturan kepentingan bagi Perseroan sebagaimana
diatur dalam POJK 42/ The Transaction is not a conflict-of-interest transaction of the Company
as referred to POJK 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan/ This Disclosure contains material information which is true and not misleading.
Sesuai dengan Pasal 8 pada POJK 31, keterbukaan informasi ini juga merupakan pemenuhan
ketentuan dalam POJK 31 / According to Article 8 of POJK 31, this Disclosure is also made to comply
with provision under OJK Rule 31.
