3. Uraian Informasi atau : PT Raharja Energi Madura (“PT REM”), selaku
Fakta Material / Details perusahaan terkendali Perseroan, telah menandatangani
of Information or other Perjanjian Kredit Bilateral dengan PT Bank Mandiri
Relevant Material Fact (Persero) Tbk ("Bank Mandiri").
Berdasarkan Perjanjian Kredit, PT REM memperoleh
fasilitas pinjaman dengan jumlah pokok sebesar
USD109.200.000 (seratus sembilan juta dua ratus ribu
Dolar Amerika Serikat).
Dana fasilitas kredit berdasarkan Perjanjian Kredit akan
digunakan untuk membiayai akuisisi seluruh saham
SMS Development Limited (“SMSD”) oleh PT REM, yang
dilaksanakan melalui penandatanganan Perjanjian Jual
Beli Saham dan Perjanjian Novasi, sebagaimana telah
diumumkan oleh Perseroan melalui laporan informasi
atau fakta material yang disampaikan pada tanggal 24
Desember 2025 dan 25 Desember 2025. Akuisisi
tersebut secara tidak langsung akan memberikan hak
partisipasi (participating interest) sebesar 20% (dua
puluh persen) kepada PT REM atas Production Sharing
Contract Selat Madura (“PSC Selat Madura”) yang
dikelola oleh Husky-CNOOC Madura Limited (“HCML”).

Sehubungan dengan Perjanjian Kredit tersebut,
Perseroan memberikan corporate guarantee dan cash
deficit guarantee kepada Bank Mandiri untuk menjamin
pemenuhan kewajiban PT REM berdasarkan Perjanjian
Kredit.

PT Raharja Energi Madura (“PT REM”), a subsidiary of the
Company, has signed a Bilateral Loan Agreement with PT
Bank Mandiri (Persero) Tbk (“Bank Mandiri”).
Pursuant to the Credit Agreement, PT REM has obtained a
loan facility with a principal amount of USD109,200,000
(one hundred nine million two hundred thousand United
States Dollars).
The credit facility funds under the Credit Agreement will
be used to finance the acquisition of all shares of SMS
Development Limited (“SMSD”) by PT REM, which was
carried out through the signing of a Share Purchase
Agreement and a Novation Agreement, as previously
announced by the Company through material information
or fact reports submitted on December 24, 2025, and
December 25, 2025. This acquisition will indirectly grant
PT REM a 20% (twenty percent) participating interest in the
Madura Strait Production Sharing Contract (“Madura Strait
PSC”) managed by Husky-CNOOC Madura Limited
(“HCML”).
In connection with the Credit Agreement, the Company
provided a corporate guarantee and a cash deficit
guarantee to Bank Mandiri to ensure the fulfillment of PT
REM’s obligations under the Credit Agreement.
4. Dampak kejadian, : Penandatanganan Perjanjian Kredit merupakan bagian
informasi atau fakta dari tahapan penyelesaian akuisisi secara tidak

The signing of the Credit Agreement is part of the process
to finalize the indirect acquisition of a 20% participating
interest in the Madura Strait PSC, which is part of the
Company’s long-term strategy to strengthen its business
portfolio in the upstream oil and gas sector.

The Company, as the corporate guarantor, is responsible
for REM’s obligations to Bank Mandiri. The Company is
confident that this credit facility can be managed and
serviced from REM’s operating cash flow derived from its
production share rights under the Madura Strait PSC.

accordance with applicable laws and regulations should
