Transaksi Afiliasi Terkait Pemberian Shareholder Loan PT Jasamarga Manado Bitung oleh Perseroan (selanjutnya disebut “Transaksi”) merupakan Transaksi Afiliasi yang telah melalui prosedur sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42/2020”). 2. Transaksi tidak mengandung benturan kepentingan sebagaimana dimaksud dalam ketentuan POJK 42/2020. 3. Seluruh informasiffakta material yang disampaikan Perseroan kepada Otoritas Jasa Keuangan terkait Transaksi, telah diungkapkan seluruhnya dengan benar dan tidak ada informasi penting atau fakta material lainnya yang tidak dikemukakan dalam laporan tersebut yang dapat menyebabkan informasi dalam laporan tersebut menjadi tidak benar dan/atau menyesatkan. The Transaction Related to the Provision of Shareholder Loan PT Jasamarga Manado Bitung by the Company (hereinafter referred to as "the Transaction”) is an Affiliated Transaction carried out based an the procedures regulated in the Financial Services Authority Regulation No. 42/POJK.04/2020 concerning Affiliated Transactions and Confliet of Interest Transactions (“POJK 42/2020”). 2. The Transaction does not contain any conflicts of interest as referred to in the POJK 42/2020. 3. All material information/facts submitted by the Company to the Financial Services Authority related to the Transactions have been fully disclosed correctiy and there are ho important information or other material facts that are not stated in “the report which may cause the information in the report to be incorrect and/or or misleading. 4. Seluruh anggota Direksi baik secara pribadi maupun korporasi tidak memiliki benturan kepentingan atas Transaksi tersebut. Demikian Surat Pernyataan ini dibuat dengan itikad baik, benar dan sesungguhnya untuk keperluan pelaporan atas Transaksi yang dilakukan Perseroan. 4. All members of the Directors, both personally and corporately, do not have any conflicts of interest in the Transaction. Thus, this Statement Letter is made in good faith, true and actual for the purpose of report on the Transaction conducted by the Company. PT Jasa Marga (Persero) Tbk merupakan suatu perseroan terbatas terbuka yang didirikan berdasarkan ketentuan perundangan yang berlaku di Indonesia, berkedudukan di Jakarta Timur dan berkantor pusat di Plaza Tol Taman Mini Indonesia Indah, Jakarta Timur, 13550 (selanjutnya disebut “Perseroar”). Dewan Komisaris terlebih dahulu menerangkan sebagai berikut: 1. Bahwa pada tanggal 28 Juni 2024, Direksi Perseroan telah melaksanakan Transaksi Afiliasi Terkait Pemberian Shareholder Loan PT Jasamarga Manado Bitung oleh Perseroan (selanjutnya disebut “Transaksi”) yang merupakan Transaksi Afiliasi yang telah melalui prosedur sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 4212020”). 2. Transaksi tidak mengandung benturan kepentingan sebagaimana dimaksud dalam ketentuan POJK 42/2020. PT Jasa Marga (Persero) Tbk is a public limited company established under the provisions of the applicable laws in Indonesia, domiciled in East Jakarta and headguartered at Plaza Tol Taman Mini Indonesia Indah, Jakarta Timur, 13550 (hereinafter referred to as “the Company”). The Board of Commissioners first explained as follows: 1. On 28 June 2024, the Directors of the Company have carried out an Affiliated Transaction Related to the Provision of Shareholder Loan PT Jasamarga Manado Bitung by the Company (hereinafter referred to as “the Transaction”) which was an Affiliated Transaction carried out based on the procedures as stipulated in the Regulation Financial Services Authority No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflict Interest Transactions (“POJK 42/2020”). of 2. Seluruh informasi/fakta material yang disampaikan Direksi Perseroan kepada Otoritas Jasa Keuangan terkait Transaksi, telah diungkapkan seluruhnya dengan benar dan tidak ada informasi penting atau fakta material lainnya yang tidak dikemukakan dalam laporan tersebut yang dapat menyebabkan informasi dalam laporan tersebut menjadi tidak benar dan/atau menyesatkan. 4. Seluruh anggota Dewan Komisaris baik secara pribadi maupun korporasi tidak memiliki benturan kepentingan atas Transaksi tersebut.
