Uraian Informasi atau Fakta Material Tanggal Kejadian Senin, 8 Juli 2024
Penjualan aset PT Transcoal Pacific Tbk (Perseroan) yang
sifatnya penting.
Untuk tujuan peremajaan armada milik Perseroan, pada
tanggal 8 Juli 2024, Perseroan telah menandatangani
Memorandum of Agreement (MOA) dengan salah satu
perusahaan pelayaran yang berdomisili di Negara Hongkong
untuk penjualan aset milik Perseroan yaitu1 (satu) unit Mother
Vessel.
Jenis Aset
Jenis aset Perseroan yang dijual adalah 1 (satu) unit Mother
Vessel bernama ALIYAH PERTIWI
Nilai Transaksi
1 (satu) unit Mother Vessel bernama ALIYAH PERTIWI dijual
dengan harga USD 7.500.000 (tujuh juta lima ratus ribu Dollar
Amerika Serikat).
Pihak-pihak yang bertransaksi
Penjual adalah Perseroan, dan Pembeli adalah suatu
perseroan terbatas yang didirikan berdasarkan ketentuan
hukum yang berlaku di Negara Hongkong, atau pembeli lain
yang dijamin oleh perusahaan
Hong Kong tersebut.
Penjelasan ada tidaknya hubungan afiliasi dengan Pelanggan
Transaksi ini bukan merupakan transaksi afiliasi karena tidak
ada hubungan afiliasi antara Perseroan dan Pembeli.

Dampak kejadian, informasi atau fakta Kegiatan Operasional
material tersebut terhadap kegiatan Penjualan Kapal ini bertujuan untuk peremajaan kapal-kapal
operasional, hukum, kondisi keuangan, milik Perseroan. Kondisi Kapal ini sudah kurang komersial
atau kelangsungan usaha Emiten atau untuk dioperasikan oleh Perseroan. Dengan penjualan dan
Perusahaan Publik peremajaan armada milik Perseroan diharapkan kegiatan
operasional Perseroan akan menjadi lebih baik kedepan.
Hukum
Penjualan unit Kapal tersebut akan mengakibatkan beralihnya
hak dan kepemilikan Kapal tersebut dari Perseroan kepada
Pembeli
Kondisi Keuangan
Perseroan sebagai Penjual akan menerima harga jual Kapal
tersebut dari Pembeli. Penjualan Kapal tersebut tidak
berdampak signifikan terhadap kondisi keuangan Perseroan.
Kelangsungan Usaha
Kelangsungan usaha tetap terjaga dan terjamin dengan baik.
Informasi Lain
Berdasarkan nilai transaksi sebagaimana tersebut di atas, maka penjualan Kapal tersebut bukan merupakan Transaksi
Material sebagaimana didefinisikan dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha.

Facts
Selling of important asset owned by PT Transcoal Pacific Tbk
(the Company).
For the purpose of rejuvenation of fleet owned by the
Company, on July 8, 2024, the Company has signed a
Memorandum of Agreement (MOA) with a shipping company
domiciled in Hongkong for the selling of 1 (one) unit Mother
Vessel owned by the Company.
Type of Assets
Type of asset being sold is 1 (one) unit of Mother Vessel
named ALIYAH PERTIWI
Transaction Value
1 (one) unit of Mother Vessel named ALIYAH PERTIWI is sold
USD 7,500,000 (United States Dollars Seven Million Five
Hundred Thousand).
Transaction Parties
The Seller is the Company, and the Buyer is a limited liability
company established under the laws of Hongkong, or other
buyer nominated and guaranteed by the Hongkong company.
Explanation of whether or not there is an affiliate relationship
with the Customer
This transaction is not an affiliated transaction because there
is no affiliated relationship between the Company and Buyer.

Impact of event, material information or Operational Activities
facts towards Issuers or Public The sale of this Vessel aims to rejuvenate the vessels owned
Company’s operational activities, legal, by the Company. The condition of this Vessel is no longer
financial condition, or going concern commercial enough for the Company to operate. By the sale
and rejuvenate the fleet owned by the Company, it is expected
that the Company operational actives will improve in the future.
Law
The sale of this Vessel will create the transfer of rights and
ownership of this vessel from the Company to the Buyer.
Financial Condition
The Company as the Seller will receive the selling price of this
Vessel from the Buyer. The sale of this Vessel did not have a
significant impact on the Company financial condition.
Business Continuity
Business continuity is maintained and well guaranteed.
Other Information
Based on the transaction value as mentioned above, the sale of the Vessel is not a Material Transaction as defined
in Financial Services Authority Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in
Business Activities.
