Untuk tujuan peremajaan armada milik Perseroan, pada tanggal 8 Juli 2024, Perseroan telah menandatangani Memorandum of Agreement (MOA) dengan salah satu perusahaan pelayaran yang berdomisili di Negara Hongkong untuk penjualan aset milik Perseroan yaitu 1 (satu) unit Mother Wessel. Urai: i E. Material Jenis Aset Jenis aset Perseroan yang dijual adalah 1 (satu) unit Mother Wessel bernama “ALIYAH PERTIWI” Nilai Transaksi 1 (satu) unit Mother Vessel bernama “ALIYAH. PERTIWI?” dijual dengan harga USD 7.500.000 (tujuh juta lima ratus ribu Dollar Amerika Serikat). Pihak-pihak yang bertransaksi Penjual adalah Perseroan, dan Pembeli adalah suatu perseroan terbatas yang didirikan berdasarkan ketentuan hukum yang berlaku di Negara Hongkong, atau pembeli lain yang dijamin oleh perusahaan Hong Kong tersebut. Information Description or Material Fact Type of Assets Type of asset being sold is 1 (one) unit of Mother Vessel named “ALIYAH PERTIWI” Transaction Value 1 (one) unit of Mother Vessel named “ALIYAH PERTIWI” is sold USD 7,500,000 (United States Dollars Seven Million Fiw Hundred Thousand). Transacrion Parties The Seller is Ibe Company, and the Buyer is a limited Liability company establisbed under the laws of Hongkong, or other buyer nominated and guaranteed by tbe Hongkong company. 4 TRANSCO/.LPACIFIC Dampak Kejadian, Informasi atau Impact of Event, Information or Material F Material terh: R Kegiatan Operasional Penjualan Kapal ini bertujuan untuk peremajaan kapal-kapal milik Perseroan. Kondisi Kapal ini sudah kurang komersial untuk dioperasikan oleh Perseroan. Dengan penjualan dan peremajaan armada milik Perseroan diharapkan kegiatan operasional Perseroan akan menjadi lebih baik kedepan. Hukum Penjualan unit Kapal tersebut akan mengakibatkan beralihnya hak dan kepemilikan Kapal tersebut dari Perseroan kepada Pembeli Kondisi Keuangan Perseroan sebagai Penjual akan menerima harga jual Kapal tersebut dari Pembeli. Penjualan Kapal tersebut tidak berdampak signifikan terhadap kondisi keuangan Perseroan. Kelangsungan Usaha Kelangsungan usaha tetap terjaga dan terjamin dengan baik. Keterangan Lain-lain Berdasarkan nilai transaksi sebagaimana tersebut di atas, maka penjualan Kapal tersebut bukan merupakan Transaksi Material sebagaimana didefinisikan dalam Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha. By the sale and rejuvenate the fleet owned by be Company, it is expected that the Company's operational activities will ingprove in the future. Law The sale of this V essel will create the transfer of rishts and ownership of this vessel from the Company ta the Buyer. Financial Condition The Company as the Seller will recsive the selling price of this Vessel from the Buyer. The sale of this Vessel did not bawe a significant impact on the Company's financial condition. Business Conrinuity Business continnity is maintained and well gwaranteed. Others remarks Based on the #ansaction value as mentioned above, Ibe sale of the Vessel is not a Material Transactian as defined in Financial Services Authority Regularon No. 17/ POJK.01/2020 concerning Material Transactions and Changes in Business.
