Uraian Informasi atau Fakta Material Penandatanganan Perjanjian Fasilitas Pinjaman Bergulir
(Uncommitted Revolving Loan) sebesar Rp1.000.000.000.000,
- antara Protelindo dan Iforte dengan DBS tertanggal 22 Mei
2026 (Perjanjian Kredit).
1. Berikut adalah syarat dan ketentuan penting
berdasarkan Perjanjian Kredit:
- Total Fasilitas:
Rp1.000.000.000.000.-;
- Tujuan pinjaman:
Tujuan korporasi umum Protelindo dan Iforte, termasuk
pembiayaan kembali utang-utang;
- Jangka Waktu Fasilitas:
12 (dua belas) bulan sejak tanggal penandatanganan
Perjanjian Kredit;
- Hukum yang berlaku:
Hukum Indonesia;
2. Protelindo dan Iforte bertanggung jawab secara
tanggung renteng atas pelaksanaan seluruh kewajiban
berdasarkan Perjanjian Kredit.
1. Penandatanganan Perjanjian Kredit merupakan
transaksi afiliasi sebagaimana dimaksud dalam:
(a) Pasal 6 ayat (1) huruf (b) angka (2) POJK 42, yaitu
transaksi sesama Perusahaan Terkendali yang sahamnya
dimiliki paling sedikit 99% (sembilan puluh sembilan persen)
oleh Perusahaan Terbuka;
(b) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi
pinjaman yang diterima secara langsung dari bank; dan
(c) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman yang diterima
secara langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali.
2. Penandatanganan Perjanjian Kredit di atas bukan
merupakan transaksi benturan kepentingan sebagaimana
dimaksud dalam POJK 42 dan bukan merupakan transaksi
material sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pelaksanaan Perjanjian Kredit tersebut tidak menimbulkan
material tersebut terhadap kegiatan dampak merugikan yang material terhadap kegiatan
operasional, hukum, kondisi keuangan, operasional, aspek hukum, kondisi keuangan, maupun
atau kelangsungan usaha Emiten atau kelangsungan usaha Perseroan.

Description of Material Information or The execution of the Rp1,000,000,000,000 Revolving Loan
Facts Facility Agreement (Uncommitted Revolving Loan), made
between Protelindo and Iforte with DBS dated May 22, 2026
(Credit Agreement).
1. The following are the key terms and conditions under
the Credit Agreement:
- Total Facility:
IDR1.000.000.000.000,-;
- Purpose of loan:
General corporate purposes of Protelindo and Iforte, including
refinancing of debts;
- Facility Term:
12 (twelve) months after the signing of the Credit Agreement;
- Governing Law:
Indonesian Law;
2. Protelindo and Iforte shall be jointly and severally
liable for the performance of all obligations under the Credit
Agreement.
1. The execution of the Credit Agreement is an affiliated
transaction as referred to under:
(a) Clause 6 section (1) letter b point (2) of POJK 42, i.e.
a transaction between the subsidiaries whose at least 99% of
their shares are owned by the Public Company;
(b) Clause 6 section (1) letter (d) of POJK 42, i.e. a loan
received directly from bank; and
(c) Clause 6 section (1) letter (e) of POJK 42, i.e. a
corporate guarantee provided to bank in relation to the loan
agreement granted to the Issuer or its subsidiaries
2. The execution of the above Credit Agreement does
not constitute a conflict-of-interest transaction of the Company
as referred to under POJK 42 and does not constitute a
material transaction as referred to the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and Change of
Business Activities.
