NPH NUSANTARA PELABUHAN HANDAL 3. | Uraian informasi atau fakta material/ Description of material information or facts Merujuk pada surat pemberitahuan dari PT Episenta Utama Investasi (“EUI”) dan China Merchants International Port Integrated Development (Hong Kong) Company Limited (“China Merchants”) kepada Perseroan dan pengumuman China Merchants di koran Harian Ekonomi Neraca tertanggal 1Juli 2024, bahwa pada tanggal 28 Juni 2024, EUI telah menyelesaikan penjualan atas sebagian saham miliknya sebanyak 1.435.110.412 (satu miliar empat ratus tiga puluh lima juta seratus sepuluh ribu empat ratus dua belas) saham atau setara dengan 5196 (lima puluh satu persen) dari modal ditempatkan dan disetor Perseroan kepada China Merchants dan telah menandatangani akta jual beli saham sehubungan dengan penyelesaian penjualan tersebut (“Transaksi”). Penyelesaian Transaksi merupakan tindak lanjut dari Perjanjian Pembelian Saham tertanggal 20 November 2023 sebagaimana diubah pada tanggal 28 Mei 2024 antara EUI dan China Merchants (“Perjanjian”). Penandatanganan Perjanjian telah diumumkan kepada publik berdasarkan keterbukaan informasi Perseroan pada tanggal 22 November 2023 sebagaimana diubah pada tanggal 27 November 2023. Referring to the notification letters from PT Episenta Utama Investasi (“EUI") and China Merchants International Port Integrated Development (Hong Kong) Company Limited (“China Merchants”) to the Company and China Merchants' announcement in Harian Ekonomi Neraca newspaper on 1 July 2024, on 28 June 2024, EUI has completed the sale ofa part of its shares in the total of 1,435,110,412 (one billion four hundred thirty-five million one hundred ten thousand four hundred twelve) shares or egual to 514 (fifty one percent) of the issued and paid up capital of the Company to China Merchants and has signeda deed of sale and purchase agreement in relation to the completion of the above sale (“Transaction”). The completion of the Transaction is the subseguent action of the Share Purchase Agreement dated 20 November 2023 as amended on 28 May 2024 between EUI and China Merchants (“Agreement”). The signing of the Agreement has been announced to the public based on the Company's disclosure of information that was announced on 22 November 2023 as amended on 27 November 2023. Penyelesaian Transaksi tidak akan berdampak material terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan. Legal impact of the Transaction as mentioned above is changes of the Company's controlling shareholder to China Merchant.
