JTT; dan (iii) penerbitan saham-saham baru di JTT, yang mana
pada tanggal 28 Juni 2024, MUN, MPTIS, dan WIPL (masing-
masing akan didefinisikan di bawah, namun bersama-sama
disebut “Para Investor”) telah menandatangani dokumen-
dokumen sehubungan dengan Transaksi, yaitu sebagai berikut:
The Transaction is conducted by (i) the partial purchase of PT Jasa
Marga (Persero) Tbk shares (“Jasa Marga”) in PT Jasamarga
Transjawa Tol (“JTT”); (ii) the purchase of all Koperasi Konsumen
Karyawan Jalin Margasejathera (“KKJM”) shares in JTT; and
issuance of new shares in JTT, whereas on June 28, 2024, MUN,
MPTIS and WIPL (each will be defined below, and collectively
referred to as the “Investors”), has signed the agreement related
to the Transaction, namely:

 (i) Perjanjian Pembelian Saham Bersyarat sehubungan dengan
     rencana pembelian 6.200.042.303 lembar saham milik Jasa
     Marga dari total jumlah saham yang telah dikeluarkan secara
     sah oleh JTT oleh dan antara Para Investor dan Jasa Marga
     (“PPJB Saham Jasa Marga”);
     Conditional Share Purchase Agreement in connection to the
     purchase of 6.200.042.303 shares owned by Jasa Marga
     from the total shares validly issued by JTT, by and between
     the Investors and Jasa Marga (“Jasa Marga CSPA”);

 (ii) Perjanjian Pembelian Saham Bersyarat sehubungan dengan
      rencana pembelian 205.459.492 lembar saham milik KKJM
      dari total jumlah saham yang telah dikeluarkan secara sah
      oleh JTT oleh dan antara MPTIS dan KKJM (”PPJB Saham
      KKJM”); dan
      Conditional Share Purchase Agreement KKJM related to the
      purchase of 205.459.492 shares owned by KKJM from the
      total shares validly issued by JTT, by and between MPTIS
      and KKJM (”KKJM CSPA”); and

 (iii) Perjanjian Penyertaan Saham Bersyarat sehubungan
       dengan rencana penerbitan 1.208.585.244 saham baru
       kepada MPTIS, oleh dan antara JTT dan MPTIS (”PPSB
       JTT”);
       Conditional Share Subcription Agreement related to the
       issuance of 1.208.585.244 new shares to MPTIS, by and
       between JTT dan MPTIS (”CSSA JTT”).

Para Investor akan menjadi pemilik saham sebesar 35% atau
setara 7.614.087.039 saham dalam JTT setelah diselesaikannya
seluruh persyaratan dan kondisi sebagaimana disyaratkan dalam
PPJB Saham Jasa Marga, PPJB Saham KKJM dan PPSB JTT.
The Investors shall be the owner of 35% or equal to 7.614.087.039
in JTT after the completion of all terms and condition as set forth
in Jasa Marga CSPA, KKJM CSPA dan CSSA JTT.

Sebagai bagian dari Transaksi, Para Investor dan Jasa Marga
telah menandatangani Perjanjian Pemegang Saham JTT (“PPS
JTT”) sehubungan dengan pengaturan aspek tata kelola dan
kegiatan usaha dari JTT, yang mana PPS JTT akan berlaku efektif
pada saat telah diselesaikan seluruh persyaratan dan kondisi
sebagaimana disyaratkan dalam PPJB Saham Jasa Marga, PPJB
Saham KKJM dan PPSB JTT.
As part of the series of the Transaction, the Investors and Jasa
Marga has enter the JTT Shareholders Agreement (“JTT SHA”) in
connection to the regulation of governance aspects and business
activity of JTT, which JTT SHA will be effective after the completion

of the terms and conditions as set forth in Jasa Marga CSPA,
KKJM CSPA dan CSSA JTT.

Para Investor (masing-masing, akan diuraikan di bawah ini) terdiri
dari :
The Investors (each, as defined below) consisting of:

PT Margautama Nusantara (“MUN”) adalah perseroan terbatas
yang merupakan entitas asosiasi dari Perseroan yang pada
tanggal keterbukaan informasi ini dimiliki oleh Perseroan dengan
kepemilikan efektif Perseroan pada MUN adalah sebesar 43,39%
dari total seluruh saham yang telah dikeluarkan secara sah oleh
MUN.
PT Margautama Nusantara (“MUN”) is a limited liability company
which are associate entity of the Company which on the date of
this disclosure of information owned by the Company with the
effective ownership of 43,39% from the total shares validy issued
by MUN.

PT Metro Pacific Tollways Indonesia Services (“MPTIS”) yang
merupakan perusahaan pengendali dari MUN (baik langsung
maupun tidak langsung) yang pada tanggal keterbukaan informasi
ini memiliki kepemilikan efektif pada Perseroan sebesar 61,13%
dari total seluruh saham yang telah dikeluarkan secara sah oleh
MUN.
PT Metro Pacific Tollways Indonesia Services (“MPTIS”) which are
controlling company of MUN (directly or indirectly) which as of the
date of this disclosure of information the effective ownership of
MPTIS in MUN is 61,13% from the total shares validly issued by
MUN.

Warrington Investment Pte Ltd (“WIPL”) entitas terafiliasi dengan
Government of Singapore Investment Corporation Ventures (GIC),
dengan kepemilikan efektif sebesar 33,00% dari total seluruh
saham yang telah dikeluarkan secara sah oleh MUN.
Warrington Investment Pte Ltd (“WIPL”) an affiliate entity of
Government of Singapore Investment Corporation Ventures (GIC),
with an effective ownership of 33,00% from the total shares validly
issued by MUN.

Pada tanggal keterbukaan informasi ini, baik Perseroan maupun
Para Investor tidak memiliki hubungan afiliasi baik dengan Jasa
Marga dan KKJM (“Penjual”) maupun JTT.
As of the date of this disclosure of information, the Company or the
Investors is not affiliated with Jasa Marga and KKJM (the “Seller”)
or JTT.

Sebagai informasi tambahan, JTT merupakan perusahaan induk
dari para badan usaha jalan tol pemegang konsesi sepanjang 676
KM (enam ratus tujuh puluh enam kilometer) dari Jalan Tol Trans
Jawa. Jalan tol ini terdiri dari 13 ruas jalan tol yakni Jakarta –
Cikampek; Jakarta - Cikampek II Elevated (dikenal sebagai jalan tol
Syekh Mohammed Bin Zayed); Palimanan – Kanci; Batang –
Semarang; Semarang Seksi A, B, C; Semarang – Solo; Solo –
Ngawi; Ngawi - Kertosono- Kediri; Surabaya – Mojokerto; Surabaya
– Gempol; Gempol – Pasuruan; Gempol – Pandaan serta Pandaan
- Malang.
As an additional information, JJT is the holding company of toll road
business entity, which are the concession holder of 676 KM (six
hundred seventy six kilometers) of the Trans Java Toll Road. This

                                                  Jakarta - Cikampek II Elevated (known as Syekh Mohammed Bin
                                                  Zayed Highway); Palimanan - Kanci; Batang - Semarang; Semarang
                                                  Section A, B, C; Semarang - Solo; Solo - Ngawi; Ngawi - Kertosono-
                                                  Kediri; Surabaya - Mojokerto; Surabaya - Gempol; Gempol -
                                                  Pasuruan; Gempol - Pandaan and Pandaan - Malang.
 4.     Dampak kejadian, informasi atau fakta     Pelaksanaan Transaksi diharapkan dapat meningkatkan kapasitas
