Indonesia No. KEP-00066/BEI/09-2022 perihal Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, dengan ini, kami, PT Lippo Karawaci Tbk. (“Perseroan”)
bermaksud untuk menyampaikan Laporan Informasi atau Fakta Material sebagai berikut:
In order to comply with OJK Regulation No. 31/POJK.04/2015 regarding Disclosure of
Information or Material Facts by the Issuers or Public Companies and Directors Decree of
Indonesia Stock Exchange No. KEP-00066/BEI/09-2022 regarding the Amendment to the
Regulation No. I-E on the Obligation to Submit Information, we, PT Lippo Karawaci Tbk. (the
“Company”) hereby intend to submit the Report on Material Information or Facts as follows:

Bidang Usaha/Scope of Business : Mengusahakan perusahaan real estate dan urban
development dan sarana penunjangnya serta
menjalankan usaha dalam bidang jasa termasuk
pembangunan perumahan, perkantoran,
perindustrian, perhotelan, rumah sakit, pusat
perbelanjaan, fasilitas umum, hospitality, pelayanan
kesehatan beserta fasilitasnya, baik secara langsung
maupun melalui penyertaan (investasi) ataupun
pelepasan (divestasi) modal sehubungan dengan
kegiatan usaha utama Perseroan dalam perusahaan
lain.
Engaged in real estate, including but not limited to real
estate that is owned or leased, which includes business
development, purchase, sale, rental and operation of
real estate such as land, apartment buildings, malls,
shopping centers, hospitals, conference halls,
hospitality, sports facilities, and supporting facilities,
urban development, building development for self-
operation; providing accommodation and providing
food and drink; professional, scientific and technical
activities; construction; transportation; trading; water

Perseroan menyampaikan informasi-informasi
sebagai berikut:
The disclosure of information herein is made in
reference to the Reporting of Material Information or
Facts that was submitted earlier by the Company
through Letter No. 033/LK-COS/V/2024 dated May 13,
2024 (the "Preliminary Disclosure of Information"),
the Company submits the following information:
- Tender Offer (sebagaimana didefinisikan dalam
Keterbukaan Informasi Awal) telah selesai
dilaksanakan;
Tender Offer (as defined in the Preliminary
Disclosure of Information) has been completed;
- Pada tanggal 25 Juni 2024, Perseroan, melalui
Theta Capital Pte. Ltd., entitas anak Perseroan
yang didirikan berdasarkan hukum negara
Singapura, telah melakukan pembayaran kepada
para pemegang obligasi senior yang akan jatuh
tempo tahun 2025 dengan tingkat bunga
8,125% (“Obligasi 2025”) dan pembayaran
kepada para pemegang obligasi senior yang
akan jatuh tempo tahun 2026 dengan tingkat
bunga 6,75% (“Obligasi 2026”), sehingga
setelah selesainya pembayaran atas
pelaksanaan Tender Offer tersebut, jumlah
Obligasi 2025 yang masih terhutang adalah

sebesar US$66.532.000 dan jumlah Obligasi
2026 yang masih terhutang adalah sebesar
US$145.804.000.
On June 25, 2024, the Company, through Theta
Capital Pte. Ltd., a subsidiary of the Company
incorporated under the laws of Singapore, has
made payments to the holders of the 8.125%
senior notes due 2025 ("2025 Notes") and the
holders of the 6.75% senior notes due 2026
("2026 Notes"), thus after the payment, the total
outstanding amount of the 2025 Notes is
US$66,532,000 and the total outstanding amount
of the 2026 Notes is US$145,804,000.
4. Dampak kejadian, informasi Penyelesaian dan pembayaran atas Tender Offer yang
atau fakta material tersebut merupakan bagian dari pelaksanaan pengelolaan
terhadap Emiten atau utang (liability management) tidak memiliki dampak
Perusahaan Publik/ negatif terhadap kegiatan operasional, hukum serta
Impact of such event kelangsungan Perseroan dan selanjutnya akan
information or material facts memberikan dampak positif pada kondisi keuangan
towards Issuer or Public Perseroan di masa mendatang.
Company Completion and settlement for the Tender Offer as part
of the performances of liability management did not

law and business continuity of the Company, and
subsequently will cause positive impact to the financial
condition of the Company.

Demikian laporan ini kami sampaikan. Apabila terdapat hal-hal material lainnya yang
mengubah informasi yang disampaikan dalam laporan ini, maka akan segera diumumkan dan
disampaikan kembali. Laporan ini kami sampaikan dalam Bahasa Indonesia dan Bahasa
Inggris, apabila terdapat perbedaan arti di antara versi Bahasa Indonesia dan Bahasa Inggris
maka yang berlaku adalah versi Bahasa Indonesia dan versi Bahasa Inggris akan diartikan
mengikuti Bahasa Indonesia.

presented in this report, they will be announced and resubmitted immediately. This report is
made in Indonesian Language and English Language, in the event of any discrepancies between
the Indonesian and English version the Indonesian Language will prevail and the English
Language will be construed in accordance with the Indonesian Language.
