Uraian Informasi atau Fakta Material Informasi ini merujuk pada Keterbukaan Informasi kepada
Pemegang Saham, yang sebelumnya telah diumumkan oleh
Perseroan melalui Surat Perseroan No.035L/TJT/V/2024
tertanggal 15 Mei 2024 sebagaimana diubah dengan
Perubahan dan atau Tambahan Informasi atas Keterbukaan
Informasi tanggal 19 Juni 2024, sebagai berikut:
- telah ditandatanganinya Akta Jual Beli Saham antara
Perseroan, PT Puri Bumi Lestari (PBL) dan PT Suryacipta
Swadaya (SCS) sehubungan dengan pengalihan sejumlah
55.808.781 saham yang dimiliki oleh Perseroan dalam SCS
kepada PBL dengan nilai transaksi Rp169.814.958.827,00
(Pengalihan Saham); dan
- telah dilakukannya penerbitan 962.701.486 saham
baru oleh SCS yang seluruhnya diambilbagian oleh PBL
dengan nilai transaksi Rp2.929.308.081.601,00 (Penerbitan
Saham SCS, secara bersama-sama dengan Pengalihan
Saham selanjutnya disebut sebagai Transaksi).
Selain itu, Perseroan, SCS dan PBL telah menandatangani
Perjanjian Novasi Jasa Manajemen (Perjanjian dan
penandatanganan Perjanjian selanjutnya disebut sebagai
Penandatanganan Perjanjian).
Pembayaran atas imbalan jasa manajemen dari SCS kepada
Perseroan dan PBL adalah sebesar 3 persen dari laba usaha
kondolidasian SCS untuk setiap tahun buku (Laba Usaha
Konsolidasian) atau sekurang-kurangnya sebesar Rp50.
000.000,- (lima puluh juta Rupiah) jika ternyata besaran Laba
Usaha Konsolidasian kurang dari Rp50.000.000,- (lima puluh
juta Rupiah) (Imbalan Jasa Manajemen). Pembayaran atas
Imbalan Jasa Manajemen tersebut baru akan ditagihkan
kepada SCS pada bulan Mei tahun berikutnya setelah laporan
keuangan tahunan SCS ditutup.
Sehubungan belum ditentukannya nilai dari Imbalan Jasa
Manajemen karena menunggu ditutupnya laporan keuangan
untuk tahun buku yang berakhir tanggal 31 Desember 2024,
maka Perseroan akan melakukan keterbukaan informasi
secara lengkap sebagaimana disyaratkan dalam POJK No. 42
Tahun 2020, setelah besarnya Imbalan Jasa Manajemen
tersebut ditentukan.
Informasi lebih lanjut mengenai transaksi dapat mengakses
situs web Perseroan http://www.suryainternusa.com/
Dampak kejadian, informasi atau fakta 1. Bertambahnya saldo Kas dan Bank Perseroan secara
material tersebut terhadap kegiatan konsolidasi terutama yang ada di SCS;
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau 2. SCS akan tetap dikonsolidasikan kepada Perseroan
Perusahaan Publik dan laba tahun berjalan serta laba komprehensif yang berasal
dari SCS akan diatribusikan ke Kepentingan Non Pengendali
sebesar 36,5% di Laporan Laba Rugi Konsolidasi Perseroan
sejak PBL telah menjadi pemegang saham SCS.
Adapun, atas Penandatanganan Perjanjian, tidak ada dampak
apapun yang timbul terhadap Perseroan.

Description of Material Information or This information refers to the disclosure of information to
Facts shareholders, previously announced by the Company through
Company Letter No.035L/TJT/V/2024 dated May 15, 2024, as
amended by Changes and or Additional Information on
Disclosure of Information dated 19 June 2024, as follows:
- The signing of a Share Purchase Agreement between the
Company, PT Puri Bumi Lestari (PBL), and PT Suryacipta
Swadaya (SCS) regarding the transfer of 55,808,781 shares
owned by the Company in SCS to PBL with a transaction
value of Rp169,814,958,827.00 (Share Transfer) and
- The issuance of 962,701,486 new shares by SCS, all of
which were subscribed by PBL with a transaction value of
Rp2,929,308,081,601.00 (SCS Share Issuance, collectively
referred to as the Transaction).
In addition, the Company, SCS, and PBL have signed a
Management Service Novation Agreement (Agreement and
the signing of subsequent agreements referred to as Signing
of the Agreement).
Payment for management service fees from SCS to the
Company and PBL is 3 percent of SCS's consolidated
business profit for each financial year (Consolidated Business
Profit) or at least Rp50,000,000 (fifty million Rupiah) if the
Consolidated Business Profit is less than Rp50,000,000 (fifty
million Rupiah) (Management Service Fee). Payment for the
Management Service Fee will only be invoiced to SCS in May
of the following year after the annual financial statements of
SCS are closed.
Due to the undetermined amount of the Management Service
Fee pending the closure of the financial statements for the
fiscal year ending 31 December 2024, the Company will
provide full disclosure of information as required by POJK No.
42 year 2020, after the amount of the Management Service
Fee has been determined.

Impact of event, material information or 1. The increase in the Company's cash and bank balances on
facts towards Issuers or Public a consolidated basis, especially those held in SCS;
Company’s operational activities, legal,
financial condition, or going concern 2. SCS will continue to be consolidated into the Company, and
the current year's profit and comprehensive income derived
from SCS will be attributed to the Non-Controlling Interest of
36.5% in the Company's Consolidated Income Statement
since PBL has become a shareholder of SCS.
Regarding the signing of the agreement, there are no impacts
arising for the Company.
