Uraian Informasi atau Fakta Material Laporan ini merupakan kelanjutan dari Laporan Informasi atau
Fakta Material yang telah kami umumkan berdasarkan Surat
No. 017/BREN/BOD/IV/2024 tanggal 2 April 2024.
Pada tanggal 14 Juni 2024, Perseroan telah melakukan
penambahan penyetoran modal kepada PT Barito Wind
Energy ("BWE") sebesar Rp 497.389.000.000 untuk
pengambilanbagian atas seluruh saham baru yang diterbitkan
oleh BWE sejumlah 497.389 ("Penambahan Penyetoran
Modal"). BWE merupakan perusahaan terkendali Perseroan
yang dimiliki secara langsung sebesar 99,99%. Atas
Penambahan Penyetoran Modal tersebut, kepemilikan
Perseroan kepada BWE meningkat menjadi 962.388 saham
yang mewakili 99,99% dari modal ditempatkan dan disetor
BWE.
Dana atas Penambahan Penyetoran Modal telah digunakan
oleh BWE untuk melunasi Fasilitas Tranche B sebesar USD
29.000.000 berdasarkan Facilities Agreement tanggal 28
Maret 2024 antara BWE dan PT Bank Negara Indonesia
(Persero) Tbk pada tanggal 14 Juni 2024.
Penambahan Penyetoran Modal ini merupakan Transaksi
Afiliasi sebagaimana dimaksud dalam Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan ("POJK 42"). Meskipun demikian,
berdasarkan Pasal 6 ayat (1.b) dan ayat (2) POJK 42,
transaksi tersebut hanya wajib dilaporkan kepada OJK 2 hari
kerja sejak terjadinya transaksi karena transaksi dilakukan
oleh Perseroan untuk BWE yang sahamnya dimiliki oleh
Perseroan sebesar 99,99%.

Description of Material Information or This report is a continuation of the Report on Material
Facts Information or Facts that we have previously announced based
on Letter No. 017/BREN/BOD/IV/2024 dated 2 April 2024.
On 14 June 2024, the Company has made an additional
capital participation to PT Barito Wind Energy ("BWE") in the
amount of Rp 497,389,000,000 to subscribe all new shares
issued by BWE in the amount of 497,389 ("Additional Capital
Participation"). BWE is a 99.99% controlled subsidiary of the
Company. Due to the Additional Capital Participation, the
Company's ownership of BWE increased to 962,388 shares or
99.99% of BWE's issued and paid-up capital.
The proceeds from the Additional Capital Participation have
been used by BWE to pay off the Tranche B Facility amounting
to USD 29,000,000 based on the Facilities Agreement dated
28 March 2024 between BWE and PT Bank Negara Indonesia
(Persero) Tbk on 14 June 2024.
The Additional Capital Participation is constituted as an
Affiliate Transaction under OJK Regulation No.
42/POJK.04/2020 concerning Affiliate Transaction and Conflict
of Interest Transaction ("POJK 42"). However, based on Article
6 paragraph (1.b) and paragraph (2) of POJK 42, these
transactions must only be reported to OJK 2 business days
since the transactions occurred, because the transactions are
carried out by the Company for BWE which shares are owned
by the Company at 99.99%.
