the cancellation of treasury shares, in accordance with Article
47 paragraph (2) of Law No. 40 of 2007 concerning Limited
Liability Companies (Company Law); and (b) implement a
Management and Employee Stock Ownership Program
(MESOP) (hereinafter referred to as the MESOP Program, or
subsequently known as the Long-Term Share Plan or LTSP).
