Uraian Informasi atau Fakta Material Merujuk pada Surat PT iForte Solusi Infotek ("iForte") No.
021/EXT/ISI/HS/HT/VI/2024 tanggal 5 Juni 2024 Perihal:
Pengumuman Negosiasi Rencana Pengambilalihan
("Pengumuman Negosiasi"), bersama ini kami informasikan
bahwa iForte, yang merupakan entitas anak tidak langsung
yang dikendalikan oleh Perseroan, berencana untuk
mengambil alih saham-saham dalam PT Inti Bangun Sejahtera
Tbk. ("IBST") yang mewakili kurang lebih 90,11% (sembilan
puluh koma satu satu persen) dari total modal yang disetor
dan ditempatkan dalam IBST, yang dimiliki oleh PT Bakti
Taruna Sejati (pemegang saham mayoritas IBST) dan
beberapa pemegang saham minoritas IBST lainnya
(selanjutnya secara bersama-sama disebut sebagai "Para
Penjual"), dimana setelah penyelesaian transaksi tersebut,
iForte akan menjadi pengendali baru IBST (rencana
pengambilalihan saham sebagaimana dideskripsikan di atas
selanjutnya disebut sebagai "Rencana Pengambilalihan").
Rencana Pengambilalihan tersebut dilakukan melalui proses
tender/lelang yang diadakan oleh Para Penjual, dan PT
Profesional Telekomunikasi Indonesia ("Protelindo") yang
merupakan anak perusahaan terkendali yang dimiliki secara
langsung oleh Perseroan, turut berpartisipasi dalam
pelaksanaan tender/lelang dimaksud hingga dipilih sebagai
pemenang dari tender/lelang (preferred bidder). Setelah
Protelindo terpilih sebagai pemenang dari tender/lelang
(preferred bidder), Protelindo kemudian menunjuk iForte, yang
juga merupakan anak yang dimiliki langsung oleh Protelindo,
untuk bertindak sebagai pembeli pada Rencana
Pengambilalihan.
Sebagaimana disampaikan dalam Pengumuman Negosiasi,
tujuan dari Rencana Pengambilalihan adalah untuk
pengembangan usaha serta memperluas jaringan usaha
dalam rangka memperkuat posisi bisnis grup iForte di bidang
digital infrastruktur telekomunikasi.
Dampak kejadian, informasi atau fakta Informasi atau fakta material yang diungkapkan tidak memiliki
material tersebut terhadap kegiatan dampak negatif terhadap kegiatan operasional, hukum, kondisi

Description of Material Information or With reference to the Letter of PT iForte Solusi Infotek
Facts ("iForte") No. 021/EXT/ISI/HS/HT/VI/2024 dated 5 June 2024
Re: Negotiation Announcement on Proposed Acquisition
("Negotiation Announcement"), we hereby inform you that
iForte, an indirect subsidiary that is controlled by the Company,
proposed to acquire shares in PT Inti Bangun Sejahtera Tbk.
("IBST") representing approximately 90.11% (ninety point one
one percent) of all issued and paid-up capital in IBST, owned
by PT Bakti Taruna Sejati and certain other minority
shareholders of IBST (collectively hereinafter shall be referred
to as the "Sellers"), whereby after the completion of such
transaction, iForte will be the new controller of IBST (proposed
acquisition of shares as described above hereinafter shall be
referred to as the "Proposed Acquisition"). The Proposed
Acquisition is conducted through a tender process held by the
Sellers, and PT Profesional Telekomunikasi Indonesia
("Protelindo"), which is a controlled subsidiary directly owned
by the Company, has participated in this tender process and
was named as the preferred bidder. Following Protelindo being
named as the preferred bidder, Protelindo appointed iForte,
which is a subsidiary that is directly owned by Protelindo, to act
as the purchaser for the Proposed Acquisition.
As conveyed in the Negotiation Announcement, the purpose of
Proposed Acquisition is to develop business and expand
business network in order to strengthen iForte's group
business position in the digital telecommunications
infrastructure sector.
