1. Sehubungan dengan pembelian aset berupa mesin dan peralatan dari PT Mega Global Energi
(MGE), agar dijelaskan mengenai/ In connection with the purchase of assets in the form of
machinery and eguipment from PT Mega Global Energy (MGE), please explain the following:

a.

Bidang usaha MGE, apakah MGE perusahaan atau operator tambang? Regarding MGE' line
of business, is MGE a company or mining operator?

Tanggapan/Response:

MGE merupakan perusahaan yang bergerak dalam bidang jasa pertambangan yang
umumnya disebut sebagai sub-kontraktor pada lokasi pertambangan / MGE is a company
that operates in the mining services sector which is generally referred to as a sub-contractor
at mining sites.

Struktur pemegang saham serta susunan direksi dan komisaris MGE? Structure of
Shareholder's and composition of MGE's directors and commissioners?
Tanggapan/Response:

Susunan Pemegang saham MGE yakni sebagai berikut / The composition of MGE
Shareholders is as follows :

- PT Batubara Global Energy - 99.94

- LX International Singapore Pte., Ltd. - 0.14

Susunan direksi dan Komisaris MGE yakni sebagai berikut / The composition of MGE's Board
of Directors and Board of Commissioners are as follows :

- Direktur Utama / President Director : Mr Lee Sang Moo
- Direktur / Director : Mr Son Jae Hyun

- Direktur / Director : Mr Yi Young Woo
- Direktur / Director : Mr Woo Hyunuk

- Komisaris /Commissioner : Mr Kim Sang Geun

Dengan penjualan aset tersebut, apakah secara korporasi MGE tidak melakukan kegiatan
operasional pertambangan lagi? Agar dielaborasi lebih lanjut? With the sale of these assets,
as a corporation, will MGE discontinue carrying out mining operations activities again? Please
elaborate further.

Tanggapan/Response:

MGE merupakan sub-kontraktor (jasa pertambangan) yang beroperasi di beberapa wilayah
kerja selain di lokasi tambang Perseroan. Sehingga dengan terjadinya penjualan asset
dimaksud, tidak secara langsung memberhentikan kegiatan usaha MGE. MGE is a sub-
contractor (mining services) that operates in several work areas apart from the Company's
mining location. Therefore the sale of the assets in guestion does not directly stop MGE's
business activities.

2. Berdasarkan laporan keuangan per 31 Desember 2023, jumlah karyawan Perseroan sebanyak
358 orang. Dalam keterbukaan informasi transaksi afiliasi, Perseroan juga memperkerjakan
pegawai MGE setelah Perseroan diakuisisi oleh LX Internasional. Namun berdasarkan laporan
keuangan per 31 Maret 2024, jumlah karyawan justru mengalami penurunan. Agar dijelaskan
mengenai / Based on the financial report as of December 31, 2023, the number of Company
employees was 358 people. In disclosing information on affiliate transactions, he Company also
employed MGE employees after the Company was acguired by LX International. However, based
on the financial report as of March 31 2024, the number of Company employees has actually
decreased to 319 people:

a. Penyebab penurunan jumlah karyawan tersebut? The reason for the decrease in the number
of employees?
Tanggapan/Response:
Penyebab penurunan jumlah karyawan disebabkan oleh terjadinya pemutusan hubungan
kerja pegawai Perseroan akibat dari akuisisi yang dilakukan oleh LX International melalui
anak usahanya PT Energy Battery Indonesia. Selain itu, pada triwulan pertama terjadi
pengunduran diri oleh beberapa karyawan baik di site tambang maupun di kantor Jakarta /
The cause of the decrease in the number of employees was due to the termination of
employment of the Company's employees as a result of ihe acguisition carried out by LX
International through its subsidiary PT Energy Battery Indonesia. In addition to that, in the first
guarter there were resignations by several employees both at the mining site and at the
Jakarta Office.

b. Mengapa karyawan Perseroan justru mengalami penurunan dimana periode tersebut justru

terdapat penambahan karyawan dari MGE? Why did the Company's employees actually
experience a decline when in that period there were actually additional employees from MGE?
Tanggapan/response:
Sesuai penjelasan poin (a), penambahan / transfer pegawai MGE ke Perseroan disertai
dengan alasan alasan penurunan jumlah karyawan yang telah dijelaskan sebelumnya dan
transfer pegawai MGE dilakukan pada bulan April 2024 dan belum terefleksikan pada laporan
keuangan per 31 Maret 2024. / According to the explanation of point (a), the additioniransfer
of MGE employees to the Company is accompanied by reasons for the decrease in the
number of employees which have been explained in the previous answer and also the transfer
of MGE employees was conducted in April 2024 and therefore not yet reflected in the finansial
statement as of March 31st, 2024.

c. Berapa jumlah karyawan MGE yang diperkerjakan oleh Perseroan? How many MGE
employees are employed by the Company?
Tanggapan/response:
Jumlah karyawan yang dipekerjakan di site Perseroan sebanyak 47 orang./ The number of
MGE employees employed at the the Company's site is 47 employees.

d. Bagaimana status dari karyawan MGE yang diperkerjakan oleh Perseroan tersebut? What is
the status of MGE employees employed by the Company ?
Tanggapan/response:
Perpindahan karyawan MGE ke Perseroan dianggap sebagai mutasi pegawai sehingga
status pegawai yang dipindahkan mengikuti status kepegawaian pada entitas sebelumnya
yaitu sebagai 27 orang sebagai pegawai tetap dan 20 orang sebagai karyawan kontrak / The
transfer of MGE employees to the Company is considered an employee transfer so that the
status of the transferred employee follows the employment status of the previous entity,
consist of 27 people as permanent employees and 20 people as contract employees.

3. Agar dijelaskan sumber dana yang digunakan untuk pembelian aset berupa mesin dan peralatan
pertambangan tersebut / Explain the source of funds used to purchase assets in the form of
mining machines and eguipment:

Tanggapan/response :

Sumber dana yang digunakan dalam transaksi jual beli asset antara MGE dan Perseroan
bersumber dari kas internal Perseroan / The source of funds used in asset sale and purchase
transactions between MGE and the Company comes from the Company's internal funds.

4. Salah satu pertimbangan pembelian aset tersebut agar karyawan MGE yang diperkerjakan oleh
Perseroan sudah terbiasa dengan peralatan yang digunakan sebelumnya. Agar dijelaskan
mengenai manfaat dari sisi Perseroan antara lain/ One of the considerations for purchasing these
assets is so that MGE employees employed by the Company are familiar with the eguipment
previously used. To explain the benefits from the Company's side, among others :

a. Keuntungan dengan pembelian aset tersebut bagi Perseroan/ Benefit of the Company from
purchasing the asset:

Keuntungan yang diperoleh dari sisi Perseroan salah satunya yaitu dikarenakan lokasi
peralatan tambang (aset) yang diperjualbelikan berlokasi di sekitar lokasi tambang Perseroan
sehingga dapat menghemat dari sisi pengadaan alat pertambangan. Selain itu, dikarenakan
karyawan MGE sudah menguasai operasional peralatan yang sebelumnya, sehingga
Perseroan tidak perlu menyelenggarakan pelatihan bagi operator peralatan tambang
sehingga dianggap lebih efisien dan efektif. Tambahan pelatihan hanya akan dilakukan jika
dianggap perlu. / One of the advantages obtained from the Company's side are the cost
efficiency from the mining eguipment procurement since the location of the asset is already in
the Company's mine location. In addition to that, considering that MGE's employees are
already able to operate the asset, ihe Company does not reguire to conduct trainings forthem
to be able to operate the asset. Additional training will be conducted if necessary.

b. Kontribusi persentase yang diharapkan Perseroan dengan pembelian aset tersebut terhadap

total pendapatan Perseroan dalam 1 tahun ke depan dan juga jangka panjang/ The
percentage contribution of the Company's expected income from purchasing these assets to
the Company's total income in the next 1 year and also in the long term:
Tanggapan/response:
Kontribusi persentase yang diharapkan Perseroan dengan pembelian aset tersebut terhadap
total pendapatan Perseroan adalah sampai dengan 1596 dari total pendapatan Perseroan.
The percentage contribution of the Company's expected income from purchasing these assets
is up to 1596 of the Company's total income.

5. Pertimbangan Perseroan tidak menyertakan pendapat kewajaran atas transaksi jual beli aset dari
Penilai Independen dalam keterbukaan informasi dan hanya menyampaikan laporan penilai atas
nilai pasar dari aset yang dijualbelikan tersebut/ The Company's considerations do not include a
faimess opinion on the sale and purchase of assets from an Independent Appraiser in the
disclosure of information and only included an appraiser's report on the market value of the assets
being purchased:.

Tanggapan/response:

Transaksi afiliasi dalam bentuk pembelian aset MGE yang dilakukan Perseroan adalah untuk
menunjang pekerjaan di lokasi tambang Perseroan, dan menimbang keadaan finansial
Perseroan yang mampu mendukung transaksi tersebut serta keuntungan pembelian aset
tersebut bagi Perseroan sebagaimana dicantumkan pada point 4.a di atas, maka Perseroan
melakukan transaksi tersebut dengan merujuk pada Nilai Pasar sebagaimana tercantum pada
Laporan Penilaian Nomor 00022/2.0074-05/P1/04/0329/1/111/2024 tertanggal 7 Maret 2024 yang
dikeluarkan oleh Kantor Jasa Penilai Publik (“KJPP”) Firman, Suryantoro, Sugeng, Suzy, Hartomo
& Rekan.

The affiliated transaction in the form of MGE aset purchase was done by the Company to support
the works in the Company's mine location, and considering the finansial condition of the Company
that can support the transaction and the benefit for the Company by purchasing the aset as
elaborated in point 4.a above, the Company conducted the transaction by referring to the Market
Value as provided in Appraisal Report Number 00022/2.0074-05/P1/04/0329/1/111/2024 dated
March 7th, 2024 which was issued by KJPP Firman, Suryantoro, Sugeng, Suzy, Hartomo &
Rekan.

6. Informasi/fakta kejadian penting lainnya yang material dan dapat mempengaruhi harga efek
Perseroan serta kelangsungan hidup Perseroan yang belum diungkapkan kepada publik / Other
informationffacts that are material and could affect the price of the Company's securities and the
survival of the Company that have not been disclosed to the public:

Tidak ada informasi atau Fakta Material yang diketahui oleh Perseroan hingga tanggal
diterbitkannya surat yang belum disampaikan oleh Perseroan melalui SPE-IDXnet. / There is no
material information or facts which are known by the Company as of the issuance of the Company
that has not been reported by the Company through SPE-IDXXnet.
