Uraian Informasi atau Fakta Material Keterbukaan Informasi (Keterbukaan Informasi) ini
disampaikan dalam rangka memenuhi Peraturan Otoritas Jasa
Keuangan (OJK) Nomor 32/POJK.04/2015 tentang
Penambahan Modal Perusahaan Terbuka Dengan
Memberikan Hak Memesan Efek Terlebih Dahulu
sebagaimana diubah oleh Peraturan OJK Nomor
14/POJK.04/2019 tentang Perubahan atas Peraturan OJK
Nomor 32/POJK.04/2015 tentang Penambahan Modal
Perusahaan Terbuka Dengan Memberikan Hak Memesan Efek
Terlebih Dahulu.
Dampak kejadian, informasi atau fakta Rencana Perseroan melaksanakan PMTHMETD dalam rangka
material tersebut terhadap kegiatan Program MESOP akan berdampak terhadap bertambahnya
operasional, hukum, kondisi keuangan, modal Perseroan sehubungan dengan tambahan dana yang
atau kelangsungan usaha Emiten atau berasal dari pengeluaran Saham Baru. Di sisi lain, Program
Perusahaan Publik MESOP akan berdampak terhadap beban karyawan pada saat
pemberian Hak Opsi. Tambahan beban karyawan tersebut
akan dicatat menggunakan Pernyataan Standar Akuntansi
Keuangan (PSAK) yang berlaku. Dengan demikian setelah
dilaksanakan PMTHMETD untuk Program MESOP, maka
beban karyawan meningkat sesuai dengan tahap pelaksanaan
Program MESOP.

Plan To Increase Capital Without Pre-Emptive Rights

Description of Material Information or This information disclosure (Information Disclosure) is

Regulation No. 32/POJK.04/2015 on Capital Increase of Public
Companies by Granting Pre-emptive Rights, as amended by
OJK Regulation No. 14/POJK.04/2019 on Amendments to
OJK Regulation No. 32/POJK.04/2015 on Capital Increase of
Public Companies by Granting Preemptive Rights.
Impact of event, material information or The Companys plan to implement the PMTHMETD in
facts towards Issuers or Public connection with the MESOP Program will have an impact on
Company’s operational activities, legal, the Companys capital in accordance with the additional capital,
financial condition, or going concern sourcing from the Share issuance. On the other hand, MESOP
Program will have an impact to the Employees expenses at
the time the Option rights are granted. Such additional
employee expenses shall be recorded in accordance with the
applicable Statements of Financial Accounting Standards
(PSAK). Therefore, following the implementation of the
PMTHMETD for the MESOP Program, employee expenses will
increase in line with the stages of implementation of the
MESOP Program.
