Uraian Informasi atau Fakta Material Pada tanggal 13 Mei 2026, Bank sebagai pemberi pinjaman
serta Protelindo dan Iforte sebagai para peminjam (secara
bersama-sama disebut sebagai Para Pihak) telah
menandatangani Addendum atas Akta Perjanjian Kredit No. 12
tanggal 28 Agustus 2023 dengan nilai fasilitas sebesar
Rp1.500.000.000.000 (Perjanjian Kredit Mandiri atau
Transaksi) sehubungan dengan perpanjangan jangka waktu
fasilitas kredit.
Berikut adalah syarat dan ketentuan penting berdasarkan
Perjanjian Kredit Mandiri:
1. Para Pihak dengan ini sepakat untuk memperpanjang
jangka waktu fasilitas menjadi sampai dengan 4 Juni 2027.
2. Protelindo dan Iforte bertanggung jawab secara tanggung
renteng terhadap pelaksanaan seluruh kewajiban berdasarkan
Perjanjian Kredit Mandiri.
1. Transaksi merupakan transaksi afiliasi sebagaimana
dimaksud dalam:
(i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No. 42
Tahun 2020 tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan (POJK 42), yaitu transaksi sesama Perusahaan
Terkendali yang sahamnya dimiliki paling sedikit 99%
(sembilan puluh sembilan persen) oleh Perusahaan Terbuka;
dan/atau
(ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi
pinjaman yang diterima secara langsung dari bank; dan/atau
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman yang diterima
secara langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali.
2. Transaksi di atas bukan merupakan transaksi benturan
kepentingan sebagaimana dimaksud dalam POJK 42 dan
bukan merupakan transaksi material sebagaimana dimaksud
dalam Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material yang negatif yang merugikan terhadap kegiatan
operasional, hukum, kondisi keuangan, operasional, hukum, kondisi keuangan, atau kelangsungan
atau kelangsungan usaha Emiten atau usaha Perseroan.

The signing of the Addendum to the Credit Agreement Deed
Type of Material Information or Facts between Protelindo and Iforte, as the Borrowers, and PT Bank
Mandiri (Persero) Tbk
Description of Material Information or On May 13, 2026, the Bank as lender and Protelindo and Iforte
Facts as borrowers (collectively, the Parties) entered into an
Addendum to Credit Agreement Deed No. 12 dated 28 August
2023 with a facility amount of Rp1,500,000,000,000 (the
Mandiri Credit Agreement or the Transaction) in relation to the
extension of the term of the credit facility.
The following are the key terms and conditions under the
Mandiri Credit Agreement:
1. The Parties hereby agree to extend the facility term until
June 4, 2027
2. Protelindo and Iforte are jointly liable for the obligations
under the Mandiri Credit Agreement.
1. The Transaction constitutes an affiliate transaction as
referred to in:
(i) Article 6 paragraph (1) letter b point 2 of OJK Regulation
No. 42 of 2020 concerning Affiliate Transactions and Conflict
of Interest Transactions (POJK 42), namely a transaction
between Controlled Companies of which at least 99% (ninety-
nine percent) of the shares are owned by a Public Company;
(ii) in Clause 6 section (1) letter (d) i.e., a loan received directly
from banks; and/or
(iii) Article 6 paragraph (1) letter e of POJK 42, namely the
provision of credit support to a bank in relation to loans
received directly by a Public Company or a Controlled
Company.
2. The Transaction does not constitute a conflict-of-interest
transaction as referred to under POJK 42 and does not
constitute a material transaction as referred to under OJK
Regulation No. 17/POJK.04/2020 concerning Material
Transactions and Changes in Business Activities
