Uraian Informasi atau Fakta Material Pada tanggal 15 Mei 2024, telah diadakan Rapat Umum
Pemegang Saham Tahunan Perseroan, dimana Perseroan
telah mendapatkan persetujuan para pemegang saham untuk
melakukan pengurangan modal ditempatkan dan disetor
melalui penarikan saham hasil pembelian kembali Perseroan
sejumlah 1.227.296.100 (satu miliar dua ratus dua puluh tujuh
juta dua ratus sembilan puluh enam ribu seratus) saham atau
setara dengan 3,84% dari modal ditempatkan dan disetor
penuh dalam Perseroan (Pengurangan Modal Ditempatkan
dan Disetor). Pengurangan Modal Ditempatkan dan Disetor
Perseroan ini memiliki tujuan untuk meningkatkan nilai
pemegang saham sekaligus menciptakan struktur permodalan
yang lebih efisien.
Dengan demikian, modal ditempatkan dan disetor Perseroan
yang semula berjumlah 31.985.962.000 (tiga puluh satu miliar
sembilan ratus delapan puluh lima juta sembilan ratus enam
puluh dua ribu) saham dengan nilai nominal sejumlah
Rp3.198.596.200.000 (tiga triliun seratus sembilan puluh
delapan miliar lima ratus sembilan puluh enam juta dua ratus
ribu Rupiah), menjadi 30.758.665.900 (tiga puluh miliar tujuh
ratus lima puluh delapan juta enam ratus enam puluh enam
ribu sembilan ratus) saham dengan nilai nominal sejumlah
Rp3.075.866.590.000 (tiga triliun tujuh puluh lima miliar
delapan ratus enam puluh enam juta lima ratus sembilan puluh
ribu Rupiah).
Pengurangan Modal Ditempatkan dan Disetor Perseroan akan
dilaksanakan berdasarkan ketentuan POJK 30, POJK 29 dan
Undang-Undang No. 40 tahun 2007 tentang Perseroan
Terbatas sebagaimana telah diubah dengan Undang-Undang
Nomor 6 Tahun 2023 tentang Penetapan Peraturan
Pemerintah Pengganti Undang-Undang Republik Indonesia
Nomor 2 Tahun 2022 tentang Cipta Kerja menjadi Undang-
Undang.
Dampak kejadian, informasi atau fakta Tidak ada dampak yang signifikan atas Pengurangan Modal
material tersebut terhadap kegiatan Ditempatkan dan Disetor Perseroan terhadap kegiatan
operasional, hukum, kondisi keuangan, operasional, hukum, kondisi keuangan, atau kelangsungan
atau kelangsungan usaha Emiten atau usaha Perseroan.

Information disclosure on the reduction of the Companys
Type of Material Information or Facts issued and paid up capital by way of the withdrawal of the
shares from the Companys buyback
Description of Material Information or On May 15th, 2024, the Companys Annual General Meeting of
Facts Shareholders was held, whereby the Company obtained the
shareholders approval to execute the reduction of the issued
and paid up capital by way of the withdrawal of the shares
obtained from the Companys share buyback execution, in the
amount of 1,227,296,100 (one billion two hundred twenty
seven million two hundred ninety six thousand and one
hundred) shares, or equivalent to 3.84% of the Companys
issued and paid up capital (the Reduction of Issued and Paid
up Capital). The Reduction of Issued and Paid up Capital has
the objective to increase the shareholders value while creating
a more efficient capital structure.
Therefore, the Companys issued and paid up capital will
reduce from 31,985,962,000 (thirty one billion nine hundred
eighty five million nine hundred sixty two thousand) shares and
nominal value of Rp3,198,596,200,000 (three trillion one
hundred ninety eight billion five hundred ninety six million two
hundred thousand Rupiah) to 30,758,665,900 (thirty billion
seven hundred fifty eight million six hundred sixty five
thousand nine hundred) shares and nominal value of Rp
3,075,866,590,000 (three trillion seventy five billion eight
hundred sixty six million five hundred ninety thousand Rupiah).
The Reduction of Issued and Paid up Capital will be executed
based on POJK 30, POJK 29 and Law number 40 of 2007 on
Limited liability Companies, as amended with Law number 6 of
2023 on the Indonesian Government Regulation in Lieu of Law
number 2 of 2022 on Job Creation Enacted into Law.
