Uraian Informasi atau Fakta Material Pada tanggal 15 Mei 2024, Perseroan tidak dapat melakukan
penyetoran dana kepada KSEI sebagai Agen Pembayaran
sehubungan dengan pembayaran bunga ke-20 (dua puluh)
serta pokok atas Obligasi Berkelanjutan III Waskita Karya
Tahap IV Tahun 2019 (PUB III Tahap IV Tahun 2019) seri B
yang akan jatuh tempo pada tanggal 16 Mei 2024
sebagaimana diperjanjikan dalam Perjanjian Perwaliamanatan.
Adapun hal tersebut dilakukan sehubungan dengan kondisi
Perseroan yang masih dalam proses pengusulan persetujuan
restrukturisasi terhadap PUB III Tahap IV Tahun 2019 yang
prosesnya telah berjalan sejak tahun 2023.
Dampak kejadian, informasi atau fakta Berdasarkan ketentuan Perjanjian Perwaliamanatan Obligasi
material tersebut terhadap kegiatan PUB III Tahap IV Tahun 2019, apabila kegagalan pembayaran
operasional, hukum, kondisi keuangan, bunga tersebut tidak diperbaiki dalam jangka waktu 14 hari
atau kelangsungan usaha Emiten atau kerja sejak diterimanya teguran tertulis dari Wali Amanat,
Perusahaan Publik maka Perseroan dapat dinyatakan cidera janji berdasarkan
Perjanjian Perwaliamanatan, dan Wali Amanat atas
pertimbangannya sendiri berhak memanggil RUPO lebih lanjut
untuk menentukan tindaklanjut atas cidera janji tersebut
terhadap Perseroan.
Informasi Lain
Perseroan akan melaksanakan RUPO pada tanggal 16 Mei 2024.

Postponement of Interest and Principal Payments of Bond III
Type of Material Information or Facts Waskita Karya Phase IV of 2019 Series B
Description of Material Information or On May 15, 2024, the Company did not deposit funds to KSEI
Facts as Payment Agent for the payment of the 20th interest and
principal of Shelf Registered Bonds III Waskita Karya Phase IV
of 2019 (PUB III Phase IV of 2019) series B which will mature
on May 16, 2024 as agreed in the Trusteeship Agreement.
This was due to the Company is still in the process of applying
for restructuring approval of PUB III Phase IV of 2019, the
process has been running since 2023.
Impact of event, material information or Based on the provisions of the PUB III Phase IV of 2019
facts towards Issuers or Public Trusteeship Agreement, if the failure to pay interest is not
Company’s operational activities, legal, corrected within 14 working days from the receipt of a written
financial condition, or going concern warning from the Trustee, then the Company may be declared
in breach of contract based on the Trustee Agreement, and the
Trustee at its own discretion has the right to call for a further
RUPO to determine the follow-up action for the breach of
contract against the Company.
Other Information
The Company will hold a RUPO on May 16, 2024.
