Uraian Informasi atau Fakta Material Pada tanggal 14 Mei 2024, Perseroan telah menandatangani:
(1) Akta Jual Beli Saham No. 06 dan No. 07 dibuat oleh
Notaris Devi Yanti SH., MKn., Notaris di Jakarta; sehubungan
dengan penyelesaian akuisisi atas 60.000 lembar saham atau
100% saham di dalam PT Borneo Bangun Banua Bestari (B4)
yang dimiliki oleh PT Lamiplagema Perkasa (LP) dan Tn.
Maichiardshen (MS, dan bersama-sama dengan LP disebut
Para Penjual); dan
(2) Perjanjian Pengikatan Jual Beli Saham Lunas (PPJB
Lunas); sehubungan dengan penjualan atas 30% saham di
dalam PT Borneo Bangun Banua (B3), yaitu: (a) sebanyak 299
atau mewakili 29,9% saham di dalam B3 milik LP; dan (b)
sebanyak 1 atau mewakili 0,01% saham di dalam B3 milik MS.
Adapun penandatanganan akta jual beli untuk saham
berdasarkan PPJB Lunas ini akan segera dilaksanakan
setelah terpenuhinya seluruh persyaratan yang diatur di dalam
PPJB Lunas.
Pembelian saham sebagaimana disebutkan dalam angka (1)
dan (2) di atas, selanjutnya disebut Transaksi.
Dengan selesainya Transaksi, maka Perseroan akan menjadi
pemegang saham langsung atas 100% saham di dalam B4
dan B3.
B3 merupakan perusahaan pemegang Izin Usaha
Pertambangan Batubara (IUP) dengan wilayah kerja di
Kalimantan Tengah, sedangkan B4 merupakan pemilik 99,9%
saham di dalam B3.
Penandatanganan dokumen Transaksi merupakan tindak
lanjut dan penyelesaian atas pengikatan jual beli saham yang
sebelumnya telah dibuat oleh Perseroan dengan Para Penjual,
sebagaimana yang telah disampaikan di dalam Prospektus
dalam rangka penawaran umum perdana saham Perseroan
tertanggal 2 Maret 2023.
Dampak kejadian, informasi atau fakta Dengan selesainya Transaksi, maka Perseroan akan menjadi
material tersebut terhadap kegiatan pemegang saham langsung atas 100% saham di dalam B4,
operasional, hukum, kondisi keuangan, dan secara tidak langsung di dalam B3.
atau kelangsungan usaha Emiten atau
Perusahaan Publik Transaksi ini sejalan dengan rencana pengembangan usaha
Perseroan, yang secara umum bertujuan untuk menambah
aset Perseroan, memperluas usaha Perseroan, serta
meningkatkan kapasitas produksi Batubara Perseroan melalui
anak-anak usahanya sehingga dapat memberikan nilai lebih
kepada para pemangku kepentingan Perseroan di masa
mendatang.

Signing of Deed of Sale and Purchase of Shares
Type of Material Information or Facts
Description of Material Information or On 14 May 2024 the Company have signed:
Facts
(1) Deed of Sale and Purchase of Shares No. 06 and No.
07 made before Devi Yanti SH., MKn., Notary in Jakarta; in
relation to completion of the acquisition of 60,000 shares or
100% shares in the capital of PT Borneo Bangun Banua
Bestari (B4) owned by PT Lamiplagema Perkasa (LP) and Tn.
Maichiardshen (MS, and together with LP, the Sellers); and
(2) Fully Paid Binding Agreement for the Sale and
Purchase of Shares (Fully Paid BSPA); in relation to the sale
of 30% shares in PT Borneo Bangun Banua (B3), respectively:
(a) 299 shares or representing 29.9% shares in B3 owned by
LP; and (b) 1 or representing 0.01% shares in B3 owned by
MS. The deed of sale and purchase of shares under this Fully
Paid BSPA will be executed upon satisfaction of all conditions
as stipulated in the Fully Paid BSPA.
The purchase of shares described in points (1) and (2) above,
hereinafter shall be referred to as the Transaction.
Upon completion of the Transaction, the Company will have a
direct ownership of 100% shares in B4 and B3.
B3 is the holder of a Coal Mining Business License (IUP) with
the working area in Central Kalimantan, while B4 is the holder
of 99.9% shares in B3.
Execution of documents for the Transaction is a follow-up and
completion of the binding agreement for the sale and purchase
of shares which was made by the Company and the Sellers,
and has been informed by the Company in its Prospectus for
the initial public offering of 2 March 2023.
