Uraian Informasi atau Fakta Material Pada tanggal 28 Agustus 2026, PT Rama Indonesia (Rama
Indonesia) selaku pengendali baru Perseroan telah
menyampaikan surat No. S/038/RI-FIN-VIII-2026 perihal
Tindak Lanjut atas Rencana Penundaan Pelaksanaan
Penawaran Tender Wajib atas Saham PT Dua Putra Utama
Makmur Tbk kepada Perseroan.
Surat tersebut merupakan tindak lanjut atas surat Rama
Indonesia No. S/027/RI-FIN/VII/2026 tanggal 30 Juli 2026
mengenai pemberitahuan penundaan pelaksanaan
Penawaran Tender Wajib dan hasil pertemuan secara daring
antara Rama Indonesia dengan OJK pada tanggal 12 Agustus
2026.
Dalam surat tersebut, Rama Indonesia memberitahukan
mengenai pemberitahuan penundaan pelaksanaan
Penawaran Tender Wajib serta menjelaskan bahwa
penundaan pelaksanaan Penawaran Tender Wajib diperlukan
sehubungan dengan penyesuaian prioritas penggunaan dana
yang sebelumnya telah dialokasikan sebagai dana tersedia
untuk pelaksanaan Penawaran Tender Wajib. Pasca insiden
kebakaran pada fasilitas pabrik Perseroan pada bulan Juni
2026, terdapat kebutuhan pendanaan yang bersifat mendesak
untuk mendukung proses pemulihan, perbaikan, dan
stabilisasi kegiatan usaha Perseroan, termasuk pemulihan
fasilitas operasional, pengamanan aset, pemenuhan
kewajiban terhadap pihak ketiga yang terdampak, serta
pelaksanaan langkah-langkah mitigasi agar kegiatan usaha
Perseroan dapat kembali berjalan secara normal dan
berkelanjutan.
Rama Indonesia selanjutnya menyampaikan bahwa, dengan
memperhatikan perkembangan proses pemulihan, perbaikan,
dan stabilisasi kegiatan usaha Perseroan, Penawaran Tender
Wajib tetap akan dilaksanakan dengan memperhatikan
ketentuan peraturan perundang-undangan yang berlaku.
Berdasarkan rencana jadwal terkini, pelaksanaan Penawaran
Tender Wajib direncanakan dengan jadwal sebagai berikut:

Rencana jadwal tersebut merupakan rencana terkini dan dapat
mengalami perubahan dengan memperhatikan proses,
ketentuan, persetujuan dan/atau arahan OJK serta ketentuan
peraturan perundang-undangan yang berlaku. Dalam hal
terdapat perubahan, informasi lebih lanjut akan disampaikan
sesuai dengan ketentuan keterbukaan informasi yang berlaku.

Dampak kejadian, informasi atau fakta Penyesuaian jadwal Penawaran Tender Wajib merupakan
material tersebut terhadap kegiatan penyesuaian waktu pelaksanaan kewajiban Rama Indonesia
operasional, hukum, kondisi keuangan, selaku pengendali baru Perseroan dan tidak mengubah
atau kelangsungan usaha Emiten atau komitmen Rama Indonesia untuk melaksanakan Penawaran
Perusahaan Publik Tender Wajib.
Pada saat laporan ini disampaikan, penyesuaian jadwal
tersebut tidak menimbulkan dampak negatif material secara
langsung terhadap kegiatan operasional, kondisi hukum,
kondisi keuangan, atau kelangsungan usaha Perseroan.
Perseroan akan terus memantau perkembangan pelaksanaan
Penawaran Tender Wajib dan menyampaikan setiap
perkembangan yang bersifat material sesuai dengan
ketentuan keterbukaan informasi yang berlaku.
Informasi Lain
PT Dua Putra Utama Makmur Tbk ( DPUM ) merupakan perusahaan yang bergerak dalam pengolahan hasil perikanan.
Perseroan memiliki kapabilitas produksi dan pengolahan hasil perikanan untuk memenuhi kebutuhan pasar domestik
maupun ekspor. Ke depan, Perseroan akan terus mengoptimalkan kapabilitas yang dimiliki dengan tetap menerapkan
prinsip kehati-hatian, tata kelola perusahaan yang baik, dan kepatuhan terhadap ketentuan peraturan perundang-
undangan yang berlaku.

Description of Material Information or On August 28, 2026, PT Rama Indonesia (Rama Indonesia),
Facts as the new controlling shareholder of the Company, submitted
Letter No. S 038 RI FIN VIII 2026 concerning the Follow Up to
the Plan for the Postponement of the Implementation of the
Mandatory Tender Offer for Shares of PT Dua Putra Utama
Makmur Tbk to the Company.
The letter constitutes a follow up to Rama Indonesia Letter No.
S 027 RI FIN VII 2026 dated July 30, 2026, concerning the
notification of the postponement of the implementation of the
Mandatory Tender Offer and the results of the online meeting
between Rama Indonesia and the Financial Services Authority
(OJK) held on August 12, 2026.
In the letter, Rama Indonesia notified the Company of the
postponement of the implementation of the Mandatory Tender
Offer and explained that the postponement was necessary in
connection with the adjustment of funding priorities that had
previously been allocated as available funds for the
implementation of the Mandatory Tender Offer.
Following the fire incident at the Company factory facility in
June 2026, there is an urgent funding requirement to support
the recovery, repair, and stabilization of the Company
business activities, including the restoration of operational
facilities, securing of assets, fulfillment of obligations to
affected third parties, and implementation of mitigation
measures to enable the Company business activities to
resume normal and sustainable operations.
Rama Indonesia further stated that, taking into account the
progress of the Company business recovery, repair, and
stabilization processes, the Mandatory Tender Offer will
continue to be implemented in accordance with the applicable
laws and regulations.
Based on the latest proposed schedule, the implementation of
the Mandatory Tender Offer is planned as follows.
Activity: Commencement of Mandatory Tender Offer Period
Proposed Date: September 24, 2026
Activity: End of Mandatory Tender Offer Period
Proposed Date: October 23, 2026
Activity: Settlement of Transaction and Payment of Mandatory
Tender Offer
Proposed Date: November 9, 2026
The proposed schedule represents the latest plan and may be
subject to change, taking into account the processes,
applicable provisions, approvals and directions of the Financial
Services Authority (OJK), as well as the applicable laws and
regulations.
In the event of any changes, further information will be
disclosed in accordance with the applicable information
disclosure requirements.

Impact of event, material information or The adjustment to the Mandatory Tender Offer schedule
facts towards Issuers or Public represents a change in the timing of the fulfillment of Rama
Company’s operational activities, legal, Indonesia obligations as the new controlling shareholder of the
financial condition, or going concern Company and does not change Rama Indonesia commitment
to implement the Mandatory Tender Offer.
As of the date of this report, the adjustment to the schedule
does not have any direct material adverse impact on the
Company operations, legal matters, financial condition, or
business continuity.
The Company will continue to monitor developments regarding
the implementation of the Mandatory Tender Offer and
disclose any material developments in accordance with the
applicable information disclosure requirements.
Other Information
PT Dua Putra Utama Makmur Tbk (DPUM) is a company engaged in fishery product processing. The Company has
production and fishery product processing capabilities to meet the needs of both domestic and export markets.
Going forward, the Company will continue to optimize its capabilities while adhering to the principles of prudence,
good corporate governance, and compliance with applicable laws and regulations.
