Kewajiban Penyampaian Informasi, dengan ini, kami, PT Lippo Karawaci Tbk. (“Perseroan”)
bermaksud untuk menyampaikan Laporan Informasi atau Fakta Material sebagai berikut:
In order to comply with OJK Regulation No. 31/POJK.04/2015 regarding Disclosure of
Information or Material Facts by the Issuers or Public Companies and Directors Decree of
Indonesia Stock Exchange No. KEP-00066/BEI/09-2022 regarding the Amendment to the
Regulation No. I-E on the Obligation to Submit Information, we, PT Lippo Karawaci Tbk. (the
“Company”) hereby intend to submit the Report on Material Information or Facts as follows:

development dan sarana penunjangnya serta
menjalankan usaha dalam bidang jasa termasuk
pembangunan perumahan, perkantoran,
perindustrian, perhotelan, rumah sakit, pusat
perbelanjaan, fasilitas umum, hospitality, pelayanan
kesehatan beserta fasilitasnya, baik secara langsung
maupun melalui penyertaan (investasi) ataupun
pelepasan (divestasi) modal sehubungan dengan
kegiatan usaha utama Perseroan dalam perusahaan
lain.
Engaged in real estate, including but not limited to real
estate that is owned or leased, which includes business
development, purchase, sale, rental and operation of
real estate such as land, apartment buildings, malls,
shopping centers, hospitals, conference halls,
hospitality, sports facilities, and supporting facilities,
urban development, building development for self-
operation; providing accommodation and providing
food and drink; professional, scientific and technical
activities; construction; transportation; trading; water

Information or Facts bermaksud untuk mengajukan permohonan
persetujuan (“Consent Solicitation”) dan penawaran
tender (“Tender Offer”) yang detailnya akan
diinformasikan lebih lanjut di bawah ini.
The Company, through Theta Capital Pte. Ltd., a
subsidiary of the Company established under the laws
of Singapore ("Theta Capital"), intends to submit
request for consent (“Consent Solicitation”) and
tender offer (“Tender Offer”) with the following
details:
Theta Capital telah memulai proses pengajuan Consent
Solicitation sebagai berikut:
Theta Capital has initiated a process of Consent
Solicitation submission as follows:
a. pengajuan Consent Solicitation kepada:
submit the Consent Solicitation to:
i. pemegang obligasi senior yang akan jatuh
tempo tahun 2025 dengan tingkat bunga
8,125% (“Obligasi 2025”); dan
holders of the 8.125% senior notes due 2025
(“2025 Notes”); and
ii. pemegang obligasi senior yang akan jatuh
tempo tahun 2026 dengan tingkat bunga
6,75% (“Obligasi 2026”),
holders of the 6.75% senior notes due 2026
(“2026 Notes”),

untuk menyetujui pengesampingan terhadap:
to approve on the certain waivers of:
i. Indenture tanggal 22 Januari 2020,
sebagaimana diubah, sehubungan dengan
Obligasi 2025 (“Indenture”); dan
Indenture dated January 22nd, 2020, as
amended, related to the 2025 Notes
(“Indenture”); and
ii. Trust Deed tanggal 31 Oktober 2016,
sebagaimana diubah, sehubungan dengan
Obligasi 2026 (“Trust Deed”);
Trust Deed dated October 31st, 2016, as
amended, related to the 2026 Notes (“Trust
Deed”);
b. disamping itu, Theta Capital bermaksud untuk
mengajukan penawaran untuk membeli secara
tunai dari Obligasi 2025 dan Obligasi 2026
(“Penawaran untuk Membeli”).
in addition, Theta Capital intends to submit an
offer to purchase for cash from the 2025 Notes
and 2026 Notes ("Offer to Purchase").
Permohonan Persetujuan dan Penawaran untuk
Membeli bersama-sama untuk selanjutnya disebut
sebagai “Rencana Transaksi”.
The Consent Solicitation and the Offer of Purchase
hereinafter referred to as the "Proposed
Transaction".
Sehubungan dengan Rencana Transaksi, Perseroan,
Theta Capital, entitas anak Perseroan yang
memberikan jaminan perusahaan atas Obligasi 2025
dan Obligasi 2026, yaitu PT Sentra Dwimandiri, PT
Primakreasi Propertindo, PT Wisma Jatim
Propertindo dan PT Megapratama Karya Persada
(“Perusahaan Anak Penjamin”), dengan Deutsche
Bank AG, Cabang Singapura, BNI Securities Pte. Ltd.,
dan CIMB Investment Bank Berhad, telah
menandatangani:
In relation with the Proposed Transaction, the
Company, Theta Capital, the subsidiary guarantors of
the 2025 Notes and 2026 Notes, namely PT Sentra
Dwimandiri, PT Primakreasi Propertindo, PT Wisma
Jatim Propertindo and PT Megapratama Karya
Persada ("Subsidiary Guarantors"), with Deutsche
Bank AG, Singapore Branch, BNI Securities Pte. Ltd.,
and CIMB Investment Bank Berhad, have signed:
i. Dealer Manager Agreement tanggal 13 Mei 2024
atas Obligasi 2025; dan

Rencana Transaksi dijadwalkan akan selesai pada 13
Juni 2024 untuk Consent Solicitation dan 25 Juni
2024 untuk Penawaran Untuk Membeli (kecuali
diperpanjang atau diselesaikan lebih awal).
The Proposed Transaction is scheduled to be
completed on 13 June 2024 for the Consent Solicitation
and on 25 June 2024 for the Tender Offer (unless
extended or completed earlier).

menandatangani suatu perjanjian amandemen dari
Indenture dan Trust Deed tersebut.
After obtaining approval from the holders of the 2025
Notes and 2026 Notes, the Company, Theta Capital and
related parties will sign an amendment of the
Indenture and Trust Deed.
Demikian laporan ini kami sampaikan. Apabila terdapat hal-hal material lainnya yang
mengubah informasi yang disampaikan dalam laporan ini, maka akan segera diumumkan dan
disampaikan kembali. Laporan ini kami sampaikan dalam Bahasa Indonesia dan Bahasa
Inggris, apabila terdapat perbedaan arti di antara versi Bahasa Indonesia dan Bahasa Inggris
maka yang berlaku adalah versi Bahasa Indonesia dan versi Bahasa Inggris akan diartikan
mengikuti Bahasa Indonesia.

made in Indonesian Language and English Language, in the event of any discrepancies between
the Indonesian and English version the Indonesian Language will prevail and the English
