3. Uraian Informasi atau : PT Raharja Energi Negeri ("PT REN"), selaku anak

(participating interest) pada Wilayah Kerja Kasuri dari
GOKPL kepada PT REN melalui pembayaran Deposit .
GOKPL adalah perseroan terbatas yang didirikan
berdasarkan hukum Singapura, yang bertindak selaku
operator dan kontraktor pada Wilayah Kerja Kasuri
berdasarkan Production Sharing Contract ("PSC")
dengan SKK Migas.
Nilai transaksi sebesar USD 9.647.000 (sembilan juta
enam ratus empat puluh tujuh ribu Dolar Amerika
Serikat), yang setara dengan 17,05% (tujuh belas koma
nol lima persen) dari ekuitas Perseroan per 31 Desember
2025, sehubungan dengan itu Perseroan telah
memberikan Jaminan Korporasi (Parent Company
Guarantee) kepada GOKPL sebagai penjamin (guarantor)
atas seluruh kewajiban pembayaran PT REN.
Nilai transaksi di bawah ambang batas materialitas 20%
berdasarkan Pasal 3 ayat (1) POJK No.
17/POJK.04/2020, sehingga transaksi ini bukan

merupakan transaksi material dan tidak memerlukan
persetujuan RUPS maupun penunjukan penilai
independen.

PT Raharja Energi Negeri (“PT REN”), a subsidiary of the
Company in which the Company holds a direct 99%
(ninety-nine percent) stake, has fulfilled the terms of the
Farm-Out Agreement (‘FOA’) and Joint Operating
Agreement (“JOA”) with Genting Oil Kasuri Pte. Ltd.
(“GOKPL”) regarding the transfer of a 5% participating
interest in the Kasuri Work Area from GOKPL to PT REN
through the payment of a deposit.
GOKPL is a limited liability company incorporated under
the laws of Singapore, acting as the operator and
contractor in the Kasuri Work Area pursuant to a
Production Sharing Contract (“PSC”) with SKK Migas.
The transaction value is USD 9,647,000 (nine million six
hundred forty-seven thousand U.S. dollars), equivalent to
17.05% (seventeen point zero five percent) of the
Company’s equity as of December 31, 2025, in connection
with which the Company has provided a Parent Company
Guarantee to GOKPL as guarantor for all of PT REN’s
payment obligations.
The transaction value is below the 20% materiality
threshold pursuant to Article 3 (1) of POJK No.
17/POJK.04/2020; therefore, this transaction is not a
material transaction and does not require approval by the
General Meeting of Shareholders or the appointment of an
independent appraiser.

As of the date of this disclosure, the transaction does not
result in any material impact on the Company's operations,
financial condition, or business continuity. The Company
will disclose further information in accordance with
applicable regulations if there are any further material
