Uraian Informasi atau Fakta Material Perseroan bermaksud untuk membiayai penawaran tender
tunai untuk pembelian kembali jumlah terhutang atas (i)
7,375% Surat Utang Senior jatuh tempo 2026 yang diterbitkan
oleh Medco Oak Tree Pte. Ltd. (Surat Utang 2026) dan (ii)
6,375% Surat Utang Senior jatuh tempo 2027 yang No.: EXT-
005/MGT/INA/MEDC/V/2024 diterbitkan oleh Medco Bell Pte.
Ltd. (Surat Utang 2027) dalam keseluruhan harga pembelian
untuk penawaran tender keduanya adalah sebanyak-
banyaknya US$150.000.000
(seratus lima puluh juta Dollar Amerika Serikat), tidak
termasuk bunga terakumulasi yang berlaku (Penawaran
Tender).
Medco Oak Tree Pte. Ltd.dan Medco Bell Pte. Ltd merupakan
anak perusahaan yang
seluruhnya dimiliki oleh Perseroan secara tidak langsung
(Para Penerbit). Surat Utang 2026 dan Surat Utang 2027
dijamin secara tanpa syarat dan tidak dapat ditarik kembali
oleh Perseroan dan beberapa anak
perusahaannya.
Penyelesaian Penawaran Tender bergantung pada
pemenuhan kondisi tertentu, dalam setiap hal, sebagaimana
diubah, diganti, dikesampingkan atau ditambah oleh Para
Penerbit dan Perseroan.
Sebagai referensi, terlampir kami sampaikan pengumuman
SGX-ST (versi Bahasa Inggris dan terjemahan Bahasa
Indonesia) tertanggal 2 Mei 2024 sehubungan dengan
Penawaran Tender.

Dampak kejadian, informasi atau fakta Tidak terdapat dampak khusus lainnya atas penyampaian
material tersebut terhadap kegiatan keterbukaan informasi ini, mengingat enyampaian keterbukaan
operasional, hukum, kondisi keuangan, informasi ini merupakan pemenuhan kewajiban keterbukaan
atau kelangsungan usaha Emiten atau informasi berdasarkan POJK No. 31 dan mengingat
Perusahaan Publik pengumuman Penawaran Tender ini baru diluncurkan kepada
publik dan menunggu hasil
penyelesaian.

Description of Material Information or The Company intends to fund a cash tender offer for the
Facts repurchase of: (i) 7.375% Senior Notes due 2026 issued by
Medco Oak Tree Pte. Ltd. (the 2026 Notes), and (ii) 6.375%
Senior Notes due 2027 issued by Medco Bell Pte. Ltd (2027
Notes) for an aggregate purchase price of up to
US$150,000,000 (one
hundred fifty million United States Dollars) for both tender
offers, excluding applicable
accrued interest (Tender Offer).
Medco Oak Tree Pte. Ltd. And Medco Bell Pte.Ltd are a wholly
owned indirect subsidiaries of the Company (the Issuers).
2026 Notes and 2027 Notes unconditionally and irrevocably
guaranteed by the Company and its certain subsidiaries.
The consummation of the Tender Offer is conditioned upon the
satisfaction of certain conditions, in each case, as modified,
amended, waived or supplemented by the Issuers and the
Company.
As a reference, we hereby attached the SGX-ST
announcement (in English language version and Bahasa
Indonesia translation) dated 2 May 2024 in relation to the
Tender Offer.
Impact of event, material information or There is no other specific impact of this disclosure of
facts towards Issuers or Public information, considering the submission of this disclosure of
Company’s operational activities, legal, information as the fulfillment of disclosure obligation under
financial condition, or going concern POJK No. 31 and considering that this Tender
Offer announcement has just been launched to the public and
awaits the completion results.
