Uraian Informasi atau Fakta Materiav Description of the Material Information or Facts Pada tanggal 8 Mei 2026, Pacific Universal Investments Pte. Ltd. (“Pembeli”) telah menyelesaikan pengambilalihan sebanyak 8.466.000.000 saham Perseroan, mewakili 514p dari total modal ditempatkan dan disetor dalam Perseroan, dari PT Satya Mulia Gema Gemilang, dengan harga pengambilalihan sebesar Rp.1.395,00 per saham atau secara total sebesar Rp.11.810.070.000.000,00 On 8 May 2026, Pacific Universal Investments Pte. Ltd. (the “Buyer”) completed the acguisition of 8,466,000,000 shares of the Company, representing 5146 of the total issued and fully paid-up share capital of the Company, from PT Satya Mulia Gema Gemilang, at an acguisition price of IDR 1,395.00 per share, or totalling IDR 11,810,070,000,000.00 Dengan selesainya transaksi tersebut, Pembeli resmi menjadi pengendali baru Perseroan. Upon completion of the transaction, the Buyer has officially become the new controlling shareholder of the Company. Sehubungan dengan pengambilalihan tersebut, Pembeli bekerja sama dengan CVC Capital Partners plc, afiliasinya dan/atau setiap anak perusahaannya (“CVC”) akan menunjuk Samudra (Investment) Pte. Ltd. dan Ocean Continuum Pte. Ltd., yang masing-masing dimiliki sebesar 5196 secara tidak langsung oleh Pembeli dan 4996 secara tidak langsung oleh fund/dana yang dikelola atau diberikan nasihat oleh CVC, untuk melakukan penawaran tender wajib (Mandatory Tender Offer) dengan harga penawaran sebesar Rp.1.550,00 per lembar saham Perseroan, dengan memperhatikan peraturan yang berlaku. In connection with the acguisition, the Buyer in cooperation with CVC Capital Partners Pl, its affiliates and/or any Of its suksidiaries (“CVC”), will appoint Samudra (Investment)

Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik/ Impact of the event, the material information or fact on the operational activities, legal matters, financial condition, or business continuity of the Issuers or Public Companies. Informasi atau fakta material tersebut tidak berdampak secara negatif terhadap kegiatan operasional, kondisi keuangan, atau kelangsungan usaha Perseroan. The material information or fact has no adverse impact on the Companys operations, financial condition or business continuity.
