Langkah-langkah yang sudah dilakukan dan penurunan emisi yang telah dicapai dibandingkan tahun

Penjelasan:


Perusahaan menargetkan pencapaian net zero emission pada tahun 2050 dengan target mencapai net zero
emission cakupan 1 dan 2, serta cakupan 3 pada tahun 2060. Mohon merujuk pula pada Laporan
Keberlanjutan MPI 2025.

 The Company Health, Safety , Environment (HSE) Policy outlines our commitment to protecting our
 employees and upholding strong HSE leadership throughout our organization.
 We continuously strengthen our safety culture with the goal of achieving zero incidents, injuries, and
 illnesses across our operations and offices. We regularly set and monitor HSE targets and performance, and
 we provide training to all employees, contractors, and surrounding communities. We have also established
 clear roles and responsibilities within the Corporate HSE Governance framework to oversee and implement
 HSE procedures and to review performance.

 Article 11
 Paragraph (1) The Company shall be managed and led by a Board of Directors consisting of four (4)
 Directors or such other number, provided that the appointment of members of the Board of Directors shall be
 made in accordance with the provisions of the agreements entered into by the shareholders.
 Paragraph (2) If more than one Director is appointed, one of them may be appointed as President Director.
 Article 14
 Paragraph (1) The Board of Commissioners shall consist of four (4) Commissioners or such other number,
 including Independent Commissioners amounting to at least thirty percent (30%) of the total members of the
 Board of Commissioners. The appointment of members of the Board of Commissioners shall be made in
 accordance with the provisions of the agreements entered into by the shareholders.
 Paragraph (2) If more than one member of the Board of Commissioners is appointed, one of them may be
 appointed as President Commissioner.
 Paragraph (8) Any proposal for the appointment, dismissal, and/or replacement of members of the Board of
 Commissioners to the General Meeting of Shareholders (GMS) shall take into account the recommendation
 of the Board of Commissioners or the committee performing the nomination function.

 Performance Review
 The performance of the Board of Commissioners and the Board of Directors of MedcoEnergi shall be
 evaluated annually by the Nomination Committee and the Remuneration Committee. In conducting the
 annual performance evaluation of the members of the Board of Commissioners and the Board of Directors,
 the Nomination Committee and the Remuneration Committee may engage independent professional
 advisors.

 Contextual Insight Enhancement
 All members of the Board of Commissioners and the Board of Directors of MedcoEnergi are required to
 participate in contextual insight enhancement activities related to developments in MedcoEnergi business
 units, in addition to best practices in Good Corporate Governance, at least once a year. Such activities may
 be organized by MedcoEnergi, institutions related to MedcoEnergi industries, or Good Corporate
 Governance institutions.
 To achieve a deeper contextual understanding of MedcoEnergi latest developments and performance,
 members of the Board of Commissioners and the Board of Directors are also required to attend meetings
 and conduct site visits to MedcoEnergi operational areas.

 Selection, Qualifications, and Continuing Learning
 Selection
 Members of the Board of Commissioners and the Board of Directors of MedcoEnergi may be appointed as
 members of the Board of Commissioners of its subsidiaries in Indonesia and/or as members of the Board of
 Directors of its subsidiaries, in accordance with applicable laws and regulations. Members of the Boards of

Directors of subsidiaries may also be appointed as members of the Boards of Directors of other subsidiaries
within the same business unit.
The best candidates selected to fill vacancies in the Board of Commissioners and the Board of Directors of
MedcoEnergi are recommended by the Nomination Committee of MedcoEnergi, taking into consideration
proposals from the Board of Commissioners or the Board of Directors. The selection mechanism for the
proposed candidates is conducted through the General Meeting of Shareholders (GMS).

Pemegang Saham?
MedcoEnergi has issued a new Business Ethics Code that sets out the core principles guiding how business
should be conducted within the Company, and serves as a standard of conduct for the Board of
Commissioners, the Board of Directors, and all Employees to ensure they perform their daily work in a
professional manner.
The Company Business Ethics Code is based on four MedcoEnergi values professionalism, ethics,
openness, and innovation and five core principles of Good Corporate Governance. This Code reflects
MedcoEnergi commitment to sustainable development, the integration of relevant international practices for
a company with diverse backgrounds, and the expectations placed on the Board of Commissioners, the
Board of Directors, and all Employees in carrying out their roles. These expectations are articulated through
Know the Guideline, Understand the Commitment, which represents the Company belief in how the
organization conducts its business.
Pedoman Kita clearly outlines roles and responsibilities, ensuring that everyone understands and complies
with these standards in all business transactions.

Section: Equal Treatment of Shareholders
Equal Treatment of Shareholders
All MedcoEnergi shareholders have equal voting rights, whereby each share carries one vote. With the aim
of enhancing equal treatment of shareholders, MedcoEnergi ensures the protection of minority shareholders,
which includes the following:

The availability of pre emptive rights in the event that MedcoEnergi issues additional shares.
The right to decide on the approval of transactions that give rise to conflicts of interest through the General
Meeting of Shareholders.
The right to request the District Court or the relevant court to appoint an examination team in connection
with suspected actions by the Board of Commissioners or the Board of Directors that involve illegal acts
causing losses to shareholders, stakeholders, or MedcoEnergi.
MedcoEnergi allows custodians to exercise voting rights on shares on behalf of shareholders at the General
Meeting of Shareholders. MedcoEnergi establishes adequate processes and procedures for the General
Meeting of Shareholders to allow shareholders sufficient time to consult with custodians before exercising
their voting rights.
MedcoEnergi prohibits insider trading by any party that exploits information to the detriment of MedcoEnergi
and shareholders or for personal gain.
MedcoEnergi must provide shareholders with information regarding specific corporate actions, including but
not limited to the issuance of new shares or share buyback programs.

 3. Hak meminta Pengadilan Negeri atau pengadilan yang relevan untuk menunjuk tim pemeriksa berkaitan
 dengan peristiwa kecurigaan terhadap Dewan Komisaris atau Direksi yang telah melakukan tindakan ilegal
 yang
 menimbulkan kerugian terhadap para pemegang saham, para pihak pemangku kepentingan atau
 MedcoEnergi.
 4.MedcoEnergi mengizinkan kustodian untuk melakukan pemberian suara atas saham mewakili para
 pemegang saham dalam RUPS. MedcoEnergi menetapkan proses dan prosedur untuk RUPS dalam waktu
 yang memadai
 bagi pemegang
 saham untuk berkonsultasi dengan kustodian sebelum menggunakan hak suaranya.
 5. MedcoEnergi melarang perdagangan oleh orang dalam (insider trading) yang dilakukan oleh pihak
 manapun dengan mengeksploitasi informasi untuk merugikan MedcoEnergi dan para pemegang saham
 maupun keuntungan pribadi.
 6. MedcoEnergi harus memberikan informasi kepada para pemegang saham tentang tindakan korporasi
