Uraian Informasi atau Fakta Material Pegendali baru Perseroan PT. AEP NUSANTARA
HOLDINGS (AEPNH)melakukan penawaran Tender Wajib
(MTO) sebanyak-banyaknya 13.585.100 saham atau 1,74%
dari jumlah modal disetor penuh, periode penawaran dilakukan
mulai tanggal 16 Juli 2026 sampai dengan 14 Agustus 2026,
tanggal penyelesaian transaksi MTO adalah 21 Agustus 2026,
pemegang saham yang mengikuti MTO dan diselesaikan
transaksinya oleh AEPNH adalah sejumlah 20 Pihak dengan
jumlah saham yang dibayar sebesar 9.484.700 saham atau
1,21% dari Modal disetor Perseroan. Komposisi Pemegang
saham sebelum MTO adalah AEPNH 767.664.900 saham
atau 98,26% , Masyarakat dibawah 5% 13.585.100 saham
atau 1,74% setelah MTO selesai Komposisi menjadi AEPNH
777.149.600 saham atau 99,48% dan Masyarakat dibawah 5%
4.100.400 Saham atau 0,52%. Demikian Dapat Kami
sampaikan.

Description of Material Information or The new controller of the Company PT. AEP NUSANTARA
Facts HOLDINGS (AEPNH) conducted a Mandatory Tender Offer
(MTO) for a maximum of 13,585,100 shares or 1.74% of the
total fully paid-up capital, with the offer period running from 16
July 2026 to 14 August 2026, and the MTO transaction
settlement date on 21 August 2026. Shareholders who
participated in the MTO and had their transactions settled by
AEPNH totaled 20 parties, with the number of shares paid
amounting to 9,484,700 shares or 1.21% of the Company's
paid-up capital. The shareholder composition before the MTO
was AEPNH with 767,664,900 shares or 98.26%, and the
Public below 5% with 13,585,100 shares or 1.74%. After the
MTO was completed, the composition became AEPNH with
777,149,600 shares or 99.48%, and the Public below 5% with
4,100,400 shares or 0.52%. Thus, we convey this information.
