Uraian Informasi atau Fakta Material Merujuk pada Pasal 25 POJK No. 29 Tahun 2023 tentang
Pembelian Kembali Saham yang Dikeluarkan oleh
Perusahaan Terbuka, bersama ini kami sampaikan Informasi
Tambahan atas Keterbukaan Informasi mengenai Rencana
pelaksanaan Program Kepemilikan Saham oleh Manajemen
dan Karyawan (Management and Employee Stock Ownership
Program) (Program MESOP) melalui pengalihan saham
treasuri (treasury shares) milik Perseroan yang diperoleh
Perseroan dari program pembelian kembali saham Perseroan
kepada anggota manajemen maupun karyawan yang
memenuhi persyaratan untuk melengkapi Keterbukaan
Informasi yang sebelumnya telah diumumkan pada tanggal 13
April 2026.
Pelaksanaan Program MESOP akan dilakukan Perseroan
setelah Perseroan mendapat persetujuan dari Rapat Umum
Pemegang Saham Luar Biasa (RUPSLB) yang akan diadakan
pada hari Rabu, 20 Mei 2026. Pemberitahuan mengenai
rencana RUPSLB Perseroan telah diumumkan dalam situs
Web Bursa Efek Indonesia, situs Web KSEI dan situs Web
Perseroan pada tanggal 28 April 2026. Yang berhak hadir atau
diwakili dalam RUPSLB adalah pemegang saham yang
namanya tercatat dalam Daftar Pemegang Saham Perseroan
dan/atau pemilik saham Perseroan pada sub-rekening efek PT
Kustodian Sentral Efek Indonesia (KSEI) pada penutupan
perdagangan saham Perseroan di BEI pada tanggal 27 April
2026.

Submission of Additional Information on Disclosure of
Type of Material Information or Facts Information Regarding the Implementation Plan for the
Management and Employee Stock Ownership Program
(MESOP)
Description of Material Information or Pursuant to Article 25 of OJK Regulation No. 29 of 2023 on the
Facts Repurchase of Shares Issued by Public Companies, we
hereby provide Additional Information regarding the Disclosure
of Information on the Plan to Implement the Management and
Employee Stock Ownership Program (Management and
Employee Stock Ownership Program) (MESOP Program)
through the transfer of the Company treasury shares obtained
through the Company share buyback program to members of
management and employees who meet the requirements to
supplement the Disclosure of Information previously
announced on April 13, 2026.
The MESOP Program will be implemented by the Company
after the Company receives approval from the Extraordinary
General Meeting of Shareholders (EGMS) to be held on
Wednesday, May 20, 2026. Notification of the Company
planned EGMS was announced on the Indonesia Stock
Exchange website, the KSEI website, and the Company
website on April 28, 2026. Those entitled to attend or be
represented at the EGMS are shareholders whose names are
registered in the Company Shareholder Register and/or
shareholders of the Company securities sub-accounts of PT
Kustodian Sentral Efek Indonesia (KSEI) at the close of trading
of the Company shares on the IDX on April 27, 2026.
