Uraian Informasi atau Fakta Material Pada tanggal 7 Mei 2026, Bank selaku pemberi pinjaman, dan
Protelindo, Iforte, SUPR, serta IBST selaku para peminjam
(selanjutnya secara bersama-sama disebut Para Peminjam),
telah menandatangani Perubahan Ke-2 Perjanjian Kredit
(Perjanjian Perubahan) atas Perjanjian Kredit tertanggal 9
Desember 2024 dengan nilai fasilitas sebesar Rp2.
000.000.000.000,- (dua triliun Rupiah), yang dilakukan
sehubungan dengan perubahan struktur jaminan tanggung
renteng menjadi jaminan perusahaan yang diberikan oleh
Protelindo dan Iforte berdasarkan Perjanjian Penanggungan
Perusahaan tertanggal 7 Mei 2026 (Jaminan Perusahaan dan
bersama-sama dengan Perjanjian Perubahan disebut sebagai
Transaksi).
Selain perubahan sebagaimana diuraikan di atas, tidak
terdapat perubahan lainnya yang bersifat material terhadap
syarat dan ketentuan dalam Perjanjian Fasilitas.
1. Penandatanganan Transaksi merupakan transaksi
afiliasi sebagaimana dimaksud dalam:
(i) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi
pinjaman yang diterima secara langsung dari bank; dan/ atau
(ii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman yang diterima
secara langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali
2. Transaksi di atas bukan merupakan transaksi
benturan kepentingan sebagaimana dimaksud dalam POJK 42
dan bukan merupakan transaksi material sebagaimana
dimaksud dalam Peraturan OJK No.17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material yang negatif yang merugikan terhadap kegiatan
operasional, hukum, kondisi keuangan, operasional, hukum, kondisi keuangan, atau kelangsungan
atau kelangsungan usaha Emiten atau usaha Perseroan.

The Signing of the 2nd Amendment to the Credit Agreement of

between Protelindo, Iforte, STP, IBST with PT Bank CIMB

Description of Material Information or On 7 May 2026, the Bank, as the lender, and Protelindo, Iforte,
Facts SUPR, and IBST, as the borrowers (hereinafter collectively
referred to as the Borrowers), entered into a Second
Amendment to the Credit Agreement (the Amendment
Agreement) to the Credit Agreement dated 9 December 2024
with a total facility amount of Rp2,000,000,000,000 (two trillion
Rupiah), in connection with security structure changes from
joint several liability to corporate guarantee structure provided
by Protelindo and Iforte based on Corporate Guarantee
Agreement dated 7 May 2026 (the Corporate Guarantee and
together with Amendment Agreement shall be referred as the
Transaction).
Other than the changes described above, there are no other
material changes to the terms and conditions of the Facility
Agreement.
1. The execution of the Transaction is an affiliated
transaction as referred to:
(i) In Clause 6 section (1) letter (d) i.e., a loan received
directly from banks; and/or
(ii) Clause 6 section (1) letter (e) of POJK 42, i.e. a
corporate guarantee provided to bank in relation to the loan
agreement granted to the Issuer or its subsidiaries.
2. The above mentioned Transaction is not a conflict-of-
interest transaction as referred to POJK 42 and not a material
transaction as referred to the OJK Regulation No. 17/POJK.
