3. Uraian Informasi atau Fakta Material/ Pada tanggal 06 Mei 2026, PPT telah melakukan peningkatan modal dasar

Facts Rp10.000.000.000,- (sepuluh miliar Rupiah) dan Rp2.500.000.000,-
(dua miliar lima ratus juta Rupiah) dengan menerbitkan saham baru sebanyak
240.000 (dua ratus empat puluh ribu) saham, yang diambil bagian seluruhnya
oleh Perseroan./ On May 06, 2026, PPT increased its authorized capital
as well as its issued and fully paid-up capital to IDR10,000,000,000.-
(ten billion Rupiah) and IDR2,500,000,000.- (two billion five hundred million
Rupiah), respectively, through the issuance of 240,000 (two hundred forty
thousand) new shares, all of which were subscribed by the Company.

Transaksi ini merupakan transaksi afiliasi sebagaimana dimaksud
dalam POJK No.42/POJK.04/2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan. Selain itu, mengingat bahwa
Perseroan mencatatkan defisiensi modal dan nilai Transaksi tidak melebihi
10% (sepuluh persen) dari total Aset Perseroan berdasarkan Laporan
Keuangan Konsolidasian untuk tahun yang berakhir pada tanggal
31 Desember 2025, maka Transaksi tidak dikategorikan sebagai Transaksi
Material sebagaimana dimaksud dalam Pasal 3 Ayat (3) Peraturan Otoritas
Jasa Keuangan No. 17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha./ This transaction constitute an affiliated
transaction as referred to in POJK No.42/POJK.04/2020 concerning
Affiliated Transactions and Conflict of Interest Transactions. In addition,
considering that the Company is recording a capital deficiency and the
Transaction value does not exceed 10% (ten percent) of the Company’s total
assets based on the Consolidated Financial Statements for the year ended
December 31, 2025, the Transaction is not categorized as a Material
Transaction as referred to in Article 3 Paragraph (3) of the Financial Services
Authority Regulation No.17/POJK.04/2020 concerning Material Transactions
and Changes in Business Activities.
