Uraian Informasi atau Fakta Material Pada tanggal 23 April 2024, Perseroan menandatangani
Perjanjian Pinjaman Kredit Berjangka dengan jumlah fasilitas
maksimal sebesar USD 250.000.000 dengan PT Bank Negara
Indonesia (Persero) Tbk termasuk pemberian jaminan terkait.
Dampak kejadian, informasi atau fakta Transaksi ini akan memberikan likuiditas serta meningkatkan
material tersebut terhadap kegiatan kemampuan Perseroan untuk membiayai ekspansi dan
operasional, hukum, kondisi keuangan, menjalankan usahanya dengan lancar. Hal ini memungkinkan
atau kelangsungan usaha Emiten atau Perseroan untuk lebih fleksibel dan efisien dalam menjalankan
Perusahaan Publik strategi bisnis, sehingga Perseroan dapat terus
mengembangkan kegiatan usahanya dan meningkatkan
kinerjanya. Di sisi lain, Transaksi ini akan menambah tingkat
liabilitas dan menimbulkan kewajiban pembayaran pokok dan
bunga pinjaman Perseoran.
Menurut pendapat Perseroan, tidak ada dampak negatif yang
material dari Transaksi terhadap kegiatan operasional, hukum,
kondisi keuangan, atau kelangsungan usaha Perseroan.
Pada akhirnya, Transaksi ini diharapkan dapat
mempertahankan kekuatan posisi Perseroan di industri kelapa
sawit global dan memberikan kontribusi positif atas kinerja
Perseroan, sehingga dapat menciptakan nilai tambah bagi
para pemegang saham Perseroan.

The provision of Term Credit Facility by PT SMART Tbk with a

Description of Material Information or On 23 April 2024, the Company has entered into a Term Credit
Facts Loan Agreement with a maximum facility amount of
USD250,000,000 with PT Bank Negara Indonesia (Persero)
Tbk including the provision of related collaterals.
Impact of event, material information or This Transaction will increase the Company liquidity and ability
facts towards Issuers or Public to finance its expansion plan and run its business smoothly.
Company’s operational activities, legal, This allows the Company to be more flexible and efficient in
financial condition, or going concern carrying out its business strategy, so that the Company can

Company competitiveness in the palm oil industry globally and
provide a positive contribution to the Company performance,
thereby creating additional value for the Company
