I. PENDAHULUAN
Informasi sebagaimana tercantum dalam Keterbukaan Informasi ini disampaikan sehubungan
dengan transaksi penandatanganan Perjanjian Pinjaman Kredit dan dokumen terkait lainnya.
Pada tanggal 23 April 2024, Perseroan menandatangani Perjanjian Pinjaman Kredit Berjangka
dengan jumlah fasilitas maksimal sebesar USD 250.000.000 dengan PT Bank Negara Indonesia
(Persero) Tbk termasuk pemberian jaminan terkait (selanjutnya disebut “Transaksi”).
Transaksi ini merupakan transaksi material sebagaimana dimaksud dalam POJK 17/2020, di mana
nilai Transaksi melebihi 20% dari total ekuitas Perseroan berdasarkan Laporan Keuangan
Konsolidasian per tanggal 31 Desember 2023 yang telah diaudit oleh kantor akuntan publik.
Keterbukaan informasi atas Transaksi ini tidak memerlukan adanya penilai dan Transaksi tidak
memerlukan persetujuan rapat umum pemegang saham Perseroan karena Transaksi merupakan
suatu transaksi pinjaman yang diterima secara langsung dari bank dalam negeri sebagaimana
dikecualikan berdasarkan POJK 17/2020 Pasal 11 huruf b.
Transaksi ini tidak merupakan transaksi afiliasi dan tidak mengandung benturan kepentingan
sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan (selanjutnya disebut “POJK 42/2020”) dan
tidak berpotensi mengakibatkan terganggunya kelangsungan usaha Perseroan.
II. KETERANGAN MENGENAI TRANSAKSI
A. Tanggal Transaksi
23 April 2024
B. Objek dan Nilai Transaksi
Penerimaan Fasilitas Kredit Berjangka dari Pemberi Pinjaman kepada Perseroan dalam
Dolar AS dengan nilai fasilitas maksimum sebesar USD 250.000.000 (selanjutnya
disebut “Pinjaman”). Salah satu prasyarat penggunaan Pinjaman, Perseroan wajib
menyediakan jaminan tertentu.
Tujuan penggunaan dana dari Pinjaman adalah untuk antara lain pembiayaan modal
kerja, pembiayaan kembali atas hutang bank atau obligasi yang jatuh tempo, dan
belanja modal Perseroan.
C. Pihak-pihak yang Melakukan Transaksi
1. Penerima Pinjaman: PT Sinar Mas Agro Resources and Technology Tbk, suatu
perusahaan terbuka yang sahamnya tercatat di Bursa Efek Indonesia, yang
didirikan dan dijalankan berdasarkan hukum Republik Indonesia, berkedudukan di
Jakarta Pusat.
2. Pemberi Pinjaman: PT Bank Negara Indonesia (Persero) Tbk. (selanjutnya disebut
“BNI”)

1. Bunga: Jumlah dari marjin yang berlaku dan SOFR Berjangka periode tiga bulan
(suku bunga referensi SOFR dikelola oleh CME Group Benchmark Administration
Limited)
2. Jangka Waktu Kredit: 60 bulan setelah tanggal penarikan pertama Pinjaman
3. Jaminan: Tanah seluas 283.395m2 dengan bukti kepemilikan SHGB No. 02/Tarjun
dan SHGB No. 0262/Tarjun, berikut bangunan, mesin pabrik rafinasi, biodiesel,
pengolahan inti sawit, sarana dan prasarana yang berlokasi di Tarjun, Kalimantan
Selatan
4. Hal-hal yang Dilarang Dilakukan: Beberapa hal yang dilarang dilakukan Perseroan
tanpa persetujuan terlebih dahulu dari BNI di antaranya adalah mengubah bidang
usaha atau bentuk atau status hukum Perseroan; melakukan pengurangan atau
penurunan modal dasar, modal disetor, dan/atau modal ditempatkan Perseroan;
melakukan likuidasi atau pembubaran usaha; mengajukan permohonan kepailitan
atau PKPU kepada instansi yang berwenang; mengubah, memindahtangankan, atau
menjual saham Perseroan yang mengakibatkan perubahan pemegang saham
dominan.
E. Sifat Transaksi Material
Nilai Transaksi sebesar maksimal USD 250.000.000 atau ekuivalen dalam Rupiah
sebesar maksimal Rp 3.845 miliar, dengan asumsi kurs tengah Bank Indonesia per
31 Desember 2023 yaitu Rp 15.416 per USD.
Nilai Transaksi dalam ekuivalen Rupiah tersebut merupakan 20,2% dari total ekuitas
yang dapat diatribusikan kepada pemilik entitas induk Perseroan berdasarkan Laporan
Keuangan Konsolidasian Perseroan per 31 Desember 2023 yang telah diaudit yaitu
sebesar Rp 19.059 miliar.
Oleh karena itu, Transaksi memenuhi kriteria POJK 17/2020 Pasal 3 ayat 1 di mana
suatu transaksi dikategorikan sebagai transaksi material jika nilai transaksi sama
dengan 20% atau lebih dari ekuitas Perseroan. Namun Transaksi tidak memerlukan
persetujuan Rapat Umum Pemegang Saham karena nilai Transaksi tidak melebihi 50%
dari ekuitas Perseroan sebagaimana dimaksud pada Pasal 6 ayat 1 huruf d pada POJK
17/2020.
III. PENJELASAN, PERTIMBANGAN, DAN ALASAN DILAKUKANNYA TRANSAKSI SERTA
PENGARUH TRANSAKSI PADA KONDISI KEUANGAN PERSEROAN
Sebagai pemain agribisnis yang terintegrasi, Perseroan melihat prospek industri yang
positif didukung oleh pasar yang luas dan permintaan yang kuat, sehingga Perseroan
senantiasa berupaya untuk meningkatkan kapabilitasnya dalam memproduksi beragam
portofolio produk sawit yang bernilai tambah tinggi. Hal ini juga sejalan dengan
perkembangan preferensi pelanggan menuju produk yang lebih sehat dan diproduksi
secara berkelanjutan.

Penerapan strategi Perseroan dalam kondisi ekonomi serta industri yang cepat berubah,
memerlukan dukungan pendanaan yang kuat untuk modal kerja dan belanja modal.
Transaksi ini akan memberikan likuiditas serta meningkatkan kemampuan Perseroan untuk
membiayai ekspansi dan menjalankan usahanya dengan lancar. Hal ini memungkinkan
Perseroan untuk lebih fleksibel dan efisien dalam menjalankan strategi bisnis, sehingga
Perseroan dapat terus mengembangkan kegiatan usahanya dan meningkatkan kinerjanya.
Di sisi lain, Transaksi ini akan menambah tingkat liabilitas dan menimbulkan kewajiban
pembayaran pokok dan bunga pinjaman Perseoran.
Menurut pendapat Perseroan, tidak ada dampak negatif yang material dari Transaksi
terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha
Perseroan.
Pada akhirnya, Transaksi ini diharapkan dapat mempertahankan kekuatan posisi Perseroan
di industri kelapa sawit global dan memberikan kontribusi positif atas kinerja Perseroan,
sehingga dapat menciptakan nilai tambah bagi para pemegang saham Perseroan.
IV. PERNYATAAN DIREKSI DAN KOMISARIS
A. Pernyataan Direksi
Direksi Perseroan dengan ini menyatakan bahwa Transaksi ini tidak merupakan
transaksi afiliasi sebagaimana dimaksud dalam POJK 42/2020.
B. Pernyataan Direksi dan Dewan Komisaris
Direksi dan Dewan Komisaris Perseroan dengan ini menyatakan bahwa Transaksi ini
tidak mengandung Benturan Kepentingan sebagaimana dimaksud dalam POJK 42/2020,
serta sepanjang pengetahuan dan keyakinan mereka, semua informasi material
sehubungan dengan Transaksi telah diungkapkan dalam Keterbukaan Informasi ini dan
informasi tersebut tidak menyesatkan serta dapat dipertanggungjawabkan dengan baik.

MATERIAL TRANSACTION
This Disclosure of Information is prepared in compliance with the Financial Services Authority
Regulation No. 17/POJK.04/2020 regading Material Transaction and Change of Business
Activities (herein after referred to as the “POJK 17/2020”).

I. PREFACE
The information described in this Disclosure of Information is provided in relation to the signing of
a Loan Agreement and other related documents.
On 23 April 2024, the Company has entered into a Term Credit Loan Agreement with a maximum
facility amount of USD250,000,000 with PT Bank Negara Indonesia (Persero) Tbk including the
provision of related collaterals (hereinafter referred to as the “Transaction”).
The Transaction is a material transaction as stipulated in POJK 17/2020, of which the value of the
Transaction is exceeding 20% of the Company’s equity based on the Audited Consolidated Financial
Statements as of 31 December 2023.
The Disclosure of Information on this Transaction does not require an independent valuer’s opinion
and does not require approval from the Company’s General Meeting of Shareholders as the
Transaction is a loan transaction that was directly received from a domestic bank as exempted
pursuant to Article 11 letter b of POJK 17/2020.
The Transaction is not an affiliated transaction and does not contain any conflict of interest as
stipulated under the Financial Services Authority Regulation No. 42/POJK.04/2020 regarding Affiliated
Transaction and Conflict of Interest Transaction (herein after referred to as “POJK 42/2020”) and has
no potential to disrupt the Company’s business continuity.
II. DESCRIPTION OF THE TRANSACTION
A. Transaction Date
23 April 2024
B. Transaction Object and Value
The provision of Term Credit Facility from the Lender to the Company in US Dollars with
a maximum facility amount of USD250,000,000 (herein after referred to as the “Loan”).
One of the prerequisites for the Loan withdrawal is that the Company is required to
provide certain collaterals.
The Loan shall be utilised for the purposes of, among other things, the Company’s
working capital financing, refinancing of maturing bank loans or bonds, and capital
expenditures.
C. Parties Involved in the Transaction
1. The Borrower: PT Sinar Mas Agro Resources and Technology Tbk, a publicly listed
company on the Indonesia Stock exchange, which was established and is operated
under the laws of the Republic of Indonesia, and domiciled in Central Jakarta.
2. The Lender: PT Bank Negara Indonesia (Persero) Tbk. (herein after referred to as
“BNI”)

1. Interest: The sum of the applicable margin and three-month SOFR Term (the SOFR
reference interest rate is managed by CME Group Benchmark Administration
Limited)
2. Credit Term: 60 months after the date of the first withdrawal of the Loan
3. Collaterals: Land area with a total of 283,395m2 under SHGB No. 02/Tarjun and SHGB
No. 0262/Tarjun, including buildings, the machineries of refining, biodiesel, and
kernel crushing plants, facilities, and infrastructures located in Tarjun, South
Kalimantan.
4. Negative Covenants: Several actions that should not be undertaken by the Company
without prior approval from BNI include changing the business field or form or legal
status of the Company; reducing the Company's authorised, paid-up, and/or issued
capital; undertaking business liquidation or dissolution; submitting a bankruptcy or
PKPU application to the authorised institutions; changing, transferring, or selling the
Company's shares that will result in a change of the majority shareholder.
E. Nature of Material Transaction
Maximum Transaction value of USD250,000,000 or equivalent to a maximum of Rp3,845
billion, converted based on Bank Indonesia’s middle rate as of 31 December 2023 of
Rp15,416 per USD.
Transaction value in Rupiah equivalent represented 20.2% of the Company’s total equity
attributable to owners of the parent company as per the Company’s Audited
Consolidated Financial Statements per 31 December 2023 of Rp19,059 billion.
Therefore, the Transaction meets the criteria of POJK 17/2020 Article 3 point 1 where a
transaction is considered material if the value is equal to or more than 20% of the
Company’s equity. However, the Transaction does not require any approval from the
General Meeting of Shareholders because the Transaction value is below 50% of the
Company’s equity as stipulated in Article 6 point 1 letter d of POJK 17/2020.
III. EXPLANATION, CONSIDERATION, AND REASON OF THE TRANSACTION AS WELL AS IMPACT
OF THE TRANSACTION ON THE COMPANY’S FINANCIAL CONDITION
As an integrated agribusiness player, the Company has a positive view on the palm oil
industry prospect supported by its vast market and strong demand. Hence, the Company
continues to enhance its capability in producing a broad range of high value-added palm-
based products. This is also in response to the development of customer preferences
towards healthier and sustainably-produced products.
The implementation of the Company’s strategy in these rapidly changing economic and
industrial conditions needs strong funding support to finance our working capital and capital
expenditure requirements.
This Transaction will increase the Company’s liquidity and ability to finance its expansion
plan and run its business smoothly. This allows the Company to be more flexible and efficient

in carrying out its business strategy, so that the Company can continue to expand its business
and improve its performance. On the other hand, this Transaction will increase the
Company’s total liabilities and generate an obligation to settle the Loan’s principal and
interest expense.
The Company views that there is no material negative impact from the Transaction on the
Company’s operational activities, legal or financial condition, or business continuity.
Ultimately, this Transaction is expected to maintain the Company's competitiveness in the
palm oil industry globally and provide a positive contribution to the Company's performance,
thereby creating additional value for the Company's shareholders.
IV. STATEMENTS OF THE BOARD OF DIRECTORS AND THE BOARD OF COMMISSIONERS
A. Statement of The Board of Directors
The Board of Directors of the Company hereby declares that this Transaction is not an
affiliated transaction as defined in POJK 42/2020.
B. Statement of The Board of Directors and The Board of Commissioners
The Company’s Board of Directors and Board of Commissioners hereby declare that this
Transaction does not contain any conflict of interest as defined in POJK 42/2020 and to
the best of their knowledge and belief, all material information related to the Transaction
has been disclosed in this Disclosure of Information and the information is not misleading
and can be properly accounted for.
