Transaksi ini merupakan transaksi material berupa penjaminan aset dalam rangka perolehan fasilitas kredit dari PT
Bank Negara Indonesia (Persero) Tbk ( BNI ) sebagai kreditur. Sesuai dengan ketentuan Pasal 11 huruf (c) POJK
No. 17/POJK.04/2020, transaksi ini dikecualikan dari kewajiban penggunaan penilai independen (KJPP) karena
merupakan pemberian jaminan kepada lembaga jasa keuangan atas fasilitas pinjaman. Sehubungan dengan
kewajiban pengisian sistem pelaporan, beberapa informasi seperti: 1. Nama Penilai 2. Nama KJPP 3. Tanggal
Penilaian diisi secara administratif untuk memenuhi format sistem, dimana tanggal penilaian disetarakan dengan
tanggal transaksi (28 April 2026) sebagai referensi waktu pelaksanaan transaksi. Perseroan menegaskan bahwa:
1. Tidak terdapat penunjukan penilai independen dalam transaksi ini 2. Informasi tersebut bukan merupakan hasil
penilaian independen 3. Seluruh pengisian dilakukan hanya untuk kepentingan kelengkapan administratif sistem
pelaporan Selain itu, walaupun secara materialitas transaksi ini tidak wajib memperoleh persetujuan RUPS (karena
berada di kisaran 39% ekuitas), Perseroan tetap menyelenggarakan RUPS sebagai bentuk pemenuhan
persyaratan dari pihak kreditur (BNI).

This transaction constitutes a material transaction in the form of asset collateralization in connection with the
acquisition of a credit facility from PT Bank Negara Indonesia (Persero) Tbk ( BNI ) as the lender. In accordance
with Article 11(c) of POJK No. 17/POJK.04/2020, this transaction is exempt from the requirement to engage an
independent appraiser (KJPP), as it involves the provision of collateral to a financial services institution for a loan
facility. In relation to the mandatory system reporting requirements, certain information such as: 1. Name of
Appraiser 2. Name of KJPP 3. Appraisal Date has been completed on an administrative basis solely to comply with
the system format. The appraisal date is aligned with the transaction date (28 April 2026) as a reference for the
timing of the transaction. The Company hereby confirms that: 1. No independent appraiser was appointed in this
transaction 2. The information provided does not represent the result of an independent appraisal 3. All entries have
been made solely for the purpose of fulfilling administrative reporting requirements Furthermore, although in terms
of materiality this transaction does not require approval from the General Meeting of Shareholders (GMS) as it is
approximately 39% of the Company s equity, the Company has nonetheless conducted a GMS to fulfill the
