1. Pada tanggal 5 April 2024, Perseroan telah
menerbitkan Surat Utang Senior BNI 2024 sebesar
USD 500.000.000 (lima ratus juta Dolar Amerika
Serikat) dengan bunga sebesar 5,286 (lima koma
dua delapan persen) per tahun dengan merujuk pada
ketentuan Regulation S ("Reg S”) berdasarkan US
Securities Act, yang selanjutnya telah terdaftar pada
Singapore Stock Exchange pada tanggal 8 April 2024.

2. Surat Utang Senior BNI 2024 tersebut merupakan
bagian dari penerbitan program Euro Medium Term
Note yang dibentuk pada tanggal 6 Mei 2020 (dan
telah diperbaharui pada tanggal 22 Maret 2021 dan
26 Maret 2024) (selanjutnya disebut "Program
EMTN”). Berdasarkan Program EMTN, Perseroan
dapat menerbitkan surat utang secara bertahap
dengan jumlah pokok sebanyak-banyaknya USD
2.000.000.000 (dua miliar Dolar Amerika Serikat).

3. Dana hasil penerbitan Surat Utang Senior BNI 2024
sebesar USD 500.000.000 dengan jangka waktu 5
(lima) tahun tersebut akan digunakan untuk keperluan
pembiayaan dan pendanaan umum Perseroan.

1. The Company has issued BNI Senior Notes 2024 at 5
April 2024 amounting to USD 500,000,000 (five
hundred million United States Dollars) with an interest
of 5.284: (five point two eight percent) per annum, by
referring to the Regulation S (“Reg S”) under the US
Securities Act, which has been listed on the
Singapore Stock Exchange on 8 April 2024.

2. The Notes is a part of the issuance by the Company
under the Euro Medium Term Note program which
was formed on 6 May 2020 (and updated on 22
March 2021 and 26 March 2024) (hereinafter referred
to as "EMTN Program"). Under the EMTN Program,
the Company can issue notes in stages with the
aggregate nominal mount of up to USD
2,000,000,000 (two billion US Dollars).

3. The proceeds from the issuance of BNI Senior Notes
2024 amounting to USD 500,000,000 with a period of
5 (five) years will be used for the Company's general

Keterangan lain-lain 1. Penawaran Surat Utang Senior BNI 2024 ini bukan
merupakan penawaran umum di Indonesia
sebagaimana dimaksud dalam Undang-Undang No. 8
tahun 1995 tentang Pasar Modal sebagaimana telah
diubah Undang-Undang No. 4 Tahun 2023 tentang
Pengembangan dan Penguatan Sektor Keuangan
dan peraturan pelaksanaannya.

2. Rencana penerbitan Surat Utang Senior BNI 2024
memiliki nilai kurang dari 20Y6 ekuitas Perseroan
berdasarkan Laporan Keuangan Perseroan per
tanggal 31 Desember 2023 yang telah diaudit oleh
KAP Tanudiredja, Wibisana, Rintis & Rekan (Firma
Anggota Pwc) selaku auditor independen, dan
karenanya bukan merupakan Transaksi Material
sebagaimana Peraturan OJK No.17/POJK.04/2020
tentang Transaksi Material dan Perubahan Kegiatan
Usaha.

Other information 1. The BNI Senior Notes 2024 Offering does not
constitute a public offer under the Law No. 8 of 1995
on Capital Market as amended by Law No. 4 of 2023
on Financial Sector Development and Strengthening
and its implementing regulations.

2. The plan to issue BNI Senior Notes 2024 has a value
of less than 2044 of the Company's eguity-based on
the Company's Financial Statements as of 31
December 2023, which has been audited by KAP
Tanudiredja, Wibisana, Rintis & Rekan (Firma
Anggota Pwc) as an independent auditor, and

therefore it is not a Material Transactions as referred
to in OJK Regulation No.17 / POJK.04 / 2020
concerning Material Transactions and Changes in
Business Activities.
