Uraian Informasi atau Fakta Material Sehubungan dengan telah dilakukannya pengambilalihan
Perseroan oleh BBN, BBN telah menyelesaikan kewajibannya
untuk melakukan penawaran tender wajib atas saham-saham
Perseroan dalam rangka pemenuhan ketentuan dalam POJK
No. 9/POJK.04/2018 tentang Pengambilalihan Perusahaan
Terbuka (POJK No. 9/2018).
Periode penawaran tender wajib tersebut adalah 30 Hari yang
dimulai 1 Hari setelah pengumuman Keterbukaan Informasi,
yaitu dimulai pada pukul 9.00 WIB tanggal 28 Februari 2024
dan berakhir pada pukul 16.00 WIB tanggal 28 Maret 2024.
Pada tanggal 5 April 2024, BBN telah menyelesaikan transaksi
tender wajib dengan membeli 139.443.300 saham biasa pada
harga penawaran tender wajib sebesar Rp240 (dua ratus
empat puluh Rupiah) per saham. Dengan demikian, setelah
penawaran tender wajib, BBN memegang 139.443.300 saham
Perseroan secara langsung.
Sesuai dengan POJK No. 9/2018, BBN telah menyampaikan
laporan penyelesaian pelaksanaan tender wajib kepada OJK
pada 16 April 2024.
Dampak kejadian, informasi atau fakta Pelaksanaan dan hasil penawaran tender wajib ini tidak akan
material tersebut terhadap kegiatan berdampak terhadap kegiatan operasional, hukum, kondisi

Results of Mandatory Tender Offer of the Company's Shares
Type of Material Information or Facts by PT Bahtera Bintang Nusantara as the new controller of the
Company
Description of Material Information or In connection with the acquisition of the Company by BBN,
Facts BBN has completed its obligation to conduct a mandatory
tender offer for the shares of the Company in order to fulfill the
provisions in POJK No. 9/POJK.04/2018 regarding the
Acquisition of Public Companies (POJK No. 9/2018).
The mandatory tender offer period is 30 days starting 1 day
after the announcement of the Information Disclosure, which
starts at 9:00 a.m. WIB on February 28, 2024 and ends at 4:00
p.m. WIB on March 28, 2024.
On April 5, 2024, BBN has completed the mandatory tender
transaction by purchasing 139,443,300 ordinary shares at the
mandatory tender offer price of Rp240 (two hundred and forty
Rupiah) per share. Thus, after the mandatory tender offer,
BBN holds 139,443,300 shares of the Company directly.
In accordance with POJK No. 9/2018, BBN has submitted a
report on the completion of the mandatory tender
