Uraian Informasi atau Fakta Material Pada tanggal 4 Mei 2026, telah ditandatangani 2 (dua)
Perjanjian Jual Beli Saham (Share Purchase Agreements)
antara beberapa pemegang saham Perseroan dengan AEP
Nusantara Holdings Limited dengan rincian sebagai berikut:
- Perjanjian Jual Beli Saham tanggal 4 Mei 2026,
antara para pemegang saham dengan jumlah kepemilikan
saham sebanyak 589.865.100 saham atau mewakili 75,50%
dari total saham yang ditempatkan dan disetor Perseroan
(Para Penjual) dengan AEP Nusantara Holdings Limited
(Pembeli); dan
- Perjanjian Jual Beli Saham tanggal 4 Mei 2026,
antara Wilson Sutantio dengan kepemilikan saham sebanyak
177.799.800 saham atau mewakili 22,76% dari total saham
yang ditempatkan dan disetor Perseroan (Penjual) dengan
AEP Nusantara Holdings Limited (Pembeli).
Total saham yang dialihkan kepada AEP Nusantara Holdings
Limited adalah sebanyak 767.664.900 saham atau mewakili
98,26% dari total saham yang ditempatkan dan disetor
Perseroan. Oleh karenanya, telah terjadi perubahan
pengendalian Perseroan kepada AEP Nusantara Holdings
Limited sebagai pengendali Perseroan yang baru.
Informasi mengenai pengendali baru yaitu AEP Nusantara
Holdings Limited (Nomor Registrasi Hong Kong: 78857992),
sebuah perusahaan yang didirikan di Hong Kong, berdomisili
di Unit D, 17/F, Nathan Commercial Building, 430-436 Nathan
Road, Kowloon, Hong Kong dan alamat kegiatan usaha di 06,
20/F Leighton Centre, 77 Leighton Road, Causeway Bay,
Hong Kong.
Sebelum pengambilalihan, Perseroan dan pihak AEP
Nusantara Holdings Limited tidak memiliki hubungan afiliasi,
baik dalam hal kepemilikan saham, kepengurusan, maupun
hubungan keluarga, sebagaimana diatur dalam peraturan
perundang-undangan di bidang pasar modal.
Dampak kejadian, informasi atau fakta Perubahan pengendalian pada Perseroan tidak berdampak
material tersebut terhadap kegiatan negatif pada kegiatan operasional Perseroan, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan atau kelangsungan usaha Perseroan.

Description of Material Information or On May 4, 2026, two (2) Share Purchase Agreements were
Facts signed between the Company's several shareholders and AEP
Nusantara Holdings Limited, with the following details:
- Share Purchase Agreement dated 4 May 2026,
between the shareholders, who hold ownership of 589,865,100
shares, representing 75.50% of the total issued and paid-up
capital of the Company (Sellers) and AEP Nusantara Holdings
Limited (Purchaser); and
- Share Purchase Agreement dated 4 May 2026,
between Wilson Sutantio, who holds ownership of 177,799,800
shares, representing 22.76% of the total issued and paid-up
capital of the Company (Seller) and AEP Nusantara Holdings
Limited (Purchaser).
The total number of shares transferred to AEP Nusantara
Holdings Limited is 767,664,900 shares, representing 98.26%
of the total issued and paid-up capital of the Company.
Consequently, a change in the control of the Company has
occurred, with AEP Nusantara Holdings Limited becoming the
new controlling party of the Company.
Information about the new controller that is AEP Nusantara
Holdings Limited (Hong Kong Registration No.: 78857992), a
company incorporated in Hong Kong, having its registered
address at Unit D, 17/F, Nathan Commercial Building, 430-436
Nathan Road, Kowloon, Hong Kong and its business address
at 06, 20/F Leighton Centre, 77 Leighton Road, Causeway
Bay, Hong Kong.
Prior to the acquisition, the Company and AEP Nusantara
Holdings Limited have no affiliated relationship, whether in
terms of share ownership, management, or family ties, as
stipulated under the laws and regulations in the capital market
