# Pada tanggal 4 Mei 2026, Perseroan dan PT Bank
HSBC Indonesia ("HSBC Indonesia”),
menandatangani Perjanjian dimana Perseroan,
tunduk pada dipenuhinya persyaratan pendahuluan
sebagaimana tercantum dalam Perjanjian, akan
mengakuisisi aset dan liabilitas Wealth and Premier
Banking dari HSBC Indonesia (“Transaksi”)
# Tidak terdapat hubungan afiliasi, sebagaimana
didefinisikan dalam peraturan perundang-undangan
yang berlaku di bidang pasar modal, antara
Perseroan dan HSBC Indonesia. Oleh karena itu,
pelaksanaan Transaksi tersebut diatas tidak
termasuk dalam kategori transaksi afiliasi
sebagaimana dimaksud dalam Peraturan Otoritas
Jasa Keuangan No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan
Kepentingan.
# Nilai — Transaksi! — ditentukan — berdasarkan
kesepakatan dalam Perjanjian dan tunduk pada
penyesuaian yang dibuat para pihak setelah
penyelesaian Transaksi.

Signing of the Sale and Purchase Agreement of
Assets and Liabilities (“the Agreement”).
3. Description of Information or Material Fact:
On May 4, 2026, Company and PT Bank HSBC
Indonesia (“HSBC Indonesia”), entered into the
Agreement, pursuant to which Company, subject to
the fulfilment of conditions set out under the
Agreement, will acguire certain assets and liabilities
of Wealth and Premier Banking of HSBC Indonesia
(“the Transaction").
There are no affiliate relationships, as defined under
prevailing laws and regulations in the capital market,
between the Company and HSBC Indonesia.
Accordingly, the execution of the Transaction above
does not fall within the category of affiliated
transactions as referred to in Financial Services
Authority (Otoritas Jasa Keuangan) Regulation
No. 42/POJK.04/2020 on Affiliate Transactions and
Conlflict of Interest Transactions.
The Transaction' determined based on the
agreement set out in the Agreement and is subject to
adjustment made by the parties after completion of
the Transaction.
