 Uraian Informasi atau Fakta Material       Pada tanggal 29 April 2026, perusahaan terkendali Perseroan,
                                            yaitu PT Energi Batubara Indonesia (EBI) telah menjual
                                            seluruh kepemilikannya pada PT Sekti Rahayu Indah (SRI)
                                            sebanyak 495.840 (empat ratus sembilan puluh lima ribu
                                            delapan ratus empat puluh) lembar saham dengan total
                                            transaksi sebesar Rp 50.000.000.000,- (lima puluh miliar
                                            Rupiah).

                                            EBI, selaku penjual, telah menandatangani:

                                            (i) Akta No. 18 tanggal 29 April 2026 dengan PT Mitra Barito,
                                            selaku pembeli, terkait jual beli 397.152 (tiga ratus sembilan
                                            puluh tujuh ribu seratus lima puluh dua) lembar saham pada
                                            SRI dengan nilai transaksi sebesar Rp 40.000.000.000,-
                                            (empat puluh miliar Rupiah), dan

                                            (ii) Akta No. 19 tanggal 29 April 2026 dengan PT Banua
                                            Antang Raya, selaku pembeli, terkait jual beli 98.688
                                            (sembilan puluh delapan ribu enam ratus delapan puluh
                                            delapan) lembar saham pada SRI dengan nilai transaksi
                                            sebesar Rp 10.000.000.000,- (sepuluh miliar Rupiah).

                                            Kedua Akta Jual Beli tersebut dibuat di hadapan Vidi Andito,
                                            SH, Notaris di Jakarta.

                                            Berdasarkan laporan keuangan konsolidasian Perseroan per
                                            31 Desember 2025 yang diaudit oleh KAP Tanubrata Sutanto
                                            Fahmi Bambang & Rekan dalam laporannya No.
                                            00063/2.1068/AU.1/02/1675-1/1/III/2026 tanggal 5 Maret 2026,
                                            Perseroan tercatat memiliki ekuitas negatif sebesar Rp
                                            1.064.284.851.000 ,- (satu triliun enam puluh empat miliar dua
                                            ratus delapan puluh empat juta delapan ratus lima puluh satu
                                            ribu Rupiah) dan nilai aset sebesar Rp 891.350.123.000,-
                                            (delapan ratus sembilan puluh satu miliar tiga ratus lima puluh
                                            juta seratus dua puluh tiga ribu Rupiah).

                                            Dengan nilai transaksi yang kurang dari 10% (sepuluh persen)
                                            total aset Perseroan, maka transaksi ini bukan merupakan
                                            transaksi material sebagaimana dimaksud dalam Pasal 3 ayat
                                            (3) Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020
                                            tentang Transaksi Material dan Perubahan Kegiatan Usaha.
 Dampak kejadian, informasi atau fakta      Transaksi ini merupakan salah satu langkah strategis
 material tersebut terhadap kegiatan        Perseroan, agar Perseroan dapat fokus pada bidang
 operasional, hukum, kondisi keuangan,      perdagangan batubara dan dana yang diperoleh dapat
 atau kelangsungan usaha Emiten atau        mendukung pengembangan kegiatan usaha Perseroan.
 Perusahaan Publik
                                            Selain itu, Perseroan berharap dapat memperbaiki dan
                                            meningkatkan kinerja keuangan Perseroan, sehingga dapat
                                            memberikan nilai tambah bagi seluruh pemegang saham
                                            Perseroan.

Informasi Lain

Perseroan juga telah menerima Laporan Penilaian KJPP Guntur, Eki Andri dan Rekan atas Nilai Wajar Saham SRI
dengan No. 00028/2.0116-06/BS/02/0511/1/IV/2026 tanggal 27 April 2026, serta Pendapat dari KJPP Guntur, Eki Andri
dan Rekan dengan No. 00029/2.0116-06/BS/02/0511/1/IV/2026 tanggal 27 April 2026 untuk menentukan nilai wajar dari
objek transaksi dan/atau kewajaran transaksi dimaksud.

 Description of Material Information or      On April 29, 2026, the Company's controlled company, namely
 Facts                                       PT Energi Batubara Indonesia (EBI) has sold all of its
                                             ownership in PT Sekti Rahayu Indah (SRI) amounting to
                                             495,840 (four hundred ninety five thousand eight hundred and
                                             forty) shares with a total transaction of IDR 50,000,000,000,-
                                             (fifty billion Rupiah).

                                             EBI, as the seller, has signed:

                                             (i) Deed No. 18 dated April 29, 2026, with PT Mitra Barito, as
                                             the buyer, regarding the sale and purchase of 397,152 (three
                                             hundred ninety-seven thousand one hundred fifty-two) shares
                                             in SRI with a transaction value of Rp 40,000,000,000 (forty
                                             billion Rupiah), and

                                             (ii) Deed No. 19 dated April 29, 2026, with PT Banua Antang
                                             Raya, as the buyer, regarding the sale and purchase of 98,688
                                             (ninety-eight thousand six hundred eighty-eight) shares in SRI
                                             with a transaction value of Rp 10,000,000,000 (ten billion
                                             Rupiah).

                                             Both Deeds of Sale and Purchase were drawn up before Vidi
                                             Andito, SH, Notary in Jakarta.

                                             Based on the Company's consolidated financial statements as
                                             of December 31, 2025, audited by KAP Tanubrata Sutanto
                                             Fahmi Bambang & Rekan in its report No.
                                             00063/2.1068/AU.1/02/1675-1/1/III/2026 dated March 5, 2026,
                                             the Company recorded negative equity of IDR
                                             1,064,284,851,000 (one trillion sixty-four billion two hundred
                                             eighty-four million eight hundred fifty-one thousand Rupiah)
                                             and asset value of IDR 891,350,123,000 (eight hundred
                                             ninety-one billion three hundred fifty million one hundred
                                             twenty-three thousand Rupiah).

                                             With a transaction value of less than 10% (ten percent) of the
                                             Company's total assets, this transaction is not a material
                                             transaction as referred to in Article 3 paragraph (3) of Financial
                                             Services Authority Regulation No. 17/POJK.04/2020

KJPP Guntur, Eki Andri and Partners with No. 00029/2.0116-06/BS/02/0511/1/IV/2026 dated April 27, 2026 to
determine the fair value of the transaction object and/or the fairness of the transaction in question.
