Uraian Informasi atau Fakta Material Sesuai informasi yang disampaikan oleh Perseroan kepada
Otoritas Jasa Keuangan, melalui surat nomor 004/SAPX-
CORSEC/IV/2024 tanggal 04 April 2024 perihal Penyampaian
Pembatalan Pelaksanaan PMHMETD I PT Satria Antaran
Prima Tbk, bahwa Perseroan telah memutuskan untuk
melakukan pembatalan proses PMHMETD I, dikarenakan
kondisi pasar dan ekonomi secara global yang kurang baik
saat ini, sehingga menyebabkan proses diskusi antara
Perseroan dan calon investor tidak mencapai kesepakatan.
Dampak kejadian, informasi atau fakta Berikut ini adalah penjelasan Perseroan mengenai dampak
material tersebut terhadap kegiatan pembatalan PMHMETD I terhadap struktur permodalan,
operasional, hukum, kondisi keuangan, kegiatan operasional, kondisi keuangan, atau kelangsungan
atau kelangsungan usaha Emiten atau usaha Perseroan:
Perusahaan Publik 1) Tidak terdapat perubahan pada struktur kepemilikan
saham Perseroan;
2) Tidak terdapat dampak apapun terhadap kegiatan
operasional Perseroan akibat tidak dilaksanakannya
PMHMETD I;
3) Tidak ada peningkatan ekuitas Perseroan; dan
4) Tidak ada dampak terhadap kelangsungan usaha
Perseroan akibat tidak dilaksanakannya rencana PMHMETD I.
Adapun, meskipun sebelumnya Perseroan berencana
menggunakan dana hasil PMHMETD I untuk modal kerja, saat
ini Perseroan akan mencari opsi pembiayaan lain guna
memenuhi kebutuhan modal kerja tersebut.

Rincian mengenai PMHMETD I yang dibatalkan sebagai berikut:
Jumlah saham ditawarkan dalam PMHMETD I: Sebanyak-banyaknya 356.770.819 (tiga ratus lima puluh enam juta tujuh
ratus tujuh puluh ribu delapan ratus sembilan belas)
Rasio HMETD: 320 : 137 (tiga ratus dua puluh : seratus tiga puluh tujuh)
Nilai nominal: Rp100 (seratus Rupiah) per saham
Harga Pelaksanaan : Rp700 (tujuh ratus Rupiah) Rp1.121 (seribu seratus dua puluh satu Rupiah)
Nilai Emisi: Sebanyak-banyaknya Rp399.940.088.099 (tiga ratus sembilan puluh sembilan miliar sembilan ratus empat
puluh juta delapan puluh delapan ribu sembilan puluh sembilan Rupiah)

Information Disclosure in connection with the Cancellation of
Type of Material Information or Facts Capital Increase Plan by Granting Preemptive Rights
(PMHMETD I)
Description of Material Information or In accordance with information disclosure submitted by the
Facts Company to the Financial Services Authority, through letter
number 004/SAPX-CORSEC/IV/2024 dated April 04, 2024
regarding the Submission of Cancellation of the
Implementation of PMHMETD I PT Satria Antaran Prima Tbk,
that the Company has decided to cancel the PMHMETD I
process, due to the current unfavorable global market and
economic conditions, causing the discussion process between
the Company and potential investors that could not reach an
agreement.
Impact of event, material information or The following is the Company's explanation regarding the
facts towards Issuers or Public impact of the cancellation of PMHMETD I on the Company's
Company’s operational activities, legal, capital structure, operational activities, financial condition, or
financial condition, or going concern business continuity:
1) There are no changes to the Company's shareholding
structure;
2) There is no impact on the Company's operational
activities due to the non-implementation of PMHMETD I;
3) There was no increase in the Company's equity; and
4) There is no impact on the Company's business
continuity due to the non-implementation of the PMHMETD I
plan.
Meanwhile, although previously the Company planned to use
the proceeds from PMHMETD I for working capital, currently
the Company will look for other financing options to meet these
working capital needs.

Details regarding the cancellation of PMHMETD I are as follows:
Number of shares offered in PMHMETD I: A maximum of 356,770,819 (three hundred and fifty-six million seven
hundred seventy thousand eight hundred nineteen)
