Uraian Informasi atau Fakta Material      PT Waskita Toll Road (WTR) merupakan anak perusahaan
                                          Perseroan dengan kepemilikan saham sebesar 16.374.113
                                          (enam belas juta tiga ratus tujuh puluh empat ribu seratus tiga
                                          belas) lembar saham atau setara dengan 92,53% (sembilan
                                          puluh dua koma lima tiga persen) dari seluruh saham yang
                                          diterbitkan oleh WTR.

                                          PT Waskita Bali Mandara (WBM) merupakan anak
                                          perusahaan dari WTR dengan kepemilikan saham sebesar
                                          3.750 (tiga ribu tujuh ratus lima puluh) lembar saham atau
                                          setara dengan 75,00% (tujuh puluh lima persen) dari seluruh
                                          saham yang diterbitkan oleh WBM.

                                          Bahwa bersama ini kami uraikan informasi atau fakta material
                                          yang telah terjadi yakni adalah telah dilaksanakannya
                                          RUPSLB WBM terkait dengan pembubaran dan likuidasi pada
                                          tanggal 26 Agustus 2026 sebagaimana Surat Keterangan
                                          Notaris No.134/NZH/PT/VIII/2026 tanggal 26 Agustus 2026,
                                          Zulkifli Harahap, S.H., Notaris di Jakarta. Terhitung sejak
                                          tanggal 26 Agustus 2026 status badan hukum WBM menjadi
                                          Dalam Likuidasi dan wajib dicantumkan pada sleuruh surat-
                                          menyurat dan dokumen resmi WBM. Selain itu, telah dilakukan
                                          penunjukan Allan May Nasution (Direktur WBM) sebagai
                                          Likuidator.

                                          Bahwa saat ini pengurusan untuk mendapat Surat
                                          Pemberitahuan Pembubaran Perseroan Terbatas WBM
                                          tersebut sedang dalam proses di Kementerian Hukum
                                          Republik Indonesia yang dilakukan melalui Kantor Notaris
                                          Zulkifli Harahap, S.H., yang berkedudukan di Jakarta.

                                          Pembubaran dan Likuidasi ini dilakukan sehubungan dengan
                                          status perusahaan (WBM) yang bersifat dormant serta adanya
                                          arahan/instruksi dari PT Danantara Aset Management
                                          berdasarkan surat No. SR.039/DI DAM/DO/2026 tanggal 2
                                          Maret 2026 yang mana WBM tercantum eksplisit sebagai
                                          entitas dormant yang wajib dilakukan penatausahaan pada
                                          tahun 2026 ini.
Dampak kejadian, informasi atau fakta     Dengan adanya restrukturisasi ini diharapkan dapat
material tersebut terhadap kegiatan       memperbaiki posisi likuiditas Perseroan, memperkuat arus kas
operasional, hukum, kondisi keuangan,     operasional, serta menjaga keberlangsungan usaha WFPR
atau kelangsungan usaha Emiten atau       dalam jangka panjang.

 Description of Material Information or     PT Waskita Toll Road WTR is a subsidiary of the Company
 Facts                                      with ownership of 16,374,113 sixteen million three hundred
                                            seventy four thousand one hundred thirteen shares or
                                            equivalent to 92.53 percent ninety two point five three percent
                                            of the total issued shares of WTR

                                            PT Waskita Bali Mandara WBM is a subsidiary of WTR with
                                            ownership of 3,750 three thousand seven hundred fifty shares
                                            or equivalent to 75.00 percent seventy five percent of the total
                                            issued shares of WBM

                                            In this regard we hereby provide information on the material
                                            information or facts that have occurred namely the convening
                                            of the Extraordinary General Meeting of Shareholders EGMS
                                            of WBM in relation to the dissolution and liquidation of WBM
                                            which was held on August 26 2026 as evidenced by Notarial
                                            Certificate No 134 NZH PT VIII 2026 dated August 26 2026
                                            issued by Zulkifli Harahap S H Notary in Jakarta As of August
                                            26 2026 the legal status of WBM has become In Liquidation
                                            and such status must be stated on all correspondence and
                                            official documents of WBM In addition Allan May Nasution
                                            Director of WBM has been appointed as the Liquidator

                                            Currently the process of obtaining the Notification Letter of
                                            Dissolution of WBM from the Ministry of Law of the Republic of
                                            Indonesia is underway through the office of Zulkifli Harahap S
                                            H Notary in Jakarta

                                            The dissolution and liquidation of WBM were carried out in
                                            connection with the dormant status of WBM and pursuant to
                                            the direction or instruction of PT Danantara Aset Management
                                            under Letter No SR 039 DI DAM DO 2026 dated March 2 2026
                                            in which WBM was explicitly identified as a dormant entity
                                            subject to administrative action in 2026
