Perseroan berkomitmen untuk menciptakan lingkungan kerja yang inklusif dengan menjunjung tinggi prinsip
kesetaraan serta memberikan kesempatan yang sama bagi seluruh karyawan. Dalam setiap kebijakan dan
praktik ketenagakerjaan, Perseroan memastikan penghormatan terhadap Hak Asasi Manusia (HAM)
sebagai bagian dari penerapan tata kelola perusahaan yang baik. Perseroan tidak membedakan perlakuan
berdasarkan usia, gender, suku, agama, latar belakang pendidikan, maupun penampilan fisik dalam
pemenuhan hak-hak pekerja. Seluruh ketentuan tersebut telah diatur secara jelas dalam peraturan

pendidikan minimal Sekolah Menengah Atas. Kebijakan ini mengacu pada ketentuan dalam Konvensi ILO
Nomor 138 tentang Usia Minimum dan Nomor 182 tentang Bentuk-Bentuk Pekerjaan Terburuk untuk Anak.
Perseroan juga memastikan kepatuhan dengan tidak mempekerjakan individu di bawah usia kerja yang
diperbolehkan sesuai peraturan perundang-undangan yang berlaku.

Struktur tata kelola Perseroan dibentuk berdasarkan ketentuan Undang Undang Perseroan Terbatas dan
terdiri atas Rapat Umum Pemegang Saham RUPS, Dewan Komisaris, dan Direksi serta komite dan organ
pendukung lainnya di bawah Direksi. Dewan Komisaris merupakan organ tata kelola Perseroan yang
menjalankan fungsi pengawasan serta pemberian nasihat kepada Direksi dalam rangka memastikan
pengelolaan Perseroan berjalan sesuai dengan prinsip kehati hatian dan tata kelola perusahaan yang baik.
Sementara itu, Direksi merupakan organ tata kelola Perseroan yang bertanggung jawab atas pengurusan
dan pengelolaan Perseroan, serta bertindak sebagai perwakilan Perseroan di dalam maupun di luar
pengadilan sesuai dengan ketentuan yang berlaku

Dewan Komisaris
Penilaian kinerja Dewan Komisaris dilakukan melalui proses evaluasi atas pelaksanaan tugas dan fungsi
yang dijalankan sepanjang tahun buku. Sebagai bagian dari upaya peningkatan kualitas kinerja, evaluasi
tersebut dilaksanakan secara berkala dengan menelaah tingkat pencapaian tugas dan tanggung jawab,
serta peran dan keterlibatan Dewan Komisaris dalam mendukung kinerja Perseroan selama periode
pelaporan.
Prosedur penilaian diawali oleh Komite Nominasi dan Remunerasi. Selanjutnya, penilaian dalam bentuk
evaluasi dilakukan oleh pemegang saham dalam Rapat Umum Pemegang Saham (RUPS). Selanjutnya,
hasil dari penilaian tersebut digunakan sebagai salah satu bahan pertimbangan dalam menentukan dan

menetapkan besaran remunerasi anggota Dewan Komisaris. Kriteria penilaian Dewan Komisaris mengacu
pada ketentuan regulasi dan pedoman kerja, seperti pelaksanaan kegiatan rapat dan pelaksanaan tugas
sesuai dengan tugas dan tanggung jawabnya. Termasuk di dalamnya adalah peran dan fungsi Dewan
Komisaris penerapan tata kelola perusahaan yang baik.
Direksi
Penilaian kinerja Direksi dilakukan secara berkala untuk mengevaluasi kinerja Direksi yang hasilnya
kemudian akan digunakan sebagai salah satu bahan pertimbangan untuk penetapan remunerasi Direksi.
Penilaian dilakukan oleh Komite Nominasi dan Remunerasi yang selanjutnya dilakukan oleh Dewan
Komisaris dan Pemegang Saham melalui Rapat Umum Pemegang Saham.
Prosedur penilaian Direksi berawal dari masukan Komite Nominasi dan Remunerasi, sesuai dengan
Peraturan Otoritas Jasa Keuangan No. 34/POJK.04/2014 tentang Komite Nominasi dan Remunerasi Emiten
atau Perusahaan Publik. Hasil penilaian disampaikan kepada Dewan Komisaris untuk dilaporkan pada
RUPS.

Perseroan menetapkan kebijakan pengembangan kompetensi dengan memberikan dukungan penuh
terhadap pelaksanaannya, mengingat hal tersebut berperan penting dalam menunjang pertumbuhan bisnis

OJK Nomor 33 POJK 04 2014 tentang Direksi dan Dewan Komisaris Emiten atau Perusahaan Publik.

Prinsip 7: Hak-hak Pemegang Saham
Korporasi melindungi dan memfasilitasi pelaksanaan hak pemegang saham dan memastikan perlakukan

memiliki kesempatan untuk mendapatkan ganti rugi yang efektif atas pelanggaran hak-hak mereka.

The Companys governance structure is established based on the Limited Liability Company Law and
consists of the General Meeting of Shareholders GMS, the Board of Commissioners, and the Board of
Directors, along with committees and other supporting organs under the Board of Directors. The Board of
Commissioners is an organ of the Company responsible for supervision and for providing advice to the
Board of Directors to ensure that the Companys management is conducted in accordance with the principles
of prudence and good corporate governance. The Board of Directors is an organ of the Company
responsible for managing and administering the Company, as well as representing the Company inside and

Companys performance during the reporting period.
The assessment procedure begins with the Nomination and Remuneration Committee. The evaluation is

are subsequently used as one of the considerations in determining and setting the remuneration for
members of the Board of Commissioners.
The assessment criteria for the Board of Commissioners refer to regulatory provisions and work guidelines,
such as the implementation of meeting activities and the performance of duties in accordance with their
responsibilities. This includes the role and function of the Board of Commissioners in implementing good
corporate governance.
Board of Directors
The performance assessment of the Board of Directors is conducted periodically to evaluate the Board of
Directors performance, the results of which are subsequently used as one of the considerations for
determining the Board of Directors remuneration. The assessment is conducted by the Nomination and
Remuneration Committee, followed by the Board of Commissioners and Shareholders through the General
Meeting of Shareholders.
The Board of Directors assessment procedure begins with input from the Nomination and Remuneration
Committee, in accordance with Financial Services Authority Regulation No. 34/POJK.04/2014 on the
Nomination and Remuneration Committee of Issuers or Public Companies. The assessment results are
submitted to the Board of Commissioners for reporting at the GMS.
