Perseroan berkomitmen untuk menjunjung tinggi standar tertinggi dalam integritas, keadilan, dan non-
diskriminasi dalam seluruh aspek praktik ketenagakerjaannya. Proses
rekrutmen, penerimaan kerja, promosi, serta seluruh syarat dan ketentuan kerja lainnya didasarkan
semata-mata pada kualifikasi individu, kinerja, dan kebutuhan usaha. Perseroan tidak menoleransi segala
bentuk diskriminasi berdasarkan usia, ras, warna kulit, asal kebangsaan atau etnis, kewarganegaraan, jenis
kelamin, identitas atau pengalihan gender, status pernikahan atau kemitraan sipil, orientasi seksual,

Untuk saat ini Perseroan tidak memiliki Chief executive Officer (CEO). Perseroan secara Anggaran Dasar
Perseroan hanya memiliki Direktur Utama dan Direktur serta Dewan Komisaris. Sehingga, dalam susunan
Perseroan, Direksi akan bertanggung jawab atas pengurusandan operasional perusahaan sehari-hari.
Dewan Komisaris bertugas mengawasi dan memberikan nasihat kepada Direksi. Direksi
wajib memberikan informasi yang transparan kepada Dewan Komisaris. Dewan Komisaris berhak meminta
laporan dan klarifikasi dari Direksi terkait kinerja dan keputusan strategis perusahaan. Rapat
koordinasi antara Direksi dan Dewan Komisaris dilakukan secara berkala. Setiap anggota Direksi dan
Dewan Komisaris wajib menjalankan tugasnya secara professional.
Pemisahan antara pengurusan dan pengawasan dilakukan antara fungsi Direksi dan Dewan Komisaris pada
Perseroan, hal ini untuk menciptakan tata kelola perusahaan yang baik (Good Corporate Governance/GCG)
dalam pengelolaan perusahaan.

b. Nasihat yang diberikan merupakan nasihat seputar kepentingan Perseroan, sebab berkaitan erat dengan
operasional Perseroan.

kepentingan Perseroan atau ambil untung pribadi. Larangan rangkap jabatan: Dilarang merangkap jabatan
lain yang bisa timbulkan benturan kepentingan.Larangan mewakili saat ada konflik: Tidak boleh mewakili
Perseroan jika punya kepentingan yang bertentangan.Anti-korupsi:
a. Larangan suap: Dilarang memberi/menerima suap, kickback, atau hadiah tidak pantas ke/dari siapapun,
termasuk pejabat pemerintah.b. Pembayaran resmi: Semua pembayaran ke pemerintah harus lewat jalur
resmi. Jika tidak, wajib ada persetujuan tertulis Direksi.c. Tolak uang tidak resmi: Perseroan berkomitmen
hapus uang tidak resmi. Karyawan/mitra wajib menolak. Jika terpaksa, segera diskusikan dengan
manajer/pejabat yang ditunjuk.d. Hadiah yang diizinkan: Boleh beri hadiah/hiburan bernilai kecil, wajar,

PRINSIP-PRINSIP PERLAKUAN ADIL
1 Kesetaraan atas Hak Pemegang Saham
.Semua Pemegang Saham, dengan tidak memandang seberapa besar jumlah saham yang dimiliki, berhak
untuk mendapatkan perlakuan yang setara. Terdapat beberapa hal untuk kesetaraan ini, antara lain yaitu:
hak suara, pembagian dividen, dan akses terhadap informasi yang relevan mengenai Perusahaan.
2 Transparansi Informasi
.Perusahaan wajib untuk memberikan informasi dan/atau data secara akurat dan relevan kepada para
Pemegang Saham. Transparansi informasi ini mencakup atas beberapa hal, antara lain: laporan keuangan
yang telah diaudit, kebijakan Perusahaan, serta keputusan-keputusan penting yang diambil oleh
Perusahaan dan dapat sewaktu-waktu mempengaruhi kepentingan mereka
3 Adanya Akses yang Setara pada Rapat Umum Pemegang Saham (RUPS)
.Setiap Pemegang Saham berhak untuk menghadiri dan memberikan suara dalam RUPS. Perusahaan akan
memastikan bahwa semua Pemegang Saham memiliki kesempatan yang sama untuk berpartisipasi dalam
RUPS baik secara fisik maupun melalui sarana elektronik, jika memungkinkan.

4 Penghindaran atas Konflik Kepentingan
.Perusahaan akan memastikan bahwa tidak ada kebijakan atau tindakan yang merugikan Pemegang Saham
tertentu atau mengutamakan Pemegang Saham yang lebih besar atau pihak yang memiliki hubungan dekat
dengan Perusahaan.

2. All parties are prohibited from engaging in any acts that contain elements of sexual harassment and

3. The Company provides a reporting channel through a whistleblowing system if there is any suspected
sexual harassment. The whistleblowing system is part of the Internal Control System and serves as a
mechanism for the Company to report suspected violations or fraud that may harm the Company, or other
matters that violate the code of ethics and/or applicable laws and regulations.

in all aspects of its employment practices. Recruitment, hiring, promotion, and all other terms and conditions
of employment are based solely on individual qualifications, performance, and business needs. The
Company does not tolerate any form of discrimination based on age, race, color, national or ethnic origin,
citizenship, sex, gender identity or transition, marital or civil partnership status, sexual orientation, pregnancy

Currently, the Company does not have a Chief Executive Officer (CEO). According to the Company Articles
of Association, the Company only has a President Director, Director and a Board of Commissioners.
Therefore, in the Company's structure, the Board of Directors will be responsible for the management and
daily operations of the company. The Board of Commissioners is tasked with supervising and providing
advice to the Board of Directors. The Board of Directors is required to provide transparent information to the
Board of Commissioners. The Board of Commissioners has the right to request reports and clarifications
from the Board of Directors regarding the company performance and strategic decisions.
Coordination meetings between the Board of Directors and the Board of Commissioners are held
periodically. Each member of the Board of Directors and the Board of Commissioners is required to carry
out their duties professionally.
The separation between management and supervision is carried out between the functions of the Board of
Directors and the Board of Commissioners in the Company, this is to create good corporate governance
(GCG) in managing the company.
