Pacific Holdings Pte. Ltd. (“UPCAPH”), ACEN
Renewables International Pte. Ltd. (“ACRI”), UPC
Renewables Asia III Limited (“Asia III”), Sidrap (HK)
Limited (“Sidrap HK”), dan Sunedison Sidrap B.V.
(“SunEd BV”) (UPCAPH, ACRI, Asia III, Sidrap HK,
dan SunEd BV secara bersama-sama disebut
sebagai “Para Penjual”) dengan harga pembelian
sebesar USD101.926.830,91 atau setara dengan
Rp1.621.553.952.947,19.

b) 2.499 saham yang mewakili sekitar 99,9976 dari
jumlah modal disetor dan modal ditempatkan PT
UPC Operation and Maintenance Indonesia (“OMI”)
dari UPCAPH dengan harga pembelian sebesar
USD297.017,89 atau setara dengan
Rp4.725.257.612,01.

Transaksi ini:

a) bukan merupakan Transaksi Afiliasi sebagaimana
dimaksud Peraturan OJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan (“POJK 42”) karena Para Penjual
bukan merupakan pihak terafiliasi dari Perseroan
atau bukan merupakan pihak terafiliasi dari anggota
direksi, dewan komisaris, pemegang saham utama
atau pengendali dari Perseroan.

b) bukan merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42.

c) bukan merupakan Transaksi Material sebagaimana
dimaksud dalam Peraturan OJK No.
17/IPOJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha (“POJK 17”), karena:

- nilai transaksi tidak mencapai 204 dari ekuitas
Perseroan berdasarkan Laporan Keuangan
Konsolidasian Perseroan untuk tahun buku
yang berakhir per 31 Desember 2023: atau

- perbandingan antara total aset SIDRAP 1 dan
OMI dibagi dengan total aset Perseroan tidak
mencapai 20”, atau

- perbandingan antara laba bersih SIDRAP 1 dan
OMI dibagi dengan laba bersih Perseroan tidak
mencapai 2074: atau

- perbandingan antara pendapatan usaha
SIDRAP 1 dan OMI dibagi dengan pendapatan
usaha Perseroan tidak mencapai 2074. /

This report is a continuation of the Report on Material
Information or Facts that we have previously announced
based on Letter No. 013/BREN/Corps/XII/2023 dated 15
December 2023.

We hereby inform you that on 2 April 2024, BWE has
completed the acguisition of:

a) 515,515 of class A shares and 34,368 of class B
Shares representing approximately 99,9946 of the
total paid-up capital and issued capital of PT UPC
Sidrap Bayu Energi (“SIDRAP 1”) from UPC
Renewables Asia Pacific Holdings Pte. Ltd.
(“UPCAPH”), ACEN Renewables International Pte.
Ltd. (“ACRI”), UPC Renewables Asia III Limited
(“Asia III), Sidrap (HK) Limited (“Sidrap HK”), dan
Sunedison Sidrap B.V. (“SunEd BV) (UPCAPH,
ACRI, Asia III, Sidrap HK, dan SunEd BV collectively
referred to as “Sellers”) with a purchase price of
USD101,926,830.91 or eguivalent to
Rp1,621,553,952,947.19.

b) 2,499 of shares representing approximately 99,994
of the total paid-up capital and issued capital of PT
UPC Operation and Maintenance Indonesia (“OMI”)
from UPCAPH with a purchase price of
USD297,017.89 or eguivalent to
Rp4,725,257,612.01.

These transactions:

a) are not constitute as Affiliate Transaction under OJK
Regulation No. 42/POJK.04/2020  concemning
Affiliate Transaction and Conflict of Interest
Transaction ("POJK 42") because each of the
Sellers is not an affiliated party of the Company or is
not an affiliated party of members of the board of
directors, board of commissioners, primary or
controlling shareholders of the Company.

b) are not constitute as conflict-of-interest transaction
under POJK 42.

c) are not constitute as Material Transaction under
OJK Regulation No. 17/POJK.04/2020 concerning
Material Transaction and Changes in Business
Activities (“POJK 17”), because:

- the transaction value does not reach 2096 of the
Company's eguity based on Consolidated
Financial Statement of the Company for the
financial year ended 31 December 2023: or

- the comparison between total assets of SIDRAP
1 and OMI divided by the total assets of the
Company does not reach 2096: or

- the comparison between SIDRAP 1 and OMI's
net profit divided by the Company's net profit
does not reach 2046, or

- the comparison between SIDRAP 1 and OMI's
operating income divided by the Company's
operating income does not reach 2046.

adalah untuk pengembangan usaha dan memperkuat
posisi bisnis grup Perseroan di bidang energi
terbarukan. Selain itu, tidak terdapat dampak signifikan
terhadap kegiatan operasional, hukum, atau
kelangsungan usaha Perseroan

The purpose of acguisition in SIDRAP 1 and OMI is for
business development and strengthening the business
position of the Company's group in the field of renewable
energy. Moreover, there is no significant impact on the
Company's operational, legal or business continuity
activities.
