Uraian Informasi atau Fakta Material Pada tanggal 28 Maret 2024, PT Barito Wind Energy ("BWE")
yang merupakan perusahaan terkendali Perseroan yang
dimiliki sebesar 99,99% telah menandatangani Facilities
Agreement dengan PT Bank Negara Indonesia (Persero) Tbk
("BNI") (selanjutnya disebut sebagai "Perjanjian Fasilitas").
Berikut merupakan informasi-informasi material sehubungan
dengan Perjanjian Fasilitas:
Total Komitmen Fasilitas:
Fasilitas Tranche A adalah setara dalam Rupiah sebesar USD
70.000.000 (dengan menggunakan nilai tukar yang disepakati)
dan Fasilitas Tranche B sebesar USD 40.000.000.
Tanggal Pembayaran Akhir (Final):
Fasilitas Tranche A adalah tanggal yang jatuh 120 bulan
setelah tanggal pertama penggunaan dana (dapat
diperpanjang) dan Fasilitas Tranche B adalah tanggal yang
jatuh 6 bulan setelah tanggal pertama penggunaan dana.
Penggunaan Dana:
Tujuan Perjanjian Fasilitas adalah:
1. Fasilitas Tranche A untuk membiayai
pengambilalihan PT UPC Sidrap Bayu Energi ("SIDRAP 1")
dan PT UPC Operation and Maintenance Indonesia ("OMI"),
yang sebelumnya telah diungkapkan dalam Laporan Informasi
atau Fakta Material No. 013/BREN/Corps/XII/2023 tanggal 15
Desember 2023.
2. Fasilitas Tranche B untuk membiayai keperluan
umum perusahaan BWE.
Jaminan yang diberikan:
1. Gadai saham OMI.
2. Gadai rekening BWE dan OMI.
Penandatanganan Perjanjian Fasilitas ini:
a. bukan merupakan Transaksi Afiliasi sebagaimana
dimaksud dalam Peraturan OJK No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan ("POJK
42") karena BNI bukan merupakan pihak terafiliasi dari
Perseroan atau bukan merupakan pihak terafiliasi dari anggota
direksi, dewan komisaris, pemegang saham utama atau
pengendali dari Perseroan.
b. bukan merupakan transaksi benturan kepentingan
sebagaimana dimaksud dalam POJK 42.
c. bukan merupakan Transaksi Material sebagaimana
dimaksud dalam Peraturan OJK No. 17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha ("POJK
17"), karena nilai transaksi adalah sebesar 16,9% dari ekuitas
Perseroan berdasarkan Laporan Keuangan Konsolidasian
Perseroan untuk tahun buku yang berakhir per 31 Desember
2023.
Sehubungan dengan fasilitas yang diterima oleh BWE dari BNI
tersebut, Perseroan juga telah menandatangani Letter of
Support dimana berdasarkan Letter of Support, Perseroan
diminta untuk setiap saat membantu BWE untuk mendanai
kekurangan pemenuhan saldo minimum DSRA (Debt Service
Reserve Account) dan memenuhi kewajiban pembayaran
pokok dan bunga sesuai dengan ketentuan dalam Perjanjian
Fasilitas dan Perseroan diminta untuk memastikan bahwa

seluruh hasil penjualan saham Perseroan di BWE (dalam hal
terjadi penjualan saham Perseroan di BWE yang
mengakibatkan Perubahan Pengendalian (Debitur)
(sebagaimana didefinisikan dalam Perjanjian Fasilitas)
digunakan untuk pembayaran kewajiban BWE kepada BNI.
Letter of Support di atas bukan merupakan suatu bentuk
penanggungan dari Perseroan kepada BNI.
Selanjutnya, penandatanganan Letter of Support tersebut di
atas merupakan Transaksi Afiliasi sebagaimana dimaksud
dalam POJK 42. Meskipun demikian, berdasarkan Pasal 6
ayat (1.b) dan ayat (2) POJK 42, transaksi tersebut hanya
wajib dilaporkan kepada OJK 2 hari kerja sejak terjadinya
transaksi karena transaksi dilakukan oleh Perseroan untuk
BWE yang sahamnya dimiliki oleh Perseroan sebesar 99,99%.
Dampak kejadian, informasi atau fakta Dampak dari penandatanganan Perjanjian Fasilitas adalah
material tersebut terhadap kegiatan bertambahnya kewajiban keuangan Perseroan (secara
operasional, hukum, kondisi keuangan, konsolidasi). Namun demikian, tidak terdapat dampak
atau kelangsungan usaha Emiten atau signifikan terhadap kegiatan operasional, hukum, atau
Perusahaan Publik kelangsungan usaha Perseroan.

Description of Material Information or On 28 March 2024, PT Barito Wind Energy ("BWE"), a 99.99%
Facts controlled subsidiary of the Company, has signed Facilities
Agreement with PT Bank Negara Indonesia (Persero) Tbk
("BNI") (hereinafter shall referred to as "Facilities Agreement").
Below is the material information regarding the Facilities
Agreement:
Total Commitment Facilities:
Tranche A Facility is the agreed IDR equivalent of USD
70,000,000 and Tranche B Facility is USD 40,000,000.
Final Repayment Date:
Tranche A Facility is the date falling 120 months after the initial
utilization date (can be extended) and Tranche B Facility is the
date falling 6 months after the initial utilization date.
Use of Proceeds:
The purposes of the Facilities Agreement are:
1. Tranche A Facility is to fund the acquisition payment
of PT UPC Sidrap Bayu Energi ("SIDRAP 1") and PT UPC
Operation and Maintenance Indonesia ("OMI"), which
previously have been disclosed based on Report on Material
Information or Facts No. 013/BREN/Corps/XII/2023 dated 15
December 2023.
2. Tranche B Facility is to fund the general corporate
purposes of BWE.
Security:
1. Pledge of shares of OMI.
2. Pledge of account of BWE and OMI.
The execution of the Facilities Agreement:
a. is not an Affiliate Transaction under OJK Regulation
No. 42/POJK.04/2020 concerning Affiliate Transaction and
Conflict of Interest Transaction ("POJK 42") because BNI is not
an affiliated party of the Company or is not an affiliated party of
members of the board of directors, board of commissioners,
primary or controlling shareholders of the Company.
b. is not a conflict-of-interest transaction under POJK
42.
c. is not a Material Transaction OJK Regulation No.
17/POJK.04/2020 concerning Material Transaction and
Changes in Business Activities ("POJK 17"), because the
transaction value is 16.9% of the Company's equity based on
the Consolidated Financial Statement of the Company per 31
December 2023.
In relation to the received facilities by BWE from BNI, the
Company has also signed a Letter of Support in which based
on the pertaining Letter of Support, the Company is requested
at any time to assist BWE to fund shortfall in the minimum
DSRA (Debt Service Reserve Account) balance at all times
and to meet the scheduled repayment of principle and interest
under and pursuant to the terms of the Facilities Agreement
and the Company is requested to ensure that all proceeds
from the sale of the Company's shares in BWE (in the event of
a sale of the Company's shares in BWE which result in a
Change of Control (Borrower) as defined in the Facilities

Agreement) are used to repay BWE's obligations to BNI.
The abovementioned Letter of Support is not a form of
guarantee from the Company to BNI.
Furthermore, the signing of Letter of Support above are
constituted as Affiliate Transaction under POJK 42. However,
based on Article 6 paragraph (1.b) and paragraph (2) of POJK
42, these transactions must only be reported to OJK 2
business days since the transactions occurred, because the
transactions are carried out by the Company for BWE which
shares are owned by the Company at 99.99%.
Impact of event, material information or The impact of the Facilities Agreement execution is the
facts towards Issuers or Public increment of the Company's financial obligations (on a
Company’s operational activities, legal, consolidated basis). However, there is no significant impact on
financial condition, or going concern the Company's operational, legal or business continuity
activities.
