  IN ORDER TO COMPLY WITH OJK REGULATION NO. 29 OF 2023 CONCERNING THE BUYBACK OF
                        SHARES ISSUED BY PUBLIC COMPANIES

   THIS ANNOUNCEMENT IS IMPORTANT AND REQUIRES IMMEDIATE ATTENTION FROM THE
SHAREHOLDERS OF PT MITRA KELUARGA KARYASEHAT TBK. IN MAKING DECISIONS REGARDING
                   THE SHARE BUYBACK PLAN (“SHARE BUYBACK”).

                                             INTRODUCTION

PT Mitra Keluarga Karyasehat Tbk. (the “Company”) plans to conduct a share buyback of its issued and
listed shares on the Indonesia Stock Exchange (“IDX”), including the plan to transfer shares resulting from
the Buyback in accordance with Financial Services Authority (“OJK”) Regulation No. 29 of 2023
concerning Share Buyback by Public Companies (“POJK 29/2023”). The total value of the Buyback
transaction is estimated to be up to IDR 1,000,000,000,000 (one trillion Rupiah), including costs related
to the Buyback transaction.

The share buyback will be conducted through 1 (one) IDX member, either gradually or at once, and
completed no later than 12 (twelve) months after the EGMS. The Buyback will be carried out by
considering market conditions, liquidity conditions, share price, the Company’s capital structure, and
prevailing laws and regulations.

        ESTIMATED COST OF SHARE BUYBACK AND ESTIMATED NUMBER OF SHARES TO BE
                                    REPURCHASED

The estimated Buyback transaction value is up to IDR 1,000,000,000,000 (one trillion Rupiah)
(“Estimated Buyback Transaction Value”). This amount does not exceed 10% (ten percent) of the
Company’s issued capital and will be sourced from free cash flow in the form of retained earnings. The
Estimated Buyback Transaction Value includes transaction costs (including transaction fees, custodian
fees, and commitment fees) of approximately 0.23% of the Buyback execution value, assuming full
execution.

This amount complies with Article 2 paragraph (1) of POJK 29/2023 and Article 37 paragraph (1) letter
(b) of the Company Law, whereby the nominal value of shares repurchased shall not exceed 10% of the
issued capital...

            EXPLANATION, CONSIDERATIONS AND REASONS FOR THE SHARE BUYBACK

The Company’s management has successfully increased profits and maintained sufficient liquidity. The
Company also has significant cash flow and relatively low leverage compared to regional peers.

Based on these factors, the Company intends to enhance shareholder value by returning excess free cash
flow through a share buyback.

Approval of the Buyback will provide greater flexibility in managing capital to achieve an optimal capital
structure.

The Company believes that the Buyback will not affect its ability to finance business activities, as it
currently has sufficient working capital.

              ESTIMATED DECREASE IN REVENUE AND IMPACT ON FINANCING COSTS

The Company believes that the Buyback will not have a material negative impact on its business activities,
considering sufficient working capital and cash flow..

                   PROFORMA EARNING PER SHARE AFTER THE SHARE BUYBACK

The following is the pro forma Audited Consolidated Financial Information as of 31 December 2025,
reflecting the maximum estimated Buyback Transaction Value of up to IDR 1,000,000,000,000 (one
trillion Rupiah), inclusive of Buyback-related transaction costs (comprising transaction fees, custody fees,
and commitment fees) of approximately 0.23% (zero point two three percent) of the Buyback execution
value:

 The data above shows that EPS and ROE increase after the Buyback.

                            SHARE PRICE LIMITATION FOR THE SHARE BUYBACK

 In implementing the Buyback, the Company shall consider:
    i. the best price that is deemed fair and reasonable; and
   ii. comply with all applicable laws and regulations, including Financial Services Authority Regulation
       (POJK) No. 29/2023, which stipulates that the Buyback offer price shall be equal to or lower than the
       price of the most recent share transaction..

                                TIME LIMITATION FOR THE SHARE BUYBACK

The Company will conduct the share buyback through the IDX, either in stages or in a single transaction,
in accordance with prevailing capital market regulations.

The implementation of the buyback shall be completed within a maximum period of 12 (twelve) months
from the date of the EGMS that approves the execution of the share buyback.

                              METHOD TO BE USED FOR THE SHARE BUYBACK

 The Share Buyback will be carried out in compliance with all applicable laws and regulations, including
 Financial Services Authority Regulation (POJK) No. 29/2023, whereby:
     1. The Company’s Share Buyback will be conducted through transactions on the Indonesia Stock
         Exchange (IDX).
     2. The Company will appoint one (1) member of the IDX to execute the Share Buyback.

      MANAGEMENT DISCUSSION AND ANALYSIS OF THE IMPACT OF THE SHARE BUYBACK ON THE
                   COMPANY’S BUSINESS ACTIVITIES AND FUTURE GROWTH

1.     The Company’s revenue is not expected to decrease as a result of the implementation of the Share
       Buyback.
2.     The Share Buyback is not expected to have any material negative impact on the Company’s business
       activities and growth.
3.     The Share Buyback will reduce the Company’s Assets and Equity by the amount of the Estimated
       Buyback Transaction Value. If the Company utilizes the entire budget allocated for the Buyback up to
       the maximum amount, then the total Assets and Equity will decrease by up to IDR 1,000,000,000,000
       (one trillion Rupiah).
4.     The Company believes that the implementation of the Buyback will not have any material negative
       impact on the Company’s business activities and growth, as the Company currently has sufficient
       capital and cash flow to carry out and finance all business activities, business development activities,
       operational activities, as well as the Buyback.
5.     The Company is committed to maintaining compliance with the public shareholding requirement (free
       float) in connection with the implementation of the share buyback. Accordingly, the Company will
       continuously monitor its free float level and will only execute the share buyback to the extent that it

     does not result in the free float falling below the minimum threshold required by the Indonesia Stock
     Exchange (Bursa Efek Indonesia).

                               SOURCE OF FUND FOR THE SHARE BUYBACK

 The source of funds to be used for the implementation of the Buyback shall be derived from free cash flow
 in the form of retained earnings whose usage has not yet been determined. In compliance with POJK
 29/2023, the Company ensures that the source of funds to be used for the implementation of the Buyback:
     1. will not significantly affect the Company’s financial capability to fulfill its obligations that will
          become due;
     2. constitutes internal funds of the Company;
     3. does not originate from proceeds of a Public Offering; and
     4. does not originate from loans and/or debt in any form.

                                        ADDITIONAL INFORMATION

1.   In the event that there are any changes or additions to the information contained in this Disclosure of
     Information, such changes or additions shall be announced no later than 2 (two) working days prior to
     the EGMS.
2.   The Company imposes a restriction on transactions involving the Company’s shares on the same day
     as the Buyback or the sale of shares resulting from the Buyback through the IDX to the following
     parties:
      a. members of the Board of Commissioners, members of the Board of Directors, employees, and
         major shareholders of the Company;
      b. individuals who, by virtue of their position, profession, or business relationship with the Company,
         may obtain insider information; or
      c. parties who within the last 6 (six) months are no longer considered as parties referred to in letter a
         or letter b.
