Jenis Informasi atau Fakta Material Penandatangan Perjanjian Kredit antara SUPR, Protelindo,
Iforte, BIT dan IEN dengan PT Bank QNB Indonesia Tbk
Uraian Informasi atau Fakta Material Pada tanggal 26 Maret 2024, Perseroan, Protelindo, Iforte, BIT
dan IEN sebagai debitur telah menandatangani Perjanjian
Fasilitas Kredit dengan QNB sebagai pemberi pinjaman
(Perjanjian Fasilitas atau Transaksi)
- Berikut adalah beberapa keterangan penting sehubungan
dengan Perjanjian Fasilitas, antara lain sebagai berikut:
- Total Fasilitas : Rp500.000.000.000,- dengan rincian
sebagai berikut:
a. Tidak melebihi Rp500.000.000.000,- untuk Perseroan,
Protelindo dan Iforte secara keseluruhan;dan
b.Tidak boleh melebihi Rp100.000.000.000,- untuk BIT dan
IEN.
- Tujuan pinjaman : Tujuan umum perusahaan dan modal
kerja
- Tanggal Jatuh Tempo Akhir: 12 (dua belas) bulan sejak
tanggal penandatanganan Perjanjian Fasilitas.
- Hukum yang berlaku: Hukum Indonesia
- Perseroan, Protelindo, Iforte, BIT and IEN bertanggung
jawab secara tanggung renteng terhadap pelaksanaan seluruh
kewajiban berdasarkan Perjanjian Fasilitas.
1. Penandatanganan Transaksi di atas bukan merupakan
transaksi benturan kepentingan sebagaimana dimaksud dalam
Peraturan OJK No. 42 Tahun 2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (POJK 42)
2. Transaksi tersebut di atas bukan merupakan transaksi
material sebagaimana dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha

Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha Perseroan
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Signing of the Credit Agreement between SUPR, Protelindo,
Type of Material Information or Facts Iforte, BIT and IEN with PT Bank QNB Indonesia Tbk
Description of Material Information or On March 26, 2024, the Company, Protelindo, Iforte, BIT and
Facts IEN as the borrowers have signed the Credit Facility
Agreement with QNB as the lender (Facility Agreement or
Transaction).
The following are several important information in connection
with the Facility Agreement:
- Total Facility: IDR500,000,000,000.- with the following
details:
a. A maximum of IDR500,000,000,000 to be provided to the
Company, Protelindo and Iforte collectively; and
b. A maximum of IDR100,000,000,000 to be provided to BIT
and IEN.
- Purpose of loan : general corporate purposes and working
capital
- Final Maturity Date: 12 (twelve) months after signing date of
the Facility Agreement.
- Governing Laws: Law of Indonesia.
2. The Company, Protelindo, Iforte, BIT and IEN are jointly
liable for their obligations under the Facility Agreement.
1. The execution of the Transaction is not a conflict-of-interest
transaction of the Company as referred to OJK Regulation No.
42 of 2022 regarding the Affiliated Transaction and Conflict of
Interest Transaction (OJK Rule 42).
2. The Transaction is not a material transaction as referred to
the OJK Regulation No. 17/POJK.04/2020 on Material
Transactions and Change of Business Activities.
