meningkatnya perhatian dunia terhadap isu dekarbonisasi, efisiensi energi, dan transisi menuju ekonomi
rendah karbon, Perusahaan memandang perubahan iklim tidak hanya sebagai risiko yang perlu dikelola,
tetapi juga sebagai peluang strategis untuk mendorong transformasi bisnis yang lebih berkelanjutan.
Sebagai entitas yang bergerak di bidang infrastruktur digital dan teknologi, Perusahaan mengintegrasikan
pengelolaan isu perubahan iklim ke dalam arah strategi jangka panjangnya. Perusahaan terus
mengembangkan dan mengoptimalkan solusi berbasis teknologi yang mendukung efisiensi energi,
penurunan emisi karbon, serta percepatan penerapan teknologi rendah emisi di berbagai lini operasional

Langkah-langkah yang sudah dilakukan dan penurunan emisi yang telah dicapai dibandingkan tahun
sebelumnya.
Penjelasan:
Sebagai bagian dari strategi bisnis berkelanjutan, Perusahaan mengembangkan ekosistem kendaraan listrik
sebagai wujud kontribusi dalam mendukung transisi menuju mobilitas rendah emisi. Perusahaan memproduksi
dan mendistribusikan motor listrik Volta serta terus memperluas infrastruktur pendukung melalui pengembangan
Stasiun Ganti Baterai (SGB) dan Sistem Charging Baterai (SCB).
Selain itu, Perusahaan juga menghadirkan layanan Sewa Motor Listrik (SEMOLIS) yang memberikan
kemudahan akses bagi masyarakat terhadap kendaraan listrik dengan biaya yang lebih terjangkau. Inisiatif ini
diharapkan dapat mendorong percepatan adopsi kendaraan listrik di Indonesia sekaligus berkontribusi pada
penurunan emisi karbon dari sektor transportasi.
Di sisi lain, Perusahaan turut mengoptimalkan pemanfaatan teknologi digital, cloud computing, serta Artificial
Intelligence (AI) untuk meningkatkan efisiensi operasional dan mengurangi penggunaan sumber daya dalam
proses bisnis. Penerapan teknologi tersebut diharapkan dapat mendukung penurunan konsumsi energi serta
meminimalkan dampak lingkungan dari kegiatan operasional Perusahaan.

Dalam upaya menciptakan lingkungan kerja yang aman, adil dan mendukung bagi seluruh karyawan,
Perusahaan menetapkan kebijakan berikut terkait tindakan yang melanggar norma kesusilaan dan
pelecehan seksual:
1. Larangan Perilaku Tidak Pantas
Perusahaan melarang keras segala bentuk tindakan yang dapat dikategorikan sebagai pelecehan seksual,
perbuatan yang tidak senonoh atau tindakan lain yang melanggar norma - norma kesusilaan di tempat kerja.
Termasuk dalam hal ini adalah perbuatan yang dapat diduga sebagai perselingkuhan, baik antar karyawan

komunikasi digital
3. Perlindungan bagi Karyawan Wanita
Perusahaan secara khusus memberikan perlindungan bagi karyawan wanita yang berisiko berada dalam
posisi rentan terhadap tindakan tidak pantas atau tidak etis, baik dari atasan, rekan kerja maupun pihak
eksternal
4. Pelaporan dan Tindak Lanjut
Setiap karyawan yang mengalami atau menyaksikan tindakan pelecehan atau pelanggaran norma dapat
melaporkan kejadian tersebut kepada pihak HRD atau unit pengaduan yang ditunjuk. Perusahaan menjamin
kerahasiaan pelapor serta perlindungan dari tindakan balasan (Retaliation)
5. Sanksi dan Tindakan Tegas
Setiap pelanggaran terhadap kebijakan ini akan dikenakan sanksi disipliner, termasuk namun tidak terbatas

Sesuai dengan ketentuan ketenagakerjaan yang berlaku, Perusahaan berkomitmen untuk tidak
mempekerjakan anak di bawah umur serta menolak praktik kerja paksa. Komitmen ini merupakan bagian
dari upaya Perusahaan dalam melindungi Hak Asasi Manusia (HAM) serta mematuhi seluruh peraturan
perundang-undangan yang berlaku.
Dalam proses perekrutan, Perusahaan memastikan bahwa seluruh calon karyawan telah memenuhi usia
minimum yang ditetapkan. Selain itu, setiap karyawan wajib menandatangani perjanjian kerja setelah

a. Memberikan fasilitas BPJS Kesehatan dan asuransi swasta.
b. Menyediakan fasilitas cuci tangan dan hand sanitizer, serta memastikan seluruh pihak di lingkungan kerja
menggunakan masker.
c. Membersihkan lingkungan kerja Perusahaan ataupun Entitas Anak secara berkala.
Keselamatan Kerja
a. Memastikan ruangan kerja, kapasitas pekerja, termasuk sirkulasi udara memadai.
b. Meletakkan alat pemadam api ringan (APAR) pada setiap tempat.
c. Menyediakan tombol darurat (fire alarm).
d. Membentuk jalur evakuasi dan area berkumpul.
e. Menjaga dan merawat instalasi listrik, instalasi penyalur petir, instalasi alarm kebakaran, dan lainnya.
f. Menyediakan kotak P3K yang dilengkapi perlengkapan penanganan kecelakaan.

Perseroan menerapkan kebijakan pemisahan peran antara Chairman of the Board dan Chief Executive
Officer (CEO) sebagai bagian dari penerapan prinsip tata kelola perusahaan yang baik (Good Corporate
Governance). Dalam struktur organisasi Perseroan, fungsi pengawasan dijalankan oleh Dewan Komisaris,
sedangkan fungsi pengelolaan operasional dilaksanakan oleh Direksi.
Struktur ini menegaskan adanya pembagian yang jelas antara peran pengawasan dan eksekusi, guna
menghindari konflik kepentingan serta memastikan adanya mekanisme check and balance dalam
pengambilan keputusan strategis. Chairman of the Board dijabat oleh anggota Dewan Komisaris, yang
bertanggung jawab dalam mengarahkan dan mengawasi kinerja Direksi, sementara posisi CEO dijabat oleh
Direktur Utama yang memimpin pelaksanaan operasional perusahaan sehari-hari.
Dengan memisahkan kedua peran tersebut, Perseroan berkomitmen untuk menjaga independensi
pengawasan serta meningkatkan akuntabilitas dan transparansi dalam seluruh aktivitas usaha.

Kinerja Dewan Komisaris dinilai berdasarkan tugasnya dalam mengawasi, memberi nasihat, serta
memberikan saran dan rekomendasi terkait bisnis yang dijalankan Direksi. Setiap anggota juga dinilai dari
kehadirannya dalam rapat internal maupun rapat dengan Direksi. Penilaian ini dilakukan oleh Pemegang
Saham dalam RUPS.
Penilaian kinerja Direksi dilakukan dengan mengacu pada pelaksanaan tugas dan tanggung jawab mereka
sebagai pihak yang memegang kendali atas operasional Perusahaan. Direksi dinilai berdasarkan
kemampuan mereka dalam mengelola berbagai aspek operasional perusahaan, termasuk pencapaian
target bisnis, pengelolaan risiko, serta kepatuhan terhadap kebijakan dan peraturan yang berlaku. Selain itu,
evaluasi kinerja setiap anggota Direksi juga mempertimbangkan tingkat kehadiran mereka dalam rapat-
rapat internal Direksi dan rapat gabungan dengan Dewan Komisaris. Proses penilaian ini dilaksanakan oleh
para Pemegang Saham dalam Rapat Umum Pemegang Saham (RUPS).

h. Selain persyaratan diatas, untuk menjadi Komisaris Independen wajib mengikuti persyaratan tambahan
sesuai dengan peraturan yang berlaku.
Kriteria Pengangkatan Direksi berpedoman pada Piagam Direksi sebagai berikut:
1. Mempunyai akhlak, moral dan integritas yang baik.
2. Cakap melakukan perbuatan hokum.
3. Tidak pernah dinyatakan pailit.
4. Dalam 5 (lima) tahun sebelum pengangkatan dan menjabat tidak pernah menjadi anggota Direksi yang
dinyatakan bersalah menyebabkan suatu Perusahaan dinyatakan pailit.
5. Tidak pernah dihukum karena melakukan tindak pidana yang merugikan keuangan Negara dan/atau
berkaitan dengan sektor keuangan.
6. Memiliki komitmen untuk memenuhi Peraturan Perundang-Undangan.
7. Memiliki pengetahuan dan keahlian dibidang yang dibutuhkan Perusahaan dan Pasar Modal.

Perusahaan berupaya untuk menerapkan aktivitas bisnis yang bersih dan sehat, untuk itu Perusahaan
membentuk kebijakan anti korupsi yang diterapkan kepada seluruh insan Perusahaan. Kebijakan tersebut
disusun untuk menciptakan lingkungan kerja yang kondusif, nyaman, meningkatkan pemahaman atas
dampak negatif dari kegiatan korupsi kepada insan Perusahaan serta menjalin hubungan yang baik dengan
pelanggan dan mitra kerja.
Kebijakan antikorupsi Perusahaan memuat prosedur penanganan jika terjadi praktik korupsi di mana
Perusahaan akan menindak dengan tegas karyawan yang terbukti melakukan ataupun terlibat dalam praktik
korupsi. Perusahaan akan menangani setiap pelanggaran sesuai dengan ketentuan yang berlaku.

Perusahaan menerapkan aturan ketat terhadap insider trading kepada seluruh karyawan. Artinya, informasi
non- publik yang dapat mempengaruhi harga saham Perusahaan akan dirahasiakan hingga diumumkan
oleh Manajemen Perusahaan melalui platform yang dimiliki oleh regulator berwenang (keterbukaan
informasi). Karyawan dengan informasi sensitif yang dapat mempengaruhi harga saham Perusahaan tidak
diperkenankan untuk terlibat dalam transaksi langsung maupun tidak langsung dari saham tersebut. Dewan
Komisaris, Direksi dan seluruh karyawan berkomitmen untuk terus melaksanakan Pakta Integritas
Perusahaan dengan sebaik-baiknya bersama implementasi kebijakan strategis untuk mencapai

Steps that have been taken and emission reductions that have been achieved compared to the previous year
As part of its sustainable business strategy, the Company is developing an electric vehicle ecosystem as a form
of contribution to supporting the transition toward low-emission mobility. The Company manufactures and
distributes Volta electric motorcycles and continues to expand its supporting infrastructure through the
development of Battery Swapping Stations (SGB) and Battery Charging Systems (SCB).
In addition, the Company provides an Electric Motorcycle Rental service (SEMOLIS), which offers more
accessible and affordable access to electric vehicles for the public. This initiative is expected to accelerate the
adoption of electric vehicles in Indonesia while contributing to the reduction of carbon emissions from the
transportation sector.
On the other hand, the Company continues to optimize the utilization of digital technology, cloud computing, and
Artificial Intelligence (AI) to enhance operational efficiency and reduce resource consumption in its business
processes. The implementation of these technologies is expected to support a reduction in energy consumption
and minimize the environmental impact of the Companys operations.
